SPACE ON THE GROUND FLOOR LOBBY AND THE
SECOND FLOOR LOBBY AT MIAMARINA RESTAURANT
TO MR. JEROME ZAKS FOR THE PURPOSE OF
DISPLAYING AND SELLING ANTIQUES AND MODERN
NAUTICAL FURNISHINGS, SUBJECT TO PAYMENT OF
A PERCENTAGE OF GROSS SALES OF SAID SUBLET
OPERATION AND ALL OTHER APPLICABLE PRO-
VISIONS OF THE EXISTING MIAMARINA RESTAURANT
LEASE AGREEMENT BETWEEN RESTAURANT ASSOCIATES
INDUSTRIES, INC. AND THE CITY.
BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI ,FLORIDA:
Section 1. Restaurant Associates Industries, Inc.
8 hereby authorized to sublet space on the ground floor
lobby and the second floor lobby at Miamarina Restaurant
to Mr. Jerome Zaks for the purpose of displaying and
selling antiques and modern nautical furnishings, provided
said sublet operation is conducted subject to the provisions
of paragraph 6 (gross sales percentage) and all other
applicable provisions of the existing Miamarina Restaurant
Lease Agreement between Restaurant Associates Industries,
Inc. and the City.

restaurant Associates Industries MC, has requested that they
be permitted to subiet space on the ground floor lobby and the
second floor lobby at Miamarina Restaurant to a Mr, Jerome Zaks
who will utilize the areas to display and sell antiques and
Modern nautical furnishings imoorted from Jans of London.
The lease agreement between the City and Restaurant Associates
Industries, Inc. specifies that they nay not sublet the premises
or any part thereof without the prior written consent of the
Commission of the City.
The Lessee and rr. Zaks would like to he able to commence their
business operations by December 10th to take advantage of Christmas
sales potential.
The City Administration recommends that the City Commission
act favorably on this request,

As you know, Restaurant Associates Industries, Inc. is
the present leaseholder of the Miamarina Restaurant facilities. The
following is a request for approval by your office t.o sublet :.:pace
in the restaurant facilities. Mr. Jerome Zaks has approached me
regarding the sale of antiques and modern nautical furnishings, all
imported from Jans of London. The products are of first-class quality
and range in price from $35.00 to $1,000.00. Mr. Zaks proposal was
to sublet space on the ground floor lobby and second floor lobby to
display his merchandise for the purpose of sales to the public. We
have worked out equitable arrangements for both parties over a five-
year sublease.
The prevision for sublease without the consent of the
City Commission, I believe, is provided in our lease, Paragraph 11 on
Page 13, as recited below:
"ASSIGNMENT AND SUBLETTING:
Lessee. shall :gut assign this Luzise (except to
a wholly owned subsidiary of Lessee, and the Board of
Directors of the subsidiary shall also be members of the
Board of Directors of Restaurant Associates Industries,
Inc.) or sublet the premises or any part thereof (ex-
cept for concessions to third parties for the operation
of parking, photography, vending service for cigarettes
and candy, and toilet concessions) without the prior
written consent of the Commission of the City."
Because this is a third party concession, I feel it will fall within
the realm of vending service, therefore, I am hopeful that the decision
can :ome from your office. I see no other provisions in the contract
that would not allow you this latitude.
