A RESOLUTION ACCEPTING A DEED OF DEDICATION FOR
SITE 3218 NDP 3 CENTRAL MIA1-II, FLORIDA A-1, FROM
DADE COUNTY, FOR TI-IE EXPANSION OF DIXIE PARK,
WHEREIN THE COUNTY WILL CONVEY THE FOREGOING
PROPERTY TO THE CITY UPON CERTAIN TERMS AND
CONDITIONS, CONCERNINC; THE REDEVELOPMENT OF
THE PROPERTY.
WHEREAS, Dade County has undertaken the clearance of reconstruction or
rehabilitation of slum and blighted areas in the City of Miami under the urban
renewal project known as the "Neighborhood Development Program (NDP) Area
No. 3, Central It tiami, Florida A-1"; and
WHEREAS, there is a declaration of restrictions for urban renewal project
NDP Area 3 Central Miami, Parcels 8-1, 2, 3, 4 Disposition Site 321B recorded
in the Public Records of Dade County, Florida, at Book 9878, Page 648; and
WHEREAS, Dade County has approved the dedication of the aforementioned
site 321I3 to the City of Miami for redevc'.opment and expansion of Dixie Park by
Resolution IZ-593-76 dated June 1, 1976; and
WHEREAS, Dade County has offered to enter into a contract with the City of
Miami wherein the County will convey property to the City upon certain terms and
conditions, concerning the redevelopment of the property.

accompanying declaration of restrictions for site 321B NDP 3 Central Miami,
Florida A-1 (legal description: Lots 1-4, Block 2, Sost's Sub, B-17) from Dade
County for the expansion of Dixie Park, wherein the County will convey the foregoing
property to the City upon certain terms and conditions, concerning the redevelop-
ment of the property.
Section 2. That the City Manager is authorized to execute a contract providing
for the dedication of land in Urban Renewal Project Florida A-1 from Dade County
to the City of Miami.

The administration recommends adoption of
the attached resolution, accepting a deed of
dedication with certain restrictions from Dade
County, for Site 321B for the expansion of
Dixie Park and authorizing the administration
to execute a contract providing for the dedica-
tion.
Background
By Resolution R-593-76, dated June'', 1976, the Board of County Commis-
sioners approved the dedication of Site 32 113, NDP Area i 3, Florida A-1
(Lots 1-4, Block 2, Sost`s Sub. 11-17) to the City of Miami for the further
expansion of Dixie Park. This site - a one acre parcel at the corner of NW
14th Street and NW 3rd Avenue - (see attached map) will bring all of a three -
block area into City ownership, except for the St. John's Baptist Church prop-
erty.
Analysis
Specifically, this site will be utilized for the development of a bus plaza and
parking area. Funds for the development of this site are being made avail-
able by a transfer of $50, 000 in Ist year Community Development Block Grant
funds, from Dade County to the City of Miami (to be accomplished separately).
The bus plaza will. be utilized by MTA buses and the parking lot will provide
necessary parking for the planned baseball stadium at Dixie Park. This pro-
ject will subsequently be included in the City's proposed contract for profes-
sional services for the design of all of Dixie Park.

WITIIESS: that the said party of the first part, for and in consideration
of the party of the second part commitment to develop a park and recreation
facility on the Following described land lying and being in Dade County,
Florida; does hereby dedicate and release to the party of the second part,
its successors and assigns forever, that property legally described in
Exhibit A, attached hereto and by reference made a part hereof.
This Deed of Dedication conveys only the interest of Dade County and the
Board of County Commissioners in the property covered herein, and shall not
warrant the title thereto.
This conveyance is made subject to the following easements and covenants.

County has undertaken a program for the clearance of reconstruction or

•ARTICL' 1 GENERAL TERMS OF CONVEYANCE PROPERTY
Sec. I. Consideration and Mutual Obligation. Subject to all the terms
Covenants, and conditions of the Agreement, the County will dedicate certain real
property In the Project Are,, more particularly described in Schedule A annexed hereto
and made a part hereof (which property, as so described is hereinafter called "Proper-
ty"), to the City as a Project Improvement and the City agrees to redevelop and
maintain the parcel as parking for the proposed expanded Dixie Park, and construction
of a bus plaza. The value of the Improver^ents to be redeveloped on the site shall
be in excess of $50,000.00. The City shall certify in writing the costs of improvements
yearly during the terms of the development program.
-Sec. 2. Conveyance. The County shall convey to the City, title to the
Property by Dade County deed of dedication (hereinafter called Deed). Such
conveyance shall, in addition to all other conditions, covenants, and restrictions
set forth or referred to elsewhere in the Agreement, be subject to:
(a) Any -state of facts an inspection or accurate survey might -show.
(b) Present and future laws, ordinances, resolutions, regulations
and orders of all municipal, county, stale, federal or other
governmental bodies, hoards, agencies or other authority now
or hereafter having jurisdiction.
(c) The public easement in public streets and ways abutting the Property.
Sec. 3. Delivery of Deed. The County shall deliver the Deed and possession
of the Property to -the City on August 16, 1976 ; or on such other date as the
parties hereto may mutua i Iy aree in writing when Dade County has both title and
possession to all of the property to be conveyed. Conveyance shall be made at the
office of the County Attorney and the City shall accept such conveyance.
Sec. 4. The City shall promptly file the Deed for recordation among the
Public Records of Dade County, Florida. The City shall pay all costs for so record-
ing the Coed.

SUCCCSSors and assigns, and every successor in interest to the Property, or any
part thereof, and the Wed shill l contain covenants on the part of the City for
itself and such successors and assinns that the City shall begin the improvcn nts
thereon, within 6 months from the date of ihu Deed, ,and wi I I di I igently proceed
to complete such construction within 35 months from such date. It' is intended
and agreed, and the i) od shall so expressly provide, that the agreements and
covenants of the Arlreeeont pertaining to the ir,rprovcmints shall he covenants
running with the land and that they shall, in any event, and without regard to
technical classification or designation, icocl or otherwise, and except only

Sec. 3. Peport of Progress. Subsequent to conveyance of the Property

Sec. 2. Termination by City. In 1 hn event that the County does not
tender conveyance of the Properly or posseeeion thereof to the manner and
condition, and by date:, provided in the Agreement and any such f.ai l ure shall
not be cured within I iU dey s rafter written demand by the City, except when
said failure or tender is caused by acts of third parties, i.c., provision of
streets and facilities or rezoning and street vacel ion by the City or provision
of facilities by other public bodies or public utility companies, or pending
litigation, then the Agreement shall at the option of the City be terminated,
and neither the County nor the City shall have any further rights against or
liability to the other undc r the Agreement.
Sec. 3. Termination by County Prior to Conveyance. In the event that
prior to conveyance of the Property to the City and in violation of the Agrecn nt,
the City (and any successor in interest) assigns or attempts to assign the
Agreement or any rights herein or in the Property, or the City does not accept the
dedication and take title to the Property upon proper tender of conveyance
by the County pursuant to the Agreement, then the Agreement and any rights of
the City or any successor or assign of the City or transferee of the Properly
under the Agreement or arising therefrom, with respect to the County or the
Property, shall at the option of the County be terminated by the County. In such
event, except for the right of the County to darnines for such breach afforded
by law, neither the City (or assignee or transferee) nor the County shall have
further rights against or I iabi l ity to the other under the Agreement.

Sec. 6. Del;,`,`- P-:yond Control of Parties. For the purposes of the
Agreement, neither ire. . •untynor the City, as the case may be, nor any successor

obligations frith respect to the preparation of the Property for redevelopment,
or the beginning and completion of construction of the improvements, or progress
in respect thereto. in the event of enforced delay in the performance of such
obligotions due to unforeseeable causes beyond its control and without its faults
or negl igencc, including, but not restricted to, acts of God, acts of the publ is
enemy, acts of the Government, acts of the other party, fires, floods, epidemics,
quarantine restrictions, strikes, freir,ht embargoes, and unusually severe weather
or delays of subcontractors due to such causes; it being the purpose and intent
of thi s provision ,chat, in the event of the occurence of any such enforced delay,
the time or times for por-fornencc of the obi i qal ions of the County with respect
to construction of the Improvemmts, as the case may be, shall be extended for
the period of the enforceA rJ ley; provided, that the party seeking the benefit
of the provisions of this Section shall, within 30 days after the beginning of

Section 4. Agreermn t Su rvi ves Conveyance. None of the provisions of
the Agreement is intended to or shall be n}urged by reason of any deed transferring
title to the Property from the County to the City or any successor In interest
and any such deed shall not be deemed to affect or irpair the provisions and
covenants of the Agreement.
Section 5. Counterparts. The Agreement is executed in 4 Counter-
parts, each of which shall be deemed to be an original, and such counterparts
shall constitute one and the sarrr instrument.
