AMENDMENT TO MEMORANDUM OF LEASE AGREEMENT
This Amendment to Memorandum of Lease Agreement (this "Amendment") is effective as of the
day of -;►; 2020 and entered into by and between the Department of Off -Street Parking of the
City of Mi; :, an ..l;ncy and instrumentality of the City of Miami d/b/a Miami Parking Authority
("Lessor") and Loft Downtown Condominium Association, Inc., a Florida not -for -profit corporation
("Lessee"). Lessor and Lessee are sometimes referred to herein individually as "party" and collectively as
the "parties."
RECITALS:
WHEREAS, Lessor is the owner of that certain real property located in Miami -Dade County,
Florida, more particularly described in Exhibit "A" attached hereto and by this reference made a part hereof
(the "Property"); and
WHEREAS, Lessor and 234 Tower LLC, a Florida limited liability company ("Original Lessee")
entered into that certain Lease Agreement dated June 25, 2003 whereby Lessor agreed to lease certain
parking spaces located upon the Property to Original Lessee (the "Lease"); and
WHEREAS, Lessor and Original Lessee entered into that certain Memorandum of Lease
Agreement which was recorded on March 11, 2004 in Official Records Book 22113, Page 4654, of the
Public Records of Miami -Dade County, Florida (the "Memorandum"); and
WHEREAS, Original Lessee assigned all of its rights, interest and obligations under the Lease to
Lessee; and
WHEREAS, the parties have amended certain terms of the Lease pursuant to that certain
Amendment to Lease Agreement entered into by and between Lessor and Lessee (the "Lease Amendment").
NOW THEREFORE, in consideration of the foregoing, and other good and valuable consideration,
the receipt and sufficiency of which are hereby acknowledged, the parties intending to be legally bound
hereby agree as follows:
1. The foregoing recitals are true and correct and are hereby incorporated herein as if repeated
at length.
2. All persons are hereby placed on notice of the existence of the Lease Amendment.
3. The terms of the Lease and/or the Lease Amendment may only be modified or amended
by an instrument in writing which is fully executed by both Lessor and Lessee.
