AMENDMENT NO. 3 TO
AGREEMENT FOR PURCHASE AND SALE
THIS AMENDMENT NO. 3 ("Amendment") is made and entered into this I Li day of
20Zy and between Atlantic Pacific Communities, LLC, a Delaware Limited
Liability Company (the "Purchaser"), and the City of Miami, a municipal corporation of the State of
Florida (the "Seller") (Purchaser and Seller hereinafter collectively the "Parties").
RECITALS
WHEREAS, Purchaser and Seller entered into that certain Agreement for Purchase and Sale
with an Effective Date of December 14, 2017, as amended by "Amendment No. 1 to Agreement for
Purchase and Sale" that was executed on April 25, 2019 and as amended by "Amendment No. 2 to
Agreement for Purchase and Sale" that was executed on July 29, 2019 (the "Agreement"), for the
real property legally described in Exhibit "A," attached hereto and incorporated herein; and
WHEREAS, the Parties hereto desire to amend certain terms of the Agreement; and
WHEREAS, such changes shall take precedence over and supersede any provisions to the
contrary contained in the Agreement;
NOW THEREFORE, it is agreed as follows:
1. The ninth section of the Agreement, entitled "CLOSING DATE," is amended to read as follows:
Closing shall take place by June 30, 2020, at a mutually agreeable time (the
"Closing") at the offices of the Title Company or its agent. The parties may, subject
to mutual agreement, establish an earlier date for Closing. Purchaser may request to
extend Closing to a later date, but such extension is conditioned upon the expressed
written consent from Seller. The parties agree that Purchaser will be applying for
construction financing from a one or more public or private lenders (the
"Financing"). Purchaser's right and obligation to acquire the Property hereunder is
subject to it successfully obtaining such Financing. At such time as Purchaser
obtains the same it will notify the Seller of its intention to acquire the Property,
provided, however, that the Closing of the sale of the Property shall take place no
later than the Closing Date, as set forth above.
