This First Amendment to the Presidio Politico Historico Cubano, Inc.'s American Rescue Plan Act of 2021 ("ARPA") Grant Funding Agreement ("First Amendment") is entered into the 4, day of 1114' f , 2024 between the City of Miami, a municipal corporation of the State of Florida ("CITY") and Presidio Politico Historico Cubano, Inc., a Florida Not For Profit Corporation ("PROVIDER"). RECITALS WHEREAS, pursuant to Resolution No. 23-0028 adopted on January 12, 2023 (hereinafter, "R-23-0028"), the City Commission awarded PROVIDER One Hundred Thousand and 00/100 Dollars ($100,000.00) in ARPA Funds (hereinafter, "ARPA Funds") to to upgrade the electrical at the museum, paint the iron fencing, install exterior and interior cameras, upgrade the alarm system, install new blinds, install a new A/C unit, purchase a new refrigerator and stove, remodel two bathrooms, roof repairs, and repair the interior of the second floor of the museum; and WHEREAS, PROVIDER executed the American Rescue Plan Act of 2021 ("ARPA") Grant Funding Agreement (hereinafter, "Agreement") with the CITY dated March 13, 2023, for the use of the ARPA Funds pursuant to the terms of the Agreement and applicable laws, rules, and regulations; and WHEREAS, Section 3.3 of the Agreement details the obligations of the PROVIDER which includes an initial sixty (60) day deadline to provide the CITY with a schedule of values and estimates for the items described in Scope of Work, attached and incorproated as Exhibit B to the Agreement; and WHEREAS, the PROVIDER has already received an extension of time pursuant to Section 3.3 of the Agreement, approved by the City Manager on May 17, 2023; and WHEREAS, the PROVIDER has requested an additional sixty (60) day extension of time, not to extend beyond September 31, 2023; and WHEREAS, the PROVIDER has provided a complete schedule of values document; and WHEREAS, Exhibit B of the Agreement provides a scope of services which reflects the intended uses of the ARPA Funds; and WHEREAS, the PROVIDER has reviewed all qualified quotations for the work detailed in Exhibit "B" and is requesting that scope included in Exhibit B be reduced in order to complete the critical components of the project within the current approved budget of One -Hundred Thousand and 00/100 Dollars ($100,000.00); and Page 1 of 4 WHEREAS, this First Amendment modifies Section 3.3 and Exhibit B and does not increase the total ARPA Funds that were approved and awarded pursuant to R-23-0023; NOW, THEREFORE, in consideration for the covenants set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. All of the above recitals are true and correct in all respects and are incorporated by reference herein as though set forth in full herein. 2. "Exhibit B" of the Agreement is amended with the "Exhibit B-Amended" attached to this First Amendment and incorporated herein by this reference. 3. Section 3.3 of the Agreement shall be amended as follows: "Within sixty (60) calendar days from the Effective Date of this Agreement, BENEFICIARY shall provide the CITY with a schedule of values from the Contractor(s) carrying out the work and activities prescribed in the Scope of Work. If necessary, BENEFICIARY may submit a written request for an extension to the City Manager for up to two (2) additional sixty (60) calendar days extensions to provide the CITY with the requested schedule of values from the Contractor(s) carrying out the work and activities prescribed in the Scope of Work, which the City Manager may grant or deny in his or her sole and absolute discretion. No additional time or extensions shall be provided to the BENEFICIARY to provide the requested schedule of values from the Contractor(s) carrying out the work and activities prescribed in the Scope of Work. Failure to comply with the provisions of this subsection shall constitute an event of default and the City may exercise any rights and/or remedies afforded to it pursuant to this Agreement, and/or afforded to it in law or equity, including, but not limited to, termination of this Agreement." 4. Except as modified herein, all other terms and conditions of the Agreement shall remain unmodified and in full force and effect. 5. This First Amendment may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same Amendment. The parties shall be entitled to sign and transmit an electronic signature of this Amendment (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Amendment upon request. 6. This First Amendment may not be amended, suspended, superseded or otherwise modified except by a written instrument, expressly identifying the modifications made and signed by the authorized representative of each of the parties.
