SIGNATURE: _-; [`� d6aZS66UCE1ASQ PLEASE ATTACH THIS ROUTING FORM TO ALL DOCUMENTS THAT REQUIRE EXECUTION BY THE CITY MANAGER Amendment No. 2 American Rescue Plan Act of 2021 ("ARPA") Miami Dade College AMENDMENT NO. 2 TO THE AMERICAN RESCUE PLAN ACT OF 2021 ("ARPA") AGREEMENT BY AND BETWEEN CITY OF MIAMI AND MIAMI DADE COLLEGE This Second Amendment to the American Rescue Plan Act of 2021 ("ARPA") Agreement ("Amendment No. 2") between the City of Miami, a municipal corporation of the State of Florida ("CITY"), and The District Board of Trustees of Miami Dade College, Florida, a public educational institution and political subdivision of the State of Florida (the "COLLEGE" or ''SUBRECIPIENT") is entered into on this 11 day of April , 2024. The CITY and SUBRECIPIENT may each be individually referred to as a "Party" or collectively be referred to as the "Parties." RECITALS WHEREAS, pursuant to Resolution No. 21-0352 adopted on September 13, 2022 ("R-21- 0352"), the City Commission awarded SUBRECIPIENT Two Million and 00/100 Dollars ($2,000,000.00) in ARPA Funds ("ARPA Funds") in order to provide a Workforce Development and Training Program ("Program"); and WHEREAS, SUBRECIPIENT executed the American Rescue Plan Act of 2021 ("ARPA") Grant Funding Agreement ("Agreement") with the CITY dated February 17, 2022 for the use of the ARPA Funds pursuant to the terms of the Agreement and applicable laws, rules, and regulations; and WHEREAS, SUBRECIPIENT executed a First Amendment to the Agreement on May 20, 2022 ("Amendment No. 1"); and WHEREAS, Exhibit A of the Agreement provides a scope of services and a line -item budget which reflects the intended uses of the ARPA Funds; and WHEREAS, the SUBRECIPIENT has reviewed its staffing expenses as well as its overall workforce program estimates resulting in the need to update and amend the line -item budget in Exhibit A of the Agreement; and WHEREAS, the SUBRECIPIENT has submitted a written request for an extension of One (1) year in order to complete the Program; and WHEREAS, this Amendment No. 2 only amends Exhibit A of the Agreement and does not increase the total ARPA Funds that were approved and awarded to SUBRECIPIENT pursuant to R-21-0352; NOW, THEREFORE, in consideration for the covenants set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: Page 1 of 4 Amendment No. 2 American Rescue Plan Act of 2021 ("ARPA") Miami Dade College All of the above recitals are true and correct in all respects and are incorporated by reference herein as though set forth in full herein. "Exhibit A" of the Agreement is replaced with the "Exhibit A -Amended" attached to this Amendment No. 2 and incorporated herein by this reference. Section 3.01 of the Agreement, titled "Term" is amended to reflect the following: The effective date of this Agreement is the date that the City Clerk signs this Agreement ("Effective Date"). The term of this Agreement shall commence on the Effective Date and shall expire on November 30, 2025, unless extended per written agreement by both parties. Pursuant to the Final Rule, the funds must be expended by December 31, 2026 and therefore this Agreement shall not be extended beyond said date. The term of this Agreement may be amended, modified, or subject to termination in the event the Final Rule amends the timeframe for which the funds must be expended. 4. Except as modified herein, all other terms and conditions of the Agreement and Amendment No. 1 shall remain unmodified and in full force and effect. 5. This Amendment No. 2 may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same Amendment No. 2. The parties shall be entitled to sign and transmit an electronic signature of this Amendment No. 2 (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Amendment No. 2 upon request. 6. This Amendment No. 2 may not be amended, suspended, superseded or otherwise modified except by a written instrument, expressly identifying the modifications made and signed by the authorized representative of each of the parties. Wysong III Date: Acting City Attorney Page 4 of 4 Amendment No. 2 American Rescue Plan Act of 2021 ("ARPA") Miami Dade College Exhibit A - Amended Workforce Development in Emerging Technologies at Miami Dade College Tech Training, Upskilling and Middle School /High School Programs Proposal The COVID-19 pandemic has exacerbated the desire for individuals to evaluate their careers. People are now opting for careers in industries that are emerging yet emphasize a balance between life and career. During these times, South Florida is experiencing an exponential growth of its technology ecosystem. The increasing number of companies moving to Miami has created a need for a skilled workforce to support economic development and cover the increasing talent demand. Through this partnership with City of Miami, MDC will offer educational training to residents negatively affected by COVID-19 in various career -focused credentials in emerging technology -related programs of study; upskilling and retooling; and early engagement for middle school and high school students and build a sustainable talent pipeline. The program will have three components for City of Miami Residents affected by COVID-19: 1. College & Adult Learners skilling and upskilling 2. K-12 Student Pathways 3. Tech Pitch Competitions & Ecosystem Building Tech Training, Upskilling for All Residences Residents of the City of Miami who have been affected by COVID-19 will have the opportunity to earn certificates, badges, and technology certifications in emerging technology pathways, including artificial intelligence (Al). Eligible middle/high school students may be dual enrolled to enable them to gain college credits toward a college credential. The prescriptive curriculum design affords students the opportunity to complete an Associate, college credit certifications and/or industry certifications in emerging tech fields by the time they complete their high school requirements. All participants will be provided 1:1 coaching and support with job placement. Participants will have the opportunity to earn the following industry credentials: • Artificial Intelligence certifications from Intel, IBM and other companies; • Cloud computing certifications from Amazon Web Services (AWS) and Microsoft; • Cybersecurity certifications and badges from IBM, EC -Council and other companies; and • Data Analytics certifications from Google, Microsoft and other providers. K-12 Student Pathways MDC will create multiple emerging technology pathways for Middle School and High School students. MDC will focus on increasing awareness, engagement, and preparation of students affected by COVID-19 through: • Afterschool tech programs; Amendment No. 2 American Rescue Plan Act of 2021 ("ARPA") Miami Dade College • Summer camps in the different emerging technology fields; • Dual enrollment courses; • Hosting emerging technology career exploration and awareness events; • Career advisement; and • Experiential learning opportunities. Tech Pitch Competitions & Ecosystem Building Community pitch competitions, community connections and social capital building programming. All programs will be designed in partnership with the City of Miami. Program cost will include tuition, stipends, course materials, course development, faculty training, career services, capacity building and certification exams for all program participants.
