RESOLuTXON NO, 76-482 A RESOLUTION AUTtoRIZINC THE CITY MANAGER TO ENTER INTO AN AGREEMENT WITH THE MANPOWrii PLANNING COUNCIL Or DADS AND MhNROE COUNTt S To IMPLEMENT A MIAMI-st1RMER TEEN EMPLOYMENT PROGRAM, WHEREAS, disadvantaged young residents of the City will be in need of Summer employment; and WHEREAS, the City of Miami is eligible to receive U.S. Department of Labor funds for the operation of a Summer Teen Employment Program to commence June 24 through August 12, 1976; and residents WHEREAS, 701 jobs will be available for disadvantaged of the City from 14 through 21 years of age; and WHEREAS, participants in the program are to work a maximum of 25 hours per week for 7 weeks at $2.30 per hour; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to enter into an agreement with the Manpower Planning Consortium of Dade and Monroe Counties pursuant to the City of Miami Resolution No. 74-111, for the purpose of receiving funds to operate a Miami -Summer Teen Summer of 1976. 1976. The City of Miami is entitled to receive U.S. Department of Labor funds to operate this program in 1976. There are 701 slots avail- able for disadvantaged residents of the City aged 14 to 21 years. Participants will work not more than 25 hours per week for seven weeks at $2.30 per hour in positions such as Recreation Aide, Inspector Aide, Survey Aide, Clerical Aide, etc. The following City Departments will participate in the Teen Pro- gram: r, T E. . ARTICLE I - DEFINITIONS, PURPOSE, OBLIGATIONS 21. A. Definitions 22. 1. Act means the Comprehensive Employment and Training Act ?3. of 1973, as amended. 24. 2. DOL means the Secretary of the United States Department 25. of Labor, or any person or persons authorized to act in 26. his behalf. 27. 3. CETAP means Comprehensive Employment and Training Act 28. The purpose of the Contract is to state the covenants and 8. conditions under which the Contractor will implement the 9. STEP '76 10. Program to be funded under the Comprehensive Employment and 11. Training Act Program. 12. C. Obligations of the Contractor 13. The Contractor agrees to implement and operate a program, 14. described in detail in the proposal appearing in Article II 15. hereafter, in 'accordance with the following: The provisions 16. of the Comprehensive Employment and Training Act of 1973, any 17. Federal, State and/or County laws, ordinances, regulations and/ 18. or guidelines, with any 01PC directives or instructions, and any 19. additions, deletions or amendments to any of the above which are in 20. effect at the inception of the Contract, or which may be promulgated 21. during its life. The Contractor shall not perform in any way in- 22. consistent with the terms of this Contract except as approved, in 23. writing, by the 01PC. Adjustments in the services to be provided 24. under Article II below, may not be made without written approval of 25. the OMPC. 26. ARTICLE II 27. A detailed, line -item Budget Application Summary corm, consisting of 14. 7 pages. These documents are found attached hereto as Exhibits A through C . 15. ARTICLE II1 - TIME OF PERFORMANCE 16. This Contract shell become effective upon execution by the County 17. Manager, on behalf of Metropolitan Dade County, as of the 1st day of /\pril, 18. 1976, the services of the Contractor are to commence as soon as practicable 19. after the effective date and shall be completed, in light of the purposes of 20. this Contract., no later than the 30th day of August , 1976. 21. ARTICLE IV - COMPENSATION AND METHOD OF PAYMENT 22. A. Reimbursement - Method of Payment .23. The OMPC agrees to reimburse, or directly pay, all costs 24. reflected in the approved budget appearing as part of Article II above, 25. and allowable under Federal, State and County guidelines. Request 26. for payment shall be made by way of the Metropolitan Dade County 27. Reconciliation and Reimbursement Form 401, or Direct Payment Form 501, 28. and proper documentation, in support of such request, shall be attached 29. thereto and submitted to OMPC for approval. Payment shall be made by 30. the Dade County Finaice Director, upon proper presentation of request 31. and documentation, when approved by the OMPC Director, or his designee, 32. and the Contractor. C. Maximum Compensation The Contractor agrees to accept as full payment for services rendered, in a manner satisfactory to the OMPC, the lesser of the fo11 owi ng : (1) the amount of 30, 328.12 OR (2) the amount of cash expenditures made by the Contractor fo►r purposes of carrying out the services hereunder. To be eligible for reimbursement for personnel costs, the Contractor shall submit to the OMPC for approval, in accordance with DOL guidelines, a detailed statement of the personnel policies of the Contractor. Such a statement 6. shall include pay schedules, work hours, fringe benefits, 7. job descriptions, as well as work history and qualifica- 8. tions'of those employees who will discharge duties in connec- 9, tion with this Contract. The personnel policies to be . 10. followed under this Contract shall be those used by the 11. Contractor in the ordinary course of its business, providing, 12. however, such policies conform to the provisions of the Inter- 13. governmental Personnel Act of 1970 (Public Law 91-648 effec- 14. tive January 5, 1971) . 15. ARTICLL V - RECORDI:EEP1 HG AND DISCLOSURE 16. A. yinancial Accountability 17. The Contractor agrees to a financial systems analysis 10. and an internal fiscal control evaluation being made by an 19. independent auditing firm, employed by Dade County, or by 20. Dade County Internal Audit Division, to determine the capa- 21. bility of the Contractor to fiscally manage this program in 22. accordance with DOL requirements. The OMPC may have addi- 23. tional audits and financial systems evaluations performed, 24. at any time, during regular business hours. 25. B. Inspections of Records 26. At any time, during regular business hours, and as 27. often as Ot•IPC, DOL and/or the Comptroller General of the 28. United States may deem necessary, Contractor shall make 29. available to any or all of the above named parties or their 30. authorized representatives, all subcontracts, invoices, "SUPPORTIVE DOCUMENTS FOLLow» ie 2 . 3. covered by this Contract, for purposes of inspection and 4. making audit, excerpts, photostatic copies and/or transcripts. receipts, payrolls, personnel records, enrollee records, reports, documents and all other data relating to all matters J. C. Retention of Records 6. Contractor agrees to retain all financial records, 7. supporting documents, statistical records, and all other 8. records, pertinent to this Contract, for a period of three 9. years. The retention periot . .:tarts from the date of the 10. submission of the final expenditure report. Records for 11. nonexpendabl e property, acqui red wi th funds under the Con- 12. tract, shall be retained for a period of three years after 13. its final disposition. Said records shall be retained be- 14. yond the three year period if audit findings have not been 15. resolved. .16. D. Evaluation 17. Contractor agrees that the 0MPC will carry out perio- 18. dic monitoring and evaluation activities as deemed necessary 19. by Oh1PC or DOL, or both. The continuation of the Contract 20. shall be contingent upon satisfactory evaluative conclusions. 21. Monitoring and evaluation shall include, but not be restrict- 22. ed to, an assessment of adherence to the terms of this Con- 23. tract, qualitative analysis of program services, interviews 24. with clients, former clients, public and private employers 25. who deal wi th the Contractor, and compari sons of planned 26. versus actual progress. 27. ARTICLE t'I RECRUITMENT OF CLICflTS 20. The Contractor agrees to cooperate with existing manpower 29. related organizations in connection with the recruitment of OVIP �+ Contractor agrees to give advance noti'ication) in writing, to 2, the Ot1PCf of any proposed purchase of nonwcensumable or capital 3, equipment as defined in Article VII (A). No capital equipmment d. shall be purchased without prior written approval of the OMPC. 5. Notice and approval are required before each and every purchase. 6. ARTICLE IX - BONDING AND INSURANCE 7. The Contractor shall maintain during the term of this Con- 8. tract, the insurance and bonds specified below: 9. a) Workman's Compensation Insurance as required by 10. Chapter 440, Florida Statutes. 11. b) Public Liability Insurance, on Comprehensive basis, 12. including Contingent Liability, in amounts not less 13. than $100,000 per person, and $300,000 per occurrence 14. for bodily injury, and $25,000 per occurrence for 15. property damage. 16. c) Contractual Liability Insurance covering all liability 17. arising out of the terms of the Contract Documents. 18. d) Automobile Liability Insurance covering all owned, non- - 19. owned and hired vehicles used in connection with the 20. work, in amounts as indicated in b) above. 21. e) No modification or change in insurance shall be made 22. without thirty (30) days advance notice, in writing, 23. to the Manager, Metropolitan Dade County Finance Depart- 24. ment, Insurance Management Division, Dade County Court- 25. house, 73 West Flagler Street, Miami, Florida, 33130. 26. f) Prior to the disbursement of funds to the Contractor, 27. the Insurance Management Division shall receive assur- 28. ance that all persons handling funds received or dis- 29. bursed under this Contract are covered by Fidelity 30. ARTICLE X -. INDEMNIFICATION 23. It is further understood and agreed 8. that the program funded through this Contract will not result 9. in the displacement of employed workers, impair existing con- 10, tracts for services or result in the substitution of funds allo- 11. cated under this Contract for other funds in connection with 12. work' which would have been performed even in the absence of 13, .this Contract. 14. ARTICLE XII - coNrLICT OF INTERESTS 15. The Contractor covenants that no person, under its employ, 16. who presently exercises any functions or responsibilities in 17, connection with the OMPC or the CETA funded projects or programs, 18, has any personal financial interest, direct or indirect, in this 19. Contract, The Contractor further covenants that, in the perfor- 20. mance of this Contract, no person having such conflicting inter- 21, est shall be employed. Any such interest, on the part of the 22. Contractor or its employees, must be disclosed, in writing, to 23, the OMPC. Provided, however, that this paragraph shall be inter- 24. prated in such a manner as not to unreasonably impede compliance 25. with the statutory requirement that maximum opportunity be pro- 26. vided for employment and participation by residents of the area. 27. The Contractor, in the performance of this Contract, shall 28. be subject to the more restrictive laws and/or guidelines re- 29. garding conflict of interest promulgated by Federal, State or 30, local governments; in particular, Dade County Ordinance 72-82, as 31, amended. The Contractor will take affirmative action to ihform 5., residents of the geographical area to be served hereunder, 6. the services to be offered by:. 7. a) Utilizing any available means for advertisement, 8. as necessary for recruitment and outreach. 9. b) Transmitting copies of all news releases and 10. advertising, that will be, or have been sent 11, to the news media, to the OMPC. 12. ARTICLE XIV - SUBCONTRACTS 13. Contractor agrees to give advance notification, in writing, 14. to the OMPC of any subcontract. None of the work or services, 15. including, but not limited to, consultant work or services, 16. covered by this Contract, shall be subcontracted without prior 17. written approval of 0t4PC. The advance notification shell include: 18. a) Identification of the subcontractor. 19. b) The proposed subcontract price, together with a com- 20. piette and accurate breakdown of that price by component. 21. c) Identification of the type of subcontract to be used. 22. ARTICLE XV - AMENDMENTS 23. The OIIPC and the Contractor may, in their discretion, amend 24. this Contract, at any time, to conform with any contingencies 25. which may require such amendment. Amendments, if required, shall 26. be incorporated, in writing, to this Contract, upon review, appro- 27. val and execution by the parties hereto. Termination for Cause: If, through any cause, the Contractor 3, shall fail to fulfill, in a timely and proper manner, its 4, obligations under this Contract, or, if the Contractor shall 5. violate any of the covenants or stipulations of this Contract, 6. the OMPC shall thereupon have the right to terminate this Conte /. tract, in whole or in part, at any time, by giving written 8. notice of such termination to the Contractor, specifying the 9. effective date thereof, at least five days before said ef.fec- 10. tive date. The Contractor shall be entitled to receive just 11. and equitable compensation for any services satisfactorily 12. performed hereunder through the date of termination. 13. Notwithstanding the above, the Contractor shall not be 14. relieved of liability, to the O!IPC, for any damages sustained 15. by the OMPC by virtue of any breach of Contract by the Con- 16. tractor, and the OMPC may withhold any payments to the Con- 17. tractor for the purpose of set-off until such time as the .18. exact amount of damages due the OMPC from the Contractor is 19. determined. ?.0. B. Termination for Convenience of the OMPC: The OMPC may terminate this Contract when it is determined, by the OMPC, to be in the 22. best interest of the overall area plan, by giving at least 23, thirty days advance notice, in writing, to the Contractor. 24. The Contractor shall be entitled to receive just and equitable 25. compensation for any services satisfactorily performed here- 26. under through the date of termination. 27. C. Termination for Convenience of the Contractor: The Contractor 28. may terminate this Contract, at any time, by giving at least 29. thirty days advance notice, in writing, to the OMPC. The 30. The Contractor assures and certifies that: 6. 1) It possesses legal authority to enter into this Con- 7• tract; a resolution, motion or similar action has been 8. duly adopted or passed as an official act of the Con-. 9• tractor's governing body, authorizing the execution 10. of the Contract, including all understandings and 11. assurance, contained herein, and directing and authorizing 12. the person identified as the official representative of 13. the Contractor to act in connection with the Contract 14. and to provide such additional information as may be 15. required; 16. 2) It will comply with Title VI of the Civil Rights Acts 17. of 1 964 , (Pi_ I_ . 88-354) , and in accordance with Title VI 18. of the Act no person in the United States shall on the 19. ground of race, color, sex, or national origin, be [U. excluded from participation in, be denied the benefits 21. of, or be otherwise subjected to discrimination under 22. any program or activity for which the Contractor re- 23. ceives Federal financial assistance, and the Contractor 24. will immediately take any measures necessary to effectu- 25. ate this assurance. 26. 3) It will comply with Title VI of the Civil Rights Act 27. of 1964, (42 USC 2000d.) prohibiting employment dis- 28. crimination where (1) the primary purpose of a grant 29, is to provide employment or (2) discriminatory employ- . ° -..
