FINANCIAL PROPOSAL

OVG Response 8-28-25
PHASE 1
City of Miami (City) and Oak View Group (or a subsidiary thereto) (OVG) to immediately enter into a
operating/management agreement for Flex Park for a term of 5yrs, subject to early termination upon
commencement of the long-term operating/management agreement for Miami Marine Stadium (following its
restoration) and Flex Park, as described below. City and OVG to also enter into an expert consultant agreement
for the same term, covering the monthly consulting fee and pre -opening deliverables at Miami Marine Stadium
site.
During this period City and OVG will
• Advance a referendum for the approval of the long-term management agreement
• Negotiate and execute the long-term operating/management agreement
• Develop an operating business and capital improvement plan with a detailed cost plan for operations,
and capital improvements of both the stadium and flex park (such plan to be mutually agreed by the
parties)
• City will develop and implement a financing plan for the capital improvements for the stadium and flex
park with assistance from OVG
• City will commence and complete construction of the improvements to the stadium with assistance
from OVG
• City will commence and complete construction of the improvements to the flex park with assistance
from OVG
• OVG will operate the existing site
PRE OPENING CONSULTING SERVICE FOR MIAMI MARINE STADIUM AND EXISTING FLEX PARK & OPERATIONS OF
EXISTING FLEX PARK
- Oak View Group (OVG) will be paid a monthly consulting fee of fifteen thousand dollars ($15,000) for
completing the pre -opening deliverables at Miami Marine Stadium site. The City shall also reimburse
OVG for any pre -approved out of pocket expenses directly related to such consulting services.
OPERATIONS OF FLEX PARK
- OVG will be paid a monthly management fee of Twelve Thousand Five Hundred Dollars ($12,500) plus 7% of
gross revenues (including food and beverage and sponsorships) for operations of existing Flex Park prior to the
completion of renovation of the Miami Marine Stadium and the flex park All revenue from the operation
of Flex Park (other than the fees described in this paragraph) shall belong to the City. All operating
expenses related to the operation of Flex Park shall be funded by the City.
PHASE 2
ONGOING OPERATIONS FEE PROPOSAL
CONTRACT TERM
- OVG proposes an initial term of ten (10) years, with the option for three (3) additional renewal terms of
ten (10) years each. Renewal terms shall be subject to mutual agreement by both parties. The initial term
will commence at Certificate of Occupancy of Miami Marine Stadium, following its restoration, and upon
completion of the Flex Park improvements.
BASE MANAGEMENT FEE
- OVG shall receive an annual base management fee of four hundred thousand dollars ($400,000) for
managing the Miami Marine Stadium and Flex Park. Starting with the 46 year after the opening date of the
Stadium, this fee will be subject to an annual increase based on the Consumer Price Index (CPI).
INCENTIVE FEES
- OVG shall receive an incentive fee equal to seven percent (7%) of Gross Event Revenue.
NAMING RIGHTS / SPONSORSHIP / PREMIUM SEATING
- OVG's Global Partnerships division will serve as the exclusive sales agent for sponsorship and premium
seating for the Stadium and Flex Park. OVG will receive a commission of fifteen percent (15%) of all gross
sponsorship and premium seating revenue. Sponsorship will be subject to City approval and compliance
with any applicable laws and regulations.
PARKING OPERATIONS
- Should OVG be engaged to manage parking operations, a separate fee structure will be negotiated for
those services.
FOOD & BEVERAGE SERVICES
- OVG Hospitality will serve as the operator of Food & Beverage services at the Stadium and Flex Park. OVG
will retain the right to subcontract these services at its sole discretion. OVG Hospitality will retain seven
percent (7%) of gross food and beverage sales. All Food & Beverage revenue (other than the 7% fee) shall
belong to the City. All expenses of the food and beverage operation will be the responsibility of the City
(on the P&L for the stadium and Flex Park).
REVENUES & EXPENSES
- Subject to the foregoing fees, the City shall retain all revenues from the operation of the stadium and
Flex Park, and shall fund all expenses related to the operation and maintenance of the stadium and Flex
Park.
CAPITAL INVESTMENT
OVG proposes to make a total capital investment of up to ten million dollars ($10,000,000), subject to the mutually
agreed upon final program elements of the renovated stadium and Flex Park, to be contributed as follows:
Up to five million dollars ($5,000,000) to be paid at the time of the first public event at the renovated stadium.
This investment will be amortized over ten (10) years.
Up to five million dollars ($5,000,000) to be paid upon the fifth anniversary of the first public event at the
renovated stadium. This investment will be amortized over five (5) years.
If the management contract terminates prior to full amortization of OVG's investment, the City shall pay to OVG
the amount that remains unamortized upon the termination date, as to be further described in the long -form
management contract between the City and OVG.
The City will contribute the remaining capital necessary to complete the improvements (including purchase and
installation of all FF&E) to the Stadium and Flex Park, consistent with the capital plan developed in Phase 1 of the
operating period. At a minimum, the City shall fund sufficient amounts to ensure the stadium and Flex Park meet
all requirements to become and remain fully operational in accordance with all applicable laws. OVG's obligation
to contribute its capital investment, as described above, is subject to and conditioned on the stadium meeting
mutually agreed design and programming requirements to be described in the long -form management contract
between the City and OVG. The parties shall work together to develop the design plans and FF&E budget for the
stadium renovations to ensure all operational expectations are achievable. The City shall be responsible for all
design and construction costs (subject to OVG's capital contribution as described above) related to the stadium
renovations pursuant to the mutually approved design. OVG will be granted access/control of parking spaces
during the contract term to accommodate event expectations.
SUBJECT TO BOARD APPROVAL
All financial proposals and capital investments are subject to final approval by Oak View Group's Board of
Directors.

The Rhythm Foundation strongly supports restoration of Miami Marine Stadium. The Marine
Stadium is a truly unique cultural gem, and we believe that our own experience is quite relevant
to the opportunity the city has.
By way of introduction, the Rhythm Foundation is a not -for -profit organization that presents
international music. We create shared cultural experiences that build and connect the diverse
communities of South Florida. Since 1988, we have presented thousands of concerts in many
different venues throughout the area.
In 2015, we took over management of the Miami Beach Bandshell, a national historic landmark
amphitheater in Miami Beach. Constructed in 1962 (almost the same time as the Marine
Stadium) the Bandshell had been operated by the City of Miami Beach and was widely
considered a failure, hosting 1-2 events per month. Through hard work by our board and staff
and cooperation from the City of Miami Beach, the Bandshell is now an enormous success. We
host about 140 events per year and, with average annual attendance around 80,000, we are the
busiest cultural venue in Miami Beach. We stream some of our concerts worldwide on Quincy
Jones's QWEST TV channel and Time Out Magazine named us "The Best Live Music Venue in
Miami". Most important: the crowds are both diverse and joyous.
There are two lessons to be drawn from our success: First, a venue of this nature should not be
managed by a government entity but by a motivated, professional facilities management
organization. Good management makes an enormous difference. We know that the Marine
Stadium was operated by the City of Miami and, unfortunately, was not successful. Because
facilities management is very competitive and entrepreneurial, this is not surprising. That's why
five venues that were managed by the governments in Miami and Miami Beach are now run by
outside professional operators - and they are all working well.

Second, we have learned that a venue can be both commercially successful and a major
benefit to the community. As a non-profit, community access and engagement is extremely
important. We work with a network of over 50 other non -profits to host their events and 30% of
our shows are free. We try to keep our ticket prices affordable and our fees relatively low for
our partner non -profits. At the same time, we work hard to drive revenue through appropriate
commercial events, working with many major promoters including Live Nation and AEG. Our
concessions operation is fine tuned and market sensitive. So, it is possible to achieve BOTH
financial goals and community goals. We do urge the City of Miami to make sure that there is a
carefully structured community component so that the Miami residents who cannot typically
enjoy unique waterfront experiences can access the Marine Stadium.
Our experience demonstrates that the Marine Stadium can be very successful in every sense of
that word and we would be pleased to help in any way that we can.

Designed in 1962 by Cuban -born architect Hilario Candela, the Stadium's daring 326-foot
cantilevered concrete roof was an engineering breakthrough of its time and remains a sculptural
masterpiece today. Its form is bold, expressive, and visionary — a rare example of architecture that
feels both monumental and poetic, merging structure, landscape, and water into a singular civic
space. Buildings of this caliber are not replaceable; they define a city's character and connect
generations through shared physical landmarks.
Great architecture does more than house events — it shapes community life, civic pride, and
economic vitality. Around the world, iconic venues such as Red Rocks Amphitheatre demonstrate
how distinctive design can transform a place into a cultural destination, generating tourism, jobs,
and global recognition. Miami Marine Stadium has already proven its power as a gathering place,
hosting boat races, concerts, sunrise services, and community celebrations for decades. Its
restoration would give Miami residents something increasingly rare: an accessible waterfront civic
space where culture, nature, and architecture meet — a democratic venue where every resident,
not only the privileged, can experience the beauty of Biscayne Bay from a world -class setting.
It is deeply disappointing that a structure of such historic and architectural importance has waited
decades for restoration, especially when it survived Hurricane Andrew structurally intact. Few cities
would allow a National Register landmark, recognized internationally for its design significance, to
sit dormant for so long. Restoring the Marine Stadium is not merely a construction project — it is a
long -overdue act of cultural stewardship and civic responsibility. Approving the Resolution is a
crucial step toward finally honoring this architectural treasure and returning it to the community it
was built to serve.

Dear Mayor and Commissioners,
On behalf of the board of directors of Docomomo US, the nation's leading preservation
organization dedicated to the preservation of Modern architecture, landscapes and
design, we strongly support moving forward with the restoration, preservation, and
reopening of the Miami Marine Stadium. The Stadium is one of the most important
works of Modernism in the state of Florida and Docomomo US listed it as one of
eleven of the most important Modern sites in 2021.
The Stadium is also a rare and irreplaceable work that has long served as a source of
inspiration for artists, designers, and creatives, while also offering a uniquely
democratic relationship to the waterfront. Its preservation affirms Miami's commitment
to cultural excellence, public access, and the protection of meaningful artistic
landmarks that continue to shape the city's creative identity.
In 2023, Docomomo US hosted its annual National Symposium in Miami where more
than 300 architects, preservationist, academics and architecture enthusiasts from all
over the country came together to tour and celebrate Miami's rich Modern architectural
design history. During the event, we offered boat tours to the Stadium on every day of
the event because of its iconic nature and the fact that we knew every attendee would
want to see the Stadium while visiting the area.
We strongly believe that a restored Stadium will be a cultural draw for residents as well
as domestic and international travelers. We cannot emphasis this more and implore you
to prioritize the restoration, preservation, and reopening of the Miami Marine Stadium.

Miami Marine Stadium offers our community far more than a performance venue. It is one of the
most distinctive architectural achievements in the United States. It's a unique and precious part of
Miami's cultural heritage.
Created in 1962 by Cuban -born architect Hilario Candela, the Stadium features a groundbreaking
326-foot cantilevered concrete roof. This was a stunning engineering accomplishment for its
moment time, which continues to thrill the eye for its grand sculptural presence. Its design has
been called daring, lyrical, and visionary. It is an architectural gem, exquisitely sited to draw
together architecture, landscape, and water into one civic landmark.
Architecture of this caliber does more than host gatherings — it strengthens civic pride, fuels
cultural life, and drives economic vitality. Miami itself provides one of the strongest examples of
how preserving significant architecture can transform a city: the protection of the Art Deco District

drawing tourism, investment, and global recognition. The Art Deco District significantly enhanced
the cachet that brought Art Basel Miami Beach to South Florida in 2002, illustrating how protecting
visionary design can redefine a city's future and establish its identity as an international cultural
destination.
It is severely disappointing that such a historic, distinctive landmark has been neglected for
decades, particularly given that the structure itself survived Hurricane Andrew. Few cities would
permit a site listed on the National Register of Historic Places — and recognized internationally for
its design significance — to be ignored for so long.
Reviving the Marine Stadium is not simply a construction project. Indeed, this promises a seriously
overdue project of visionary importance. It will be a memorable act of cultural stewardship and civic
responsibility. Supporting the Resolution is an essential step toward at long last honoring this
cultural treasure by allowing it to serve our community as it was intended.

I am writing to urge support for the restoration of Miami Marine Stadium. The Stadium is
an extremely important Cultural and Architectural Asset for the City of Miami, which is
cruical to protect and retore.
I say this as a past Vice President of the National Trust for Historic Preservation, which
included Miami Marine Stadium on its list of 11 Most Endangered Historic Places in
2009, and a past North America Regional Director of the World Monuments Fund, which
included the Stadium on its 2010 Watch. The significance and importance of Miami
Marine Stadium is such that is the only property ever to be recognized by both these
organizations, respectively the leading not for profit organizations in the United Stated
and the World. This puts Miami Marine Stadium in the category of Angkor Wat, the Taj
Mahal, Ellis Island, and, in terms of modern architecture, Eero Saarinen's TWA terminal
at JFK airport in New York, another masterpiece constructed of reinforced concrete.
It is hard to think of another building so culturally and symbolically connected to the
place it was built. Designed by Cuban Born architect Hilario Candela in a city deeply
imbued with Cuban culture, Miami Marine Stadium combines Candela's Cuban
architectural heritage with the most innovative and dramatic engineering of the mid-20th
Century. It is a landmark in every sense of the word.
The future of Miami Marine Stadium is in your hands. For Cubans, for Americans, for
Cuban Americans and for the entire planet, please vote for the restoration of this
singularly important building.

What matters to me now is the future.
Now I'm 34 years old and I want to be able to take my children there and tell them, "This is where your family

diverse creative identity. From that perspective, the Marine Stadium remains a living cultural asset with the potential
to inspire future generations.
Miami has already lost irreplaceable landmarks like the Orange Bowl. We cannot allow the same fate to happen to

Dear Mayor and Commissioners,
On behalf of the Miami Rowing Club (MRC), we would like to express our support for the resolution
that would appoint the City's chosen partner, Oak View Group, to operate the Miami Marine Stadium
once the Stadium is renovated.
MRC's boathouse is located on City -owned land adjacent to the Miami Marine Stadium and MRC
has enjoyed a more than 50-year collaboration with the City of Miami. MRC's nationally recognized
youth rowing program is the heart of MRC. MRC is also home to a masters (post -collegiate) rowing
program and competitive Dragonboat and outrigger canoe teams. Hundreds of MRC athletes train
daily on the Miami Marine Stadium basin (the Basin). MRC also holds, in the Basin, the annual Miami
International Regatta, Miami's premier competitive rowing competition, usually attended by
approximately 800 athletes from Florida as well as other states and countries.
Two reasons lead us to express our support for the resolution.
Firstly, the concept of renovating the Miami Marine Stadium and making it a space where the
community can access the waterfront is aligned with our values: a benefit for the community that is
open to anyone who wants to enjoy a natural gem in the heart of our city.
Secondly, we believe that, in the long term, a renovated and fully functional Miami Marine Stadium
is the best neighbor that MRC can have. We believe that, through open dialogue with City officials
and the Oak View Group, the planning for development of the Miami Marine Stadium can be done in
a way that addresses MRC's long-term needs, which include:
• the need for daily operation of the MRC boathouse without interruptions or shutdowns,
• the need for daily access to the Basin without any major restrictions that would impede
training,
• the need for daily access to part of the current flex park parking (surrounding the Stadium) for
parking overflow, and
• the need for space surrounding the Stadium to hold the long-standing annual Miami
International Regatta and other rowing and paddling events.
We reiterate our support for the resolution, and look forward to establishing an open channel of
communication with the relevant City officials and the Oak View Group in relation to planning for
the Stadium renovation and its implications for the Basin and the surrounding area.

I am writing to strongly support restoration of the Miami Marine Stadium. I believe that
this venue, once restored, will become one of the truly great venues in the world.
I speak from experience. I am a entertainment venue management professional who
has worked in this field for many years. Most applicable: I have served as Production
Manager and Assistant General Manager for Red Rocks Amphitheater outside Denver,
Colorado (https://www.redrocksonline.com/). Red Rocks is a natural Amphitheatre that
was converted into a public venue, carved from the hill by the Civilian Conservation
Corps in the 1930's. It is one of the most successful venues in the world. Red Rocks
hosts over 200 concerts and 1.5 million visitors per year, including 500,000 people from
outside of Colorado. It is extremely profitable and generates $20 million per year in tax
revenues for the City of Denver through tourist expenditures. I believe it has become
the largest tourist attraction in Colorado.
I was a consultant on the Marine Stadum feasibility study done for the City of Miami by
AMS Planning and Research. When I saw the building for the first time, I was stunned.
Red Rocks is hugely successful because it offers the viewer an extraordinary
"immersive" experience. But artists often choose to play Red Rocks even though they
can make much more money in other local venues. So many artists have told me it is
their lifelong dream to play there. I believe the Miami Marine Stadium has a similar
appeal. The distinct architecture, the views of the city, and a stage that will be on the
water create a setting that will draw artists and music lovers alike.
There are so many events that would benefit from the setting. A producer with IMG told
me he's always wanted to do a celebrity tennis match there. He can see the Stadium
from his Miami condominium! The fact that there is not a permanent stage, opens it up
for so many possible productions. While a consultant for Denver Arts and Venues,
before returning permanently, we created "Film on The Rocks" which generally sells out.
Now there is "Yoga on the Rocks, `Ski Shape on the Rocks". All sold out. People want
to come to an incredible, one -of -a -kind destination so they can tell their friends about
the experience.
Like Red Rocks, there is only one Miami Marine Stadium. And I absolutely could not
believe that it is just sitting there. You have a magnificent asset, a building that once
renovated, will truly become one of the great open-air venues in the world.
In a unique facility like this, there are always operational challenges. For one, you have
to make sure that the stage will meet the current production and performance
requirements. Red Rocks has always had physical challenges, but creative thinking can
resolve them and often result in amazing improvements. After studying the facility,
know there are solutions and incredible opportunities!
Another important issue is community involvement. While I am convinced that the
Marine Stadium will be commercially very successful, it is very important to make sure it
is accessible to Miami residents, many of whom may not be able to afford to buy high
priced tickets.
At Red Rocks, we make sure that the venue is open to the community on days where
there are no shows booked.
One idea: Make the Marine Stadium a community venue during- off nights (ie.
Monday/Tuesday/Wednesday).
can see "Come Mondays" on Monday nights, a weekly tribute to Jimmy Buffett who,
we know, loved the Stadium. Latin Music Tuesdays and World Music Wednesdays.
The local CVB can promote these consistent shows to incoming tourists. This would
help cement the Stadium as a destination.
I see that the City has selected the Oak View Group to operate the Marine Stadium.
This is an excellent choice -they have the experience and capability to properly manage
this building. They are especially strong in music and concert promotion and their very
extensive relationships in the music industry should be extremely helpful to the Marine
Stadium.

asset. Please take advantage of the magnificent opportunity that you have.

As founder of the Greater Miami and the Beaches Hotel Association as
well as a founder of the Greater Miami Convention and Visitors Bureau,
know the importance of tourism. As Director Emeritus of the Arsht
Center I also know the important of community.
Just as important as tourism is a sense of community, those such as
the Arsht Center that not only attract visitors but brings
the community together. We as Miamians take great pride in our
history and traditions.
Restoring the Stadium, the only one of its kind in the United States,
under the leadership of the largest entertainment and venue operator
in the country, with no cost to the citizens of Miami, is what's at stake.

After 33 years, we applaud the City of Miami's efforts to restore this world famous and architecturally
significant symbol of our City. The Miami Marine Stadium has been named a National Treasure by the
National Trust for Historic Preservation, is on the Watch List of the World Monuments Fund, has been
designated historic by the City of Miami and is on the National Register of Historic Places. This one -of -a
kind masterpiece designed by Cuban born architect Hilario Candela represents the best of Miami and we
look forward to bringing it back to our community.

Dear Honorable Mayor and Commissioners:
am writing to you in strong support of restoration of the Miami Marine Stadium. As
past President and CEO for 23 years of the Greater Miami Convention and Visitors
Bureau, I know that in promoting a destination, distinguishing yourself from the
competition is critical. As an attraction and a venue, it has no competition. This is a
reminder that we are the cruise capital of the world.
I've had some wonderful experiences there. I got to Miami in 1969 and I attended
many boat races, concerts (yes, Jimmy Buffett) and events there. Today, there are
multiple ways to use the facility that we have not thought of before. The Miami Marine
Stadium will help the Greater Miami Convention and Visitors Bureau attract new
meeting business. Convention managers always look for unique opportunities for
attendees in the host city. Since the Oak View Group will operate both the Marine
Stadum and the Miami Beach Convention Center, this will be a big selling point that will
be very helpful to the Bureau.
The Stadium itself is a wonderful press magnet. In 2023, I was the host to a segment
about the Miami Marine Stadum done by the Great Britain's Discovery Channel for the
television series, "Hidden America". The episode is being aired in 30 countries
worldwide and the United States for a six -year period. I always get texts and emails
from people around the world who see it. This is the type of constant publicity that the
Miami Marine Stadium will generate. It is a perfect showpiece for Miami. It reminds the
world that Miami is on the water. It is truly the Magic Venue in the Magic City before
it.
Moving forward with the Miami Marine Stadum restoration is a wonderful opportunity
for the new City Commission and our opportunity,
