MANAGER TO EXECUTE AN AGREEMENT WITH
MIAMI WORLD TRADE CENTER, INC. FOR THE
PREPARATION OF A DETAILED DEVELOPMENT
ANALYSIS IN CONNECTION WITH THE DOWNTOWN
CONVENTION CENTER PROJECT IN ACCORDANCE
WITH THE TEKMS AND CONDITIONS SET FORTH
IN THE ATTACHED COPY OF SAID PROPOSED
AGREEMENT, WITH FUNDS THEREFOR ALLOCATED
FROM 2ND YEAR COMMUNITY DEVELOPMENT BLOCK
GRANT FUNDS.
BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized
to execute an agreement with Miami World Trade Center, Inc. for
the preparation of a detailed development analysis in connec-
tion with the Downtown Convention Center Project in accordance
with the terms and conditions set forth in the attached copy
of said proposed agreement, with funds therefor hereby alloca-
ted from 2nd Year Community Development Block Grant Funds.

Pursuant to resolution no. 77-619 passed by the City Commission on July 28, 1977,
and the discussions we have subsequently had, we are enclosing a draft of our proposed
Agreement to initiate a development Analysis of a proposed World Trade Center to be
developed on City land adjacent to the James L. Knight Conference -Convention Center.
We look forward to a review and consideration of this proposed Agreement, by your
office and the City Attorney, prior to making a formal presentation before the City
Commission on October 27, 1977.

day of A.D., 1977, by and between
ITIE CITY OF MIAMI, a Municipal Corporation of the State of Florida (hereinafter
sometimes referred to as CITY) and M AMI WORLD TRADE CEfJTLR, INC., a Florida
corporation (hereinafter sometimes referred to as RWIt) .
W ITNESSETH
WHHIEREAS, the CITY, in conjunction with the University of Miami (hereinafter
UNIVERSITY), proposes to construct a Conference -Convention Center on the site com-
monly known as the Feinberg Tract, .located at S.E. 4 Street and S.E. 2 Avenue, and
the Dallas Park Property, which Center will also include the James L. Knight Center,
parking garage, 2 hotel, shops and restaurants and, possibly, an office building,
hereinafter called the PROJECT: and
WHEREAS, the CITY has programmed approximately $10.5 million from the balance
of the Convention Center General Obligation Bonds, and the sale of certain land at
Virginia Key to the Miami. -Dade Water and Sewer Authority; and will have $2.5 million
from funds to be provided by the UNIVERSITY as advance payment of lease; and may
have funds to be provided by The Off -Street Paiking Authority; and
WHEREAS, the CITY has expressed an interest in possibly including as part of the
PROJECT a World Trade Center for Miami (hereinafter sometimes called WIC), which
would be affiliated with the international World Trade Centers Association (hereinafter
sometimes called WTCA); and
WHEREAS, the Commission of the City of Miami on July 28, 1977, by motion number
77-619 authorized the City Manager to begin discussions with Miami. World Trade Center,
Inc., concerning CITY participation in the possible development of a World Trade
Center in the area of the City -owned Dallas Park complex; and
WHEREAS, the CITY is desirous of maximizing the use of the PROJECT and further
developing its international image and visibility by possibly including a World Trade
Center therein; and
t•kIEREAS, the CITY agrees that if it decides to include a World Trade Center in
the PROJECT, said W'IC should be affiliated with and be a member of the international
organization of World Trade Centers, W'ICA, with its headquarters in The World Trade
Center -New York, and thereby take advantage of the international prestige, publicity,
services and other- advantages offered by said association; and
WHEREAS, Miami World Trade Center, Inc., has been granted membership in The
World Trade Centers Association, by resolution of its Poard of Directors, as the
exclusive organization to develop a World Trade Center in Miami; and

and World 'Trade Center projects in other areas of the world; and
IVTIERLY.,S, : tl:li 1L World Trade Center, Inc. , has agreed in preliminary discussions
with the cm. that the PROJECT appears to provide an ideal situs for the ‘,ITC as
well as fulfilling the essential requirement of public participation with the
private sector in i is development and irrrslementztion; and
WHEREAS, :'liarni World Trade Center, Inc., is desirous of preparing a preliminary
development analysis (hereinafter called ANALYSIS) for confirming the need for,
requirements of and economic feasibility of developing a World Trade Center structure
on the Dallas -Park site in conjunction with the PROJECT; and
WIIEREI\S, Miami World 'made Center, inc., is ready, willing and able to expend
the substantial risk capital necessary to corrrplete a thorough and complete development
analysis or a WIC, in the PROJECT, utilizing its considerable background and expertise
in such specialized studies and retaining an independent consulting firm, endorsed
by t'.TC1\ as having the required background to provide the specialized studies required;
and
WHEREAS, Miami World Trade Center, Inc., is desirous of securing the participation
of the CITY in contributing relevant data and a nominal cash contribution towards
preparing the ANALYSIS required to determine and reconme.nd the perameters and viability
of a World Trade Center in the PROJECT; and
WHEREAS, :•lia ii World Trade Center, Inc., is willing to incur the titre and expense
required to acccrrplish the ANALYSIS based on the mutual understanding and agreement
that it. will participate in the 1.,7TC development if the CITY agrees to go forward

with the exception of $10,000.00 which shall be paid by the CITY and $20,000.00 which
shall be obtained from other local sources within forty five days hereafter.
D. the Cm agrees that it shall consider all independently obtained
reconiw'ndat.ions made in the ANALYSIS in determining the terms and conditions that
shall be required in implementing the PROTLC'P defined therein.
SECTION II - ANALYSIS.
MNTC, in close coordination with the CITY, and other public and private
entities connected with international trade and commerce in Florida, shall prepare
and or cause to be prepared a detailed development ANALYSIS and program ,.nd shall be
fully responsible for all professional and technical aspects thereof. The CITY's
review and approval of the ANALi'SIS will relate only to overall compliance with the
undertaking hereinafter. outlined.
A. FEASIBILITY A'NALYSIS. A detailed economic analysis of the proposed
PROJECT, including recomundation of the scope and dimension, services to be offered
by, and source of financing for, the Miami World Trade Center will be prepared by
SECOFI (Societe d'Etudes Economiques, Conmerciales et Financieres), of Paris, France,
pursuant to its proposal, attached hereto and made a part hereof as Exhibit A.
SECOFI is a totally autonomous and independent consulting company
having no affiliations with or legal relations to I`W'I'C or any of its shareholders.
Its findings and recommendations shall be completely independent of and not prejudiced
by any influence or intervention by WIC. However, w`PC may provide assistance in
determining essential areas of study, locating potential users of the facility to be
established, and act as liaison with elements of the local community.
B. PRELIMINARY DEVELOPMENT PLAN. WIC shall prepare in conjunction with
innd including the feasibility analysis, a proposed development plan including the
following:
1. A study which would set forth the criteria necessary for the CITY
to male a decision as to what could be required of it to proceed with implementing
the WTC in the PROJECT. The study shall include a forecast for future needs as a
result of projected usages, business, trade and population projections within the
PROTECT zone of influence. NWTC shall make recomnendations regarding the mariner in
which the CITY could cooperate in achieving the best interest of the CITY in creating
a successful World Trade Center developed with private capital.
2: ,W-C shall complete a trritten program describing the physical
facilities, con un elements and recrr ended services to be made available to the
local trading ccramunity at I arcie, necessary to satisfy the needs of the. CITY and
interhational `:releieg conruulit•; regarding a World Trade Center. This report shall
consider the total development of the PROJECT. The written program shall contain

(a) The anount of space and/or the number and typo of people,
businesses and services to be accommodated fur the various functions to be performed
within the facility as a World Trade Center taking into consideration present and
projected economic realities.
(b) Identification of interested 'major tenants.
(c) An Architectural Program, including 'We amount of space and
type of utilities and conmon elem-nts and services needed to serve the Center.
(d) Special equipment and systems requirements.
(e) Vehicle and pedestrian access requirements.
(f) Parking requi.rcm. nts.
(g) Operational organization of the building as a World Trade Center.
(h) Visibility and Impact on D :xrtoV:gin Image.
(i.) Character of the Architectural Design requirements.
(j) Maintenance requirements .
(k) Special service and corrnon element requirements.
(1) Service and Storage Area requirements.
(m) Food Service Facilities.
3. ;sWrC shall com plete a preliminary site analysis report. This report
would set forth the following information:
(a) Is the site selected adequate in size and shape to accommodate
the World Trade Center?
(b) Does the site present any unusual development problems? If
so, c.that are the costs involved?
(c) Are all ester and sewer facilities necessary available at the
site? If not, what are the costs involved in securing these?
(d) Are all off -site access roads and walks available and satisfac-
tory? If not, what are the costs of developing adequate vehicle and pedestrian access?
(e) Is the. site free and clear of all buildings Auld/or other en-
cumbrances? If not, what are the costs of preparing the site for new construction?
(f) Comparative iralysis of site in regard to benefits of. locating

4. ; biro shall l complete the ANALYSIS as described herein within
manths from the date hereof and submit its final written report at that time.
5. The ANALYSTS shall be bound in a report and five (5) copies shall
be delivered to the CITY.
6. MN C shall nuke a presentation to a full City Conm,i.ssion of the
ANALYSTS for The World Trade Center at the earliest possible date after the report
has Ikon delivered to the City ,'t-inager.'s office.
7. MiVIC shall make presentations at Public Bearings to groups and agencies
as directed by written request from the CITY.
SECTION III - 00ST OF ANALYSIS.
The total cost of the ANALYSIS to be prepared by hW'I'C is estimated to be
$180,000.00. Mo:TC agrees to incur an estimated $15d,000.00 of said cost subject to
the following conditions precedent.
A. The CITY agrees that upon execution of this Agrcenrnt it shall contribute
$10,000.00 of the cost of SECOFI's feasibility analysis upon notification by MW7C
that it has obtained commitment for or payment of a contribution of $20,000.00 from
other private or public sources in the Florida conrnuniLy towards the SECOFI Study.
It is understood that this notification shall be made no later than
forty five days from the date hereof. MW.0 shall use its best efforts to acciuire
said contribution. In the event that said contribution is not made within said time
period, then at YTA C's option, upon notification to the CITY, it shall provide said
contribution through its own sources or it shall terminate this Agreement with no
obligations created by or inuring to either party. If tinnily notification is made
of said contribution or of bllti'IC's election to provide said contribution, then the

All written reports obtained, compiled and aue�L L to this Agreement
and other data developed as a result of this Agreement shall become the joint property
of the CITY, MbVIC and such other parties that nuy participate in financing the cost
of the Study, without restriction of limitation on their use.
SECTION V - SUCCESSORS AND ASSIGNS.
,'•tVIC shall make no assigCum?nts or transfer of this Agreement, assign or
transfer any part of the work under this Agreement without the written consent of
the CITY. '1'}iis Agreement shill J. binding upon the parties hereto, their heirs,
executors, legal representative, successors and assigns.

Dear Mayor and Commissioners:
Recent events have prompted me to restate the position of the New World Center
Action Committee of the Greater Miami Chamber of Commerce in regards to the
City of Miami -James L. Knight -International Conference Center and the "Paul"
proposal for a World Trade Center as part of the same complex.
Therefore our recommendations to you and your colleagues are as follows:
1) That a World Trade Center is in the best interest of the City of Miami because of
the economic advantages to industry and employment which will be encouraged by
such a development in the expansion of Foreign Trade.
2) That the Convention Center Site is ideally suited as the location of the World
Trade Center with maximum utilization of the area through air rights development
over a planned parking facility.
3) Therefore that the City of Miami support the intended feasibility study proposed
by the petitioning developers with a contribution of S1 G,000 towards the total cost
of the study, provided however,
a) That the City will be a co -client of the study consulting group,
and
b) That the City's contribution will only come due when there is
evidence of the contribution of an additional $20,000 of funds from
other sources essential to a total of $30,000 required by the
petitioning developers to initiate the feasibility study, and
c) That a time -table for completion of the study v•ill have been
agreed to and committed, and
d) That the City of Miami, for its contribution of $10,000 will
receive a copy of the study for its own uncommitted use, and
e) That the City will retain its copy of the study without obligation
to the petitioning developer even if subsequently another developer
will have been selected for the World Trade Center.

The Chamber's support is pre -conditioned on the assurance that ground breaking for
the Convention Center scheduled on or before January 4, 1978 will not be affected
or delayed by any consideration or action motivated by the World Trade Center
interest in that location.
We are excited about this development continuing the progress toward the New
World Center and applaud your leadership toward those ends.
