AND ZUBI ADVERTISING SERVICES, INC..A JOINT VENTURE, FOR ADVERTISING AND PUBLICITY SERVICES FOR THE TRADE FAIR OF THE AMERICAS, UPON THE TERMS AND CONDITIONS SET FORTH IN THE ATTACHED AGREEMENT, WITH FUNDS THEREFOR ALLOCATED FROM THE LATIN AMERICAN TRADE EXHIBITION (TRADE FAIR OF THE AMERICAS) TRUST AND AGENCY FUND. WHEREAS, the City advertised for and received proposals ftOt Various firms for the provision of advertising, and publicity Services for the Trade Fair of the Americas; and WHEREAS, the City Commission, by Resolution 77-756, dated September 23, 1977, authorized the City Manager to negotiate a contract with Schulte, Reece, & Aguilar, Inc. and Zubi Advertising Services, Inc., as the firms to provide such services; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI FLORIDA: Section 1. The City Manager is hereby authorized to enter into an agreement with Schulte, Reece, & Aguilar, Inc. and Zubi Advertising Services, Inc., a joint venture, for providing advertising and publicity services for the Trade Fair of the Americas upon the terms and conditions set forth in the attached agreement, with funds therefor hereby allocated from the Latin American Trade Exhibition (Trade Fair of the Americas) Trust and Agency Fund. Crumpton Assistant City Manager r OCt g i977 Ekedution of Agreement for Advertising and Publicity Cervices for the Trade Fair of the Americas The Trade Fair of the Americas had progressed to the point where an Advertising and Publicity Program was needed. Ads were placed requesting interested parties to respond. A committee was appointed to review the responses and make a recommendation to the Manager who in turn recommended an action to the Commission. The Commission, on September 23, 1977, by Resolution No. 77-756, authorized the City Manager to negotiate a contract with Schulte, Reece, & Aguilar, Inc. and Zubi Advertising Services, Inc. as the firms to provide such services. The attached resolution authorizes the City Manager to enter into an agreement with these firms for those advertising and publicity services. Also attached is the agreement which would consummate this activity. AGREEME 1T TITS AGREEMENT entered into this day of 1 7 3 between THE CITY OF MIAMI, a Municipal Corporation of the State of Florida, (hereinafter referred to as the "CITY), and Schulte, Reece & Aguilar, Inc. and Zubi Advertising Services, Inc., a joint venture, (hereinafter referred to as the "FIRMS");, WITNESSE T Il: WHEREAS, the CITY OF MIAMI authorized the City Manager to negotiate an Agreement with Schulte, Reece & Aguilar, Inc., and Zubi Advertising Services Inc., by Resolution No. R-77-756 passed and adopted on the 23rd day of September, 1977. NOW THEREFORE the parties hereto covenant and agree to their respective responsibilities as follows: The term of this Agreement for the FIRMS is for a period of six (6) months, commencing October 1, 1977, and terminating April 1, 1978. SCHULTE, REECE & AGUILAR, INC.: 1. This FIRM is responsible for the Media advertising strategy for the TRADE FAIR OF THE AMERICAS to he held March 8-19, 197R, in the Greater Miami area. This FIRM shall design, write, prepare for publi- cation and supervise production of all advertising placed in the selected and approved media as may be authorized by Evelio Ley and Associate (hereinafter known as the COORDINATORS). understood that if any color advertising including graphics and logos, it must be , Inc., It is is used, coordinated and approved by the COORDINATORS. This FIRM shall secure proofs of insertion and shall check and audit all invoices from publishers and service companies for such advertising. Where media carrying said ,adver= tising do not allow an agency discount, the agency shall receive from the CITY a service charge of 1.7.65% based on the cost of said advertising in such media, as compensation for its services in preparation and placing of said advertising. Prior to placing advertising with advertising media which do not allow a standard agency discount, approval from the COORDINATORS shall first be obtained. Total production charges will be limited to S6,000 and will not be exceeded unless authorized by the COORDINATORS. This FIRM shall make a master plan for media selec- tion and dates subject to the approval of the COORDINATORS containing as much flexibility as possible and mutually agreed upon. This FIRM will attend all meetings at such time as may be required by the COORDINATORS. This FIRM will prepare an evaluation report at the close of the TRADE FAIR OF THE AMERICAS to be submitted to the COORDINATORS in the number of copies requested which will include: a. A complete description of the FIRM'S advertising activities for the TRADE FAIR OF THE AMERICAS. A complete summary of trade media adver- tising placed in behalf of the TRADE. FAIR OF THE AMERICAS. An evaluation of the strategy and recom- mendations for future Fairs. A copy of all advertising placedindica- ting media and date shall be on attach- ment to the original copy, • 8. This FIRM is responsible for all ttotnotional st a. tegy other than media advertising for the TRADE FAIR OF THE AMERICAS to be held March 8=19, 1978, in the Greater Miami area. This FIRM shall prepare all copy, artwork neces- sary and production necessary in the following It is understood that all of the artwork, colors, graphics must be coordinated and approved by Evelio Ley and Associate, Inc., (hereinafter known as the COORDINATORS). All direct mail - including copy for letters and enclosures. All press releases, and to follow through on all leads given by the COORDINATORS as possible press release stories. Press and Exhibitor kits. d. Registration procedure and strategy, badges. This FIRM will work with the COORDINATORS and secure information on the following: e. Determine method of registration of buyers, etc. This FIRM will coordinate with the COORDINATORS on all special events such as opening ceremonies, receptions, etc., to assure the press presence and coverage when desired. This FIRM will be furnished an office and press room at the Fair site by the COORDINATORS, The FIRM will keep a responsible person in the office during Fair hours to: e ' all ihcltiiries by the Pies ess feieases when possible Oh success :stories. This FIRM will prepare an evaluation report at the close of the TRADE FAIR OF THE AMERICAS to be submitted to the COORDINATORS in the number of copies requested which will include: a. A complete description of the FIRM' S adver- tising activities for the TRADE FIAR OF THE AMERICAS. A complete summary of the success or failure attained in Press releases, direct mail results. .An evaluation of the strategy and recom- mendations for future Fairs. This FIRM shall subscribe to a clipping service - reimbursable by the COORDINATORS. All clipping shall be organized, showing date and publication and become an attach- ment to the original copy. The report shall be submitted no later than March 27, 1978. This FIRM shall make an overall marketing plan for direct mail, press releases, press and exhibitor kits along with estimated costs for budget purposes. This plan must be approved by the COORDINATORS. All estimated or known costs must be submitted to the • COORDINATORS before an actual order is placed by this FIRM. It is understood there May be other feci,uests directly (elated to the promotion of the Fair than listed above inasmuch as this FIRM is basically responsible for all promotion of the TRADE FAIR OF THE AMERICAS other than direct advertising with the media. or the above services, this FIRM will be paid a fee of 21,000 payable in monthly installments of $3,500 at the first of each month beginning October 1, 1977, and ending March 1, 1978. All actual production costs such as copy and concept comprehensive design, mechanical art, typography, photolettering, photostats, veloxes, printing and any other mechanical charges, and out of pocket expenses such as telephone, telegraph, postage and freight and Xerox copies, directly involved in the promotion of the TRADE FAIR as outlined above shall be on a reimbursable on a net cost basis from actual invoices submitted and approved by this FIRM and by the COORDINATORS. 17. It is mutually covenanted and agreed between the parties hereto that the CITY shall have the right to cancel this contract at its sole discretion for any reason whatsoever at any time upon thirty (30) days prior written notice to the FIRMS the CITY understands it will be responsible for any space that has been committed for and cannot be cancelled. It is mutually covenanted and agreed that the FIRMS shall submit monthly receipted billings for all charges due to the CITY authorized under this contract, and the CITY shall pay said receipted bills within a reasonable time thereafter, after they have been approved by the COORDINATORS and the CITY. IN WITNESS WHEREOF, the parties hereto have caused this instrument to be executed in their names, and seals impressed hereon, by their proper officials, at Miami, Florida, all as of the day and year first above written.
