CONSENT OF MORTGAGEE
(Fourth Mortgage — HOME loan)
THIS CONSENT OF MORTGAGEE is given as of the day of , 2023, by
City of Miami, a municipal corporation of the State of Florida ("Mortgagee"), being the owner and
holder of that certain Leasehold Mortgage and Security Agreement dated January 11, 2021 from
Platform 3750 II, LLC, a Florida limited liability company, as Mortgagor, to Mortgagee in the
aggregate original principal amount of $1,948,000.00, recorded January 29, 2021, in Official
Records Book 32322 at Page 134, of the Public Records of Miami -Dade County, Florida.
WHEREAS, Mortgagor has requested Mortgagee to consent to the recording of the foregoing
Declaration of Covenants, Restrictions and Shared Facilities Easements for Platform 3750 (the
"Declaration").
NOW, THEREFORE, Mortgagee consents to the recordation of the Declaration.
Mortgagee makes no warranty or any representation of any kind or nature concerning the
Declaration, any of its terms or provisions, or the legal sufficiency thereof, and disavows any such
warranty or representation as well as any participation in the development of "Platform 3750" (the
"Properties"), and does not assume and shall not be responsible for any of the obligations or
liabilities of the developer contained in the Declaration or in any other documents issued in
connection with the promotion of all or any portion of the Properties. None of the representations
contained in any documents issued in connection with the promotion of all or any portion of the
Properties shall be deemed to have been made by Mortgagee, nor shall they be construed to
create any obligation on Mortgagee to any person relying thereon. This consent is limited to the
purposes expressly set forth herein, and does not affect or impair the rights and remedies of
Mortgagee as set forth in the Mortgage or in the Declaration.
