Gentlemen:
The City of Miami as Lessor to that certain lease
and between the City of Miami, a Municipal Corporation
Grove Key Marina, Inc. , dated April 1, 1976 covering
:e nrcmiscs described on Exhibit A attached hereto and
made a part hereof, a portion of which premises was
subleased by Grove Key Marina, Inc. to Grove Restaurant
Ltd. by sublease dated January 31. 1.977 and amended by
doc•_:ment dated , 1.9_ hereby consents to
the Assignment of said amended sublease to rtiE, Inc. , a
Louisiana Corporation.

Grove Key Addendum

The City Commission authorized an Addendum to the Lease Agreement
between the City of Miami and the Grove Key Marina on January 31,
1977 for the purpose of permitting a restaurant and parking
facilities therefor to be constructed at Dinner Key.
The Addendum provided for that portion of ad valorem taxes, if
any, on the restaurant building to be paid by the restauranteur.
Any ad valorem taxes due on the land may be deducted from rent.
The minimum annual rent is $36,000.00. Assuming the tax appraiser
values the land at 10 times the annual rent, or $360,000.00, the
total tax for the land would be approximately $10,000 per annum
of which approximately $6,000.00 to $7,000.00 would be paid to
taxing authorities other than the City of Miami. This factor
would reduce the minimum annual rent substantially.
At the time this Addendum was negotiated, the parties provided, in
Paragraph 15, that the company and subleasee may agree to surrender
and the City may agree to accept certain portions of the leased
premises for public parking areas and public landscape areas.
This provision contemplated the possibility of an assessment for
ad valorem taxes. However, the language is permissive as opposed
to mandatory. It is our opinion that now that changes are being
requested by Grove Key Marina to the sublease that a modification
of this paragraph should also be considered.
If no modification is made, it should at least be recognized by the
administration that there is little doubt that ad valorem taxes
will be assessed. The appraiser's position has become quite clear
recently when he refused exemption on 34 City -owned properties.
We are also attaching hereto a copy of the letter drafted by this
office from CHE, Inc. which should be signed prior to the Commission
approval of the amendments to the sublease.

Addehdutt to Grove Key tease
Attached are (1) a Sublease Agreement between Grove Key Marina,
Inc. and Ship's Store and Tackle, Inc., (2)-an Addendum to the
recently executed Lease Agreement between the City of Miami and
Grove Key Marina, Inc., and (3) a Resolution authorizing the Clerk and
City Manager to execute the Addendum and to approve the Sublease.
Ship's Stores is a marine equipment retail business, whose opera-
tion at Dinner Key is desirable and will be an asset in the contin-
uing development of this property. Furthermore► the terms of the
Addendum splits the revenue received from the terms of the Sublease
50:50 between Grove Key Marina and the City. The City's share of
this revenue is one-half of $ 750 per month, or $ 4,500 per year.
It is my recommendation that these two items be approved by the
City Commission.
