D, , 1977, amending original Agreement dated December 2, 1976, by and between the City of Miami, a Municipal Corporation of the State of Florida, hereinafter called CITY and O'Leary -Shafer and Associates, Professional Association, hereinafter called CONSULTANT. WITNESSETH THAT, WHEREAS, the CITY and the CONSULTANT entered into Agreement on December 2, 1976, for the professional and technical services required for the design and development of Dixie Park with a project development budget of $727, 000, plus a fixed fee of $64, 000 for consultant design services; and WHEREAS, the CITY has deemed it proper, by its action of July 14, 1977, to expand the project development budget to $1, 142, 000 based upon discussion and request of Culmer Area Citizens; and (n WHEREAS, based upon the above decisions the CITY has decided L!) O to combine the DESIGN DEVELOPMENT PHASE and CONTRACT DOCUMENT PHASE into one phase, to be referred to hereafter as the `..D DESIGN DEVELOPMENT -CONTRACT DOCUMENT PHASE in order to expedite the project; and WHEREAS, the CITY has also determined it necessary, for expedient delivery of services to the citizenry, to divide the project into two Construction Phases, PHASE I being the renovation and lighting of the hard court areas, and PHASE II being the remainder of the project; and WHEREAS, the increase in the Project Development Budget and the provision of two Construction Phases will require an adjustment in the schedule of construction and an increase in the CONSULTANT'S FIXED FEE from $64, 000 to $100, 500, NOW, THEREFORE, the CITY and the CONSULTANT for the consideration hereinafter set forth agree and covenant one unto the other that the contract entered into between the CITY and the CONSULTANT 2 ge2of7 77-693 44. • • - • glibtnit the Design Development Contract Documents and Estimate of PROJECT construction cost to the CITY, and make revisions as necessary to secure the approval of the CITY MANAdttt. Prepare construction plans and specifications and other contract documents except for the General Conditions and Standard Contract forms for Phase I and Phase II of the complete PROJECT. These will include but are not limited to such items as the working drawings and specifications adequately setting forth in detail, description of the construction to be done and also materials' workmanship, finishes and equipment required for all specialities such as architectural, structural, mechanical, electrical, service - connected equipment, site development, bidding information, and the Special Provision of the Construction Contract, Bid Proposal, and other Contract Documents. The Bid Proposal shall be divided into two parts; the first part, Phase I to include all hard court renovations and lighting for the aforementioned courts. The second part, Phase II, shall include all other aspects of the development and will consist of a) the.base bid; b) separate items lor the Cultural .Arts Pavilion, Bus Plaza, and balance of the PROJECT; and c) add alternates. Furnish the CITY MANAGER with revised estimates of Phase I and Phase II of the PROJECT construction cost, based on complete dated Decernber 2, 1976, is ame'hdetl as foltowtt SECTION I - GENERAL In PART B delete the phrases "a FIXED FEE of $64, 000" atitl e.dtl the phrase "a FIXED FEE of $100, 500." " SECTION III - PART C - DESIGN DEVELOPMENT PHASE Omit PART C Ya! SECTION III - PART D - CONTRACT DOCUMENTS PHASE Omit PART D and add the following: "PART C - DESIGN DEVELOPMENT - CONTRACT DOCUMENT PHASE Upon written authorization to proceed from the PROJECT COORDINATOR and based upon the approved Schematic Design, the CONSULTANT shall: 1. Prepare Design Development - Contract Documents consisting of plans, elevations and other drawings, and outline specifications, all in order to fix and illustrate the size and character of Phase I and Phase II for the entire PROJECT in its essentials as to location, kinds of material, type of structure, mechanical and electrical systems, identification and size of plant materials, design and furniture, play apparatus, graphics, and other special features, utility locations, and such other work as may be required. It is fully understood, however, that the CONSULTANT is in no way relieved of any responsibility under the terms of this Agreement by virtue of any other professional. who may associate with him in performing the WORK. Present to the PROJECT COORDINATOR, five (5) copies of each Phase of all CONTRACT DOCUMENTS for approval, and revise the CONTRACT DOCUMENTS, as required, to secure the written approval of the CITY MANAGER. . Following approval of the CONTRACT DOCUMENTS by the CITY MANAGER, conduct all necessary "dry -run" checks of the CONTRACT DOCUMENTS in connection with securing the approval of necessary permits from all local. governmental authorities having jurisdiction over the PROJECT; and submit any required changes in the CONTRACT DOCUMENTS to the PROJECT COORDINATOR for approval. . After successful completion of the "dry -run" checks, transmit to the PROJECT COORDINATOR the completed master sets of CONTRACT DOCUMENTS in reproducible form, including the liSid • Prepare any addenda, with accompanying drawing or other material as required, and submit original of each to the PROJECT COORDINATOR for approval and signature after which the PROJECT COORDINATOR will furnish a copy for each set of CONTRACT DOCUMENTS prepared. Assist the CITY in the bid evaluation process by reviewing the bids, preparing an analytical report of the bids received, making recommendations to the CITY MANAGER. regarding the award of the Construction Contract; and being available, if necessary, to make these recommendations to the City Commission in person. 14Assemble and furnish to the CITY MANAGER data for publicity releases. Within fifteen (15) calendar days from submission of each of the two sets of CONTRACT DOCUMENTS (item 9 above) the CITY shall review all documents and the CITY MANAGER shall notify the CONSULTANT in writing as to his approval or reasons for withholding approval. In the event that the contract documents must be revised, the CITY MANAGER shall designate the time period for revisions and subsequent review, based upon the nature and extent of the necessary revisions. The DESIGN DEVELOPMENT - CONTRACT DOCUMENTS PHASE of both Phase I and Phase II shall be considered corn- ., plete on the day the CITY executes a contract for the construction of each Phase . •o z, J of the PROJECT, but in no case later than sixty (60) calendar days from the completion of items 6 through 11 above. PART E - CONSTRUCTION PHASE Retitle to "D. CONSTRUCTION PHASE" SECTION V - COMPENSATION FOR SERVICES Delete the first sentence, "For professional and technical services as outlined in Section III - Professional Services, the CITY agrees to pay the CONSULTANT 11 ■ 1 • FtCED FEE of $64, 000, " and add "For professional and technical services as outlined in Section III - Professional Services, the C agrees to pay the CONSULTANT a FIXED FEE of $100, 500". PART 2, PART 3, AND PART 4 Omit Part 2, Part 3, and Part 4, Add "Z. Fifteen percent (15%) of the FIXED FEE when the WORK under SECTION III C - DESIGN DEVELOPMENT - CONTRACT DOCUMENTS (Items 1 through 5) is completed and accepted by the CITY. Back payments due the CONSULTANT will be paid upon approval of these AMENDMENTS. Forty percent (40%) of the FLXED FEE when the WORK under SECTION III C - DESIGN DEVELOPMENT - CONTRACT DOCUMENTS (Items 6 through 11) is completed and accepted by the CITY. Back payments due the CONSULTANT will be paid upon approval of these AMENDMENTS. Five percent (5%) of the FIXED FEE when the WORK under SECTION III C - DESIGN DEVELOPMENT - CONTRACT DOCUMENTS (Items 12 through 14) is completed and accepted by the CITY. Back payments due the CONSULTANT will be paid upon approval of these AMENDMENTS." Delete the final paragraph of SECTION V, in its entirety and add "In the event that the total PROJECT development budget of $1, 142, 000 is increased by the CITY at any time up to the approval of the final DEVELOPMENT DESIGN - CONTRACT DOCUMENTS; the CITY shall compensate the CONSULTANT for the additional work required, by negotiation of a reasonable fee in addition to the FIXED FEE of $100, 500 as set forth in these amendments." I- o1 N,var,i, Director Department of Parks and Recreation Amendments to the Dixie Park contract are enclosed for your review and forwarding to the Law Department. The amendments to this contract with O'Leary -Shafer and Associates are necessary to reflect the increase in the Dixie Park project development cost from $727, 000 to $1, 141, 865. This increase resulted from the approval given by the Commission to the expansion of the project as requested by Culmer citizens on July 14, 1977. This change will necessitate an increase in the consultant's fee from $64, 000 to $100, 500. Additionally, changes have been made to the fee schedule to reflect the stepped -up pace of the park development. In order to deliver a portion of the project posthaFte, the park development has been divided into two phases.
