This Amendment No. 2 is entered into by and between City of Miami ("City") and Environmental
Systems Research Institute, Inc. ("Esri").
WHEREAS, the City and Esri (collectively referred to as the "Parties") entered into an Enterprise
Agreement with an Effective Date of June 12, 2017, and subsequently amended it (hereinafter
"Agreement or "EA"); and
WHEREAS, the Parties desire to amend the Agreement to extend the term for one (1) additional year
for a cost of Four Hundred and Thirteen Thousand Six Hundred and Fifty Dollars ($413,650.00); and
update applicable language and appendices for the extension period.
NOW THEREFORE, the Parties agree that the above referenced Agreement is modified as follows:
1. Article 7-Term, Termination, and Expiration, Subsection 7.1 Term is revised to add the following
sentence to the end of the Subsection: -
"The term of the EA is extended for one (1) year from June 12, 2023 through June 11, 2024 (unless
terminated earlier pursuant to the Agreement) ("Amd 2 Renewal Term").
2. Appendix A Products and Deployment Schedule remains unchanged for the Amd 2 Renewal Term.
3. Delete and replace Appendix B EA Fee Schedule with the attached Appendix B EA Fee Schedule for
the Amd 2 Renewal Term.
4. E-Verify Employment Verification:
Esri shall E-Verify the employment status of all employees and subcontractors to the extent required
by federal, state, and local laws, rules, and regulations. The City shall consider the employment by
Esri of unauthorized aliens a violation of Section 274A(e) of the Immigration and Nationality Act. If
Esri knowingly employs unauthorized aliens, such violation shall be cause for termination for
convenience of the Agreement.
Furthermore, Esri agrees to utilize the U.S. Agency of Homeland Security's E- Verify System,
https://e-verify.uscis.gov/emp , to verify the employment eligibility of all employees during the term
of this Amd 2 to EA. Esri shall also include a requirement in subcontracts that the subcontractor
shall also utilize the E-Verify System to verify the employment eligibility of all employees of the
subcontractor during the term of this Amd 2 to EA.
5. Nondiscrimination, Equal Employment Opportunity, and Americas with Disabilities:
Esri shall not unlawfully discriminate against any person in its operations and activities or in its use
or expenditure of funds in fulfilling its obligations under this Agreement. Esri shall affirmatively
comply with all applicable provisions of the Americans with Disabilities Act (ADA) (excluding all
standards for website and software accessibility compliance) in the course of providing any services
funded by the City, including all applicable regulations. Esri affirms that it shall not discriminate as to
race, age, religion, color, gender, gender identity, sexual orientation, national origin, marital status,
physical or mental disability, political affiliation, or any other factor which cannot be lawfully used in
connection with its performance under the Agreement. Furthermore, Esri affirms that no otherwise
qualified individual shall solely by reason of their race, age, religion, color, gender, gender identity,

sexual orientation, national origin, marital status, physical or mental disability, political affiliation, or
any other factor which cannot be lawfully used, be excluded from the participation in, be denied
benefits of, or be subjected to, discrimination under any program or activity. In connection with the
conduct of its business, including performance of services and employment of personnel, Esri shall
not discriminate against any person on the basis of race, age, religion, color, gender, gender
identity, sexual orientation, national origin, marital status, physical or mental disability, political
affiliation, or any other factor which cannot be lawfully used. All persons having appropriate
qualifications shall be afforded equal opportunity for employment.
6. Counterparts; Electronic Signatures:
This Amendment may be executed in counterparts, each of which shall be an original as against
either Party whose signature appears thereon, but all of which taken together shall constitute but
one and the same instrument. An executed facsimile or electronic scanned copy of this
Amendment shall have the same force and effect as the original. The parties shall be entitled to
sign and transmit an electronic signature on this Amendment (whether by facsimile, PDF, or
other email transmission), which signature shall be binding on the party whose name is
contained therein. Any party providing an electronic signature agrees to promptly execute and
deliver to the other parties an original signed Amendment upon request.

Except as may be specifically modified by this Amendment No. 2, all other terms and conditions of the
Agreement and any prior Amendment(s) or Addendum(s) constitute the entire agreement between the
Parties and supersede all prior and contemporaneous agreements or representations, written or oral,
concerning the subject matter of this Agreement.
IN WITNESS WHEREOF, the Parties hereto have executed this Amendment No. 2 as of the date of the
last party to sign below.
