PLEASE ATTACH THIS ROUTING FORM TO ALL DOCUMENTS THAT REQUIRE EXECUTION BY THE CITY MANAGER Production Company: LOCATION AGREEMENT Dated: 05.10.23 This will confirm the following agreement between City of Miami, a Florida municipal corporation ("Lessor"), and rbb Communications, LLC ("Production Company"), regarding Production Company's use of the Premises described below in connection with Launch Materials for the FIFA 2026 World Cup (the "Program"). For good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties agree as follows: 1. Lessor hereby grants to Production Company the right during the Term hereof to enter upon and to use the premises described below (the "Premises") and to bring onto the Premises such personnel and equipment as Production Company deems necessary in connection with the Program. 2. Production Company shall have the right to photograph, record, and film the Premises, using identifying features thereof within Production Company's sole discretion. All rights of any kind (including, but not limited to, copyright) in and to the Program and all photographs, sound recordings, and film made by Production Company on the Premises shall be solely owned by Production Company, its successors and assigns, provided that continued use, exploitation, and display is subject to prior written approval from the City. Production Company (and its assignees, licensees, etc.) shall have the right to exhibit, advertise and exploit such photographs, sound recordings, and film in any medium, whether known or hereafter devised, subject to prior written approval from the City. 3. The "Premises" refers to the premises (including all structures and property thereon) located at: Little Haiti Soccer Park — Located at 6301 NE 2' Avenue, Miami FL, 33138 4. The term hereof (the "Term") shall commence on or about May 3rd, 2023 at 5p AM, and will terminate on or about May 3rd, 2023 at 8:30 PM. 5. The fee shall be N/A ($N/A) Dollars. 6. No later than the expiration of the Term, Production Company shall remove from the Premises all equipment and other materials placed thereon by Production Company. 7. Production Company agrees to name Lessor as an additional insured on Production Company's Commercial General Liability policy for the Program and shall maintain coverage in the amounts specified in Exhibit "A," attached and incorporated herein. Production Company shall provide a certificate of insurance evidencing the coverages and requirements herein stated. Production Company agrees to use reasonable care to prevent damage to the Premises and shall leave the Premises in as good condition as when Production Company initially entered. Production Company will indemnify, hold harmless and release the Lessor from any claims and against loss or liability incurred by Lessor as a result of any property damage or personal injury occurring in connection with Production Company's use of the Premises during the Term. Any claim by Lessor that Production Company is responsible for any such damage or injury must be made by Lessor, by written notice to Production Company setting forth the particulars of such claim(s). 8. This is the entire agreement between the parties and supersedes any prior agreement, written or oral, and may not be changed except by another writing signed by the parties. This Agreement shall be governed by and construed in accordance with the laws of Florida. This Agreement may be executed in counterparts by facsimile, scan (i.e., PDF), or email or electronic signatures, each part of which when executed shall be deemed an original for all purposes, and all of which when taken together shall constitute one and the same document, fully binding and with full legal force and effect. The parties agree and consent that the jurisdiction and venue of all matters relating to this Agreement will be vested exclusively in the federal, state and local courts within Miami -Dade County, Florida. In no event shall Lessor be entitled to seek to or obtain injunctive or other equitable relief in connection herewith or with the Program. This Agreement shall inure to the benefit of and be binding upon the successors and assigns of the parties. 9. Notices required under the Agreement shall be deemed to be given when hand -delivered (with receipt therefore) or mailed by registered or certified mail, postage prepaid, return receipt requested.
