Escarra Tel 305.579.0737 esc arrai@gtlaw. c om Re: Miami Freedom Park, LLC / Miami Freedom Park Special Area Plan SAP- ) Application and Comprehensive Plan Amendment / PZ-20-6123 Dear Mr. Snow: Our firm represents Miami Freedom Park, LLC, a Delaware limited liability company, the lessee, (the "Lessee," or "MFP") in connection with the proposed, approximately 73-acre development located 4000 NW 14 Street and 1900/1950 NW 37 Avenue (collectively, the "Property"). Pursuant to Ordinance No. 14094, the City and MFP entered into a Development Agreement, which was subsequently recorded at Official Record Book 33783 at Page 2301 of the Public Records of Miami -Dade County, Florida (the "Development Agreement"). As noted in the Recorded Development Agreement, particularly Exhibit D of the Development Agreement, certain Public Benefits are derived from the various leases and construction administration agreements between the City and MFP. On November 20, 2025, the leases and construction administration agreement were amended by the City and MFP pursuant to File ID 18496 (the Resolution Number has not been issued by the City Clerk yet). Because the Development Agreement references the leases and construction administration agreement in Section 14 and Exhibit D, Exhibit D of the Development Agreement needs to be amended to reflect the current requirements of the leases and construction administration agreement. In order to make the Development Agreement consistent with the agreed upon amendments to the leases and construction administration agreement, please find the proposed amendments to Exhibit D of the Development Agreement.
