Examination and Related Report We will perform an Internal Controls and Data Security Examination of the City of Miami Police Department (the "Organization," the "Police Department", the "City", "you" or "your") as of January 15, 2023. Reproduction of Examination Report If you intend to publish or otherwise reproduce the City of Miami Police Department Internal Control and Data Security Report and make reference to our Firm, you agree to provide us with printers' proofs or masters for our review and approval before printing. You also agree to provide us with a copy of the final reproduced material for our approval before it is distributed. In addition, to avoid unnecessary delay or misunderstanding, it is important that you give us timely notice of your intention to issue any such document. With regard to the electronic dissemination of the Organization's annual or interim financial statements, including financial statements published electronically on the Organization's website, we are not required to read the information contained in those sites or to consider the consistency of other information in the electronic site with the original document. Assistance By Your Personnel We will ask that your personnel, to the extent possible, prepare required schedules and analyses, provide other required documents available to our staff. This assistance by your personnel will serve to facilitate the progress of our work and minimize our time requirements. You acknowledge that your confidential information may be transmitted to us through an information portal or delivery system established by us or on our behalf. You shall notify us in writing of your employees, representatives, or other agents to be provided access to such portal or system; upon the termination of such status, you shall immediately notify us in writing. You acknowledge that you are responsible for the actions of your current and former employees, representatives, or other agents in connection with the transmission of your information. The terms and conditions of this engagement are expressly contingent upon the satisfactory completion of our investigatory procedures, and we reserve the right to withdraw from any relationship should information which we deem to be adverse come to our attention. The results of all background checks, if any, and other investigatory procedures are submitted to, and reviewed by, our Firm's Client Acceptance Committee. Detection of Errors and Irregularities Our engagement cannot be relied upon to disclose errors, irregularities, or illegal acts, including fraud or defalcations that may exist. We will inform the appropriate level of management of any material errors that come to our attention and any irregularities or illegal acts that come to our attention unless they are clearly inconsequential. However, we strongly urge you to obtain insurance protection against such risks. Independence Professional standards require that a firm and its members maintain independence throughout the duration of the professional relationship with a client. In order to preserve the integrity of our relationship, no offer of employment shall be discussed with any Marcum professionals assigned to the engagement, including within the one-year period prior to the commencement of the engagement. Pursuant to professional standards should such an offer of employment be made, or employment commences during the indicated time period, we will consider this an indication that our independence has been compromised. As such, we may be required to recall our report due to our lack of independence. In the event additional work is required to satisfy independence requirements, such work will be billed at our standard hourly rates. Confidentiality/Access to Working Papers "Confidential Information" means non-public information that a party marks as "confidential" or "proprietary" or that otherwise should be understood by a reasonable person to be confidential in nature. Confidential Information does not include any information which (i) is rightfully known to a recipient prior to its disclosure; (ii) is released to any other person or entity (including governmental agencies) without restriction; (iii) is independently developed by recipient without use of or reliance on Confidential Information; or (iv) is or later becomes publicly available without violation of this engagement letter or may be lawfully obtained by recipient from a non- party. Each party will protect the confidentiality of Confidential Information that it accesses or receives, except that a party may disclose Confidential Information to the extent required by applicable law, statute, rule, regulation, judicial or administrative process or professional standards or litigation pertaining hereto. If disclosure of Confidential Information is required by law, statute, rule or regulation judicial or administrative process (including any subpoena or DocuSign Envelope ID: 4C034EC4-5CBC-459B-A36D-8774D18C53FA City of Miami Police Department May 24, 2023 Page 4 other similar form of process), or by professional standards, then the party required to make that disclosure shall (other than in connection with routine supervisory examinations by regulatory or authorities with jurisdiction or professional standards or reviews, and without breaching any legal or regulatory requirement) provide the other party with prior prompt written notice thereof and if practicable under the circumstances, allow the disclosing party to seek a restraining order or other appropriate relief at disclosing parry's sole cost and expense. In addition, the Organization acknowledges and agrees that Marcum may disclose Confidential Information to respond to its professional obligations. You authorize Marcum to participate in discussions with and to disclose your information to your agents, representatives, administrators or professional advisors (including accountants, attorneys, financial and other professional advisors), their respective officers, directors or employees, and other parties as you may direct. Notwithstanding any other provision of this agreement, Marcum and the Marcum Subcontractors (defined below) may use Confidential Information received hereunder, to develop, enhance, modify and improve technologies, tools, methodologies, services and offerings, and/or for development or performance of data analysis or other insight generation. Information developed in connection with these purposes may be used or disclosed to you or current or prospective clients to provide them services or offerings. Marcum will not use or disclose Confidential Information in a way that would permit you to be identified by third parties without your consent. The working papers prepared in conjunction with our engagement are the property of Marcum and constitute confidential information. Except as otherwise provided by Florida Statute 119, these working papers will be retained by us in accordance with applicable laws and with our Firm's policies and procedures. However, we may be required, by law or regulation, to make certain working papers available to regulatory authorities for their review, and upon request, we may be required to provide such authorities with photocopies of selected working papers. The Firm is required to undergo a "Peer Review" every three years. During the course of a Peer Review engagement, selected working papers and financial reports, on a sample basis, will be inspected by an outside party on a confidential basis. Consequently, the accounting and/or attestation work we performed for you may be selected. Your signing this letter represents your acknowledgement and permission to allow such access should your engagement be selected for review. As a result of our prior or future services to you, we may be required or requested to provide information or documents to you or a third party in connection with a legal or administrative proceeding (including a grand jury investigation) to which we are not a party. If this occurs, we shall be entitled to compensation for our time and reimbursement for our reasonable out-of- pocket expenditures (including legal fees) in complying with such request or demand. This is not intended, however, to relieve us of our duty to observe the confidentiality requirements of our profession. You agree that Marcum may provide confidential and other information Marcum receives in connection with this agreement to its affiliates, subsidiaries and/or third parties for such purposes. Marcum maintains internal policies, procedures and safeguards to protect the confidentiality of your information and Marcum will remain responsible for the work performed by such affiliates, subsidiaries and/or third parties. Dispute Resolution Procedure, Waiver of Jury Trial and Jurisdiction and Venue for Any and All Disputes Under This Engagement Letter and Governing Law. AS A MATERIAL INDUCEMENT FOR US TO ACCEPT THIS ENGAGEMENT AND/OR RENDER THE SERVICES TO THE CLIENT IN ACCORDANCE WITH THE PROVISIONS OF THIS ENGAGEMENT LETTER: The Firm and the Organization each hereby knowingly, voluntarily and intentionally waive any right either may have to a trial by jury with respect to any litigation based hereon, or arising out of under or in connection with this engagement letter and/or the services provided hereunder, or any course of conduct, course of dealing, statements (whether verbal or written) or actions of either party. The Firm and the Organization each expressly agree and acknowledge that the Circuit Court of the 11th Judicial Circuit, in and for Miami Dade County, Florida and the United States District Court for the Southern District of Florida, shall each have exclusive and sole jurisdiction and venue for any respective state or federal actions arising from, relating to or in connection with this engagement letter, or any course of conduct, course of dealing, statement or actions of either party. The terms and provisions of this engagement letter, any course of conduct, course of dealing and/or action of the Firm and/or the Organization and our relationship with you shall be governed by the laws of the State of Florida to the extent said laws are not inconsistent with the Federal Securities Laws and Rules, Regulations and Standards thereunder. In any litigation brought by either the Firm or the Organization, each party shall pay its own attorney's fees. We acknowledge your right to terminate our services at any time, and you acknowledge our right to resign at any time (including instances where in our judgment, our independence has been impaired or we can no longer rely on the integrity of management), subject in either case to our right to payment for all direct and indirect charges including out-of-pocket expenses incurred through the date of termination or resignation or thereafter as circumstances and this agreement may require. This shall be your exclusive remedy. No action, regardless of form, arising out of the services under this agreement may be brought by either party more than one year after the date of the last services provided under this agreement. Indemnification: Marcum shall indemnify, hold and save harmless, and defend (at its own cost and expense), the City, its officers, agents, directors, and/or employees, from all liabilities, damages, losses, judgements, and costs, including, but not limited to, reasonable attorney's fees, to the extent caused by the negligence, recklessness, negligent act or omission, or intentional wrongful misconduct of Marcum and persons employed or utilized by Marcum in the performance of this Contract. Marcum shall further indemnify, defend (at its own cost), and hold the City, its officers, agents, directors, and employees harmless against any civil actions, statutory or similar claims, injuries or damages arising or resulting from the permitted Work. In the event that any action or proceeding is brought against the City by reason of any such claim or demand, Marcum shall, upon written notice from the City, resist and defend such action or proceeding by counsel satisfactory to the City. Marcum expressly understands and agrees that any insurance protection required by this Contract or otherwise provided by Marcum shall in no way limit the responsibility to indemnify, keep and save harmless and defend the City or its officers, employees, agents and instrumentalities as herein provided. The indemnification provided above shall obligate the Marcum to defend, at its own expense, to and through trial, administrative, appellate, supplemental or bankruptcy proceeding, or to provide for such defense, at the City's option, any and all claims of liability and all suits and actions of every name and description which may be brought against the City, whether performed by the Marcum, or persons employed or utilized by Marcum. These duties will survive the cancellation or expiration of the Contract. This Section will be interpreted under the laws of the State of Florida, including without limitation and interpretation, which conforms to the limitations of Sections 725.06 and/or 725.08, Florida Statutes, as applicable and as amended. Marcum shall require all sub -contractor agreements to include a provision that each sub- contractor will indemnify the City in substantially the same language as this Section. Marcum agrees and recognizes that the City shall not be held liable or responsible for any claims which may result from any actions or omissions of Marcum in which the City participated either through review or concurrence of Marcum's actions. In reviewing, DocuSign Envelope ID: 4C034EC4-5CBC-459B-A36D-8774D18C53FA City of Miami Police Department May 24, 2023 Page 7 approving or rejecting any submissions by Marcum or other acts of Marcum, the City, in no way, assumes or shares any responsibility or liability of Marcum or sub -contractor under this Contract. Ten dollars ($10) of the payments made by the City constitute separate, distinct, and independent consideration for the granting of this Indemnification, the receipt and sufficiency of which is voluntarily and knowingly acknowledged by Marcum. Timeline Marcum's engagement ends on the earlier of termination (including without limitation, our resignation or declining to issue a report or other work product) or Marcum's delivery of its report. Any follow-up services that might be required by the City or the FLHSMV will be a separate, new engagement. The terms, fees, and conditions of that new engagement will be governed by a new, specific engagement letter for that service. Fees Engagement Total Fees Internal Control and Data Security Examination $20 000 Our fee will be based on the services to be provided hereunder, the timeliness and completeness of the information and documentation provided to us, firm technology, firm processes, and time required of personnel at our standard hourly rates. Our standard hourly rates vary according to the level of the personnel assigned to your engagement. Our invoices for these fees will be rendered as the work progresses and are due and payable in accordance with Florida Statute Chapter 218.73, 218.74, and 218.76 (Local Government Prompt Payment Act).. Agreement This letter and accompanying purchase order comprise the complete and exclusive statement of the agreement between the parties, superseding all proposals oral or written and all other communications between the parties. If it is determined that any provision of this letter is unenforceable, all other provisions shall remain in full force and effect. Client may not assign or transfer this Agreement, or any rights, licenses, obligations, claims or proceeds from claims arising out of or in any way relating to this Agreement, any Services provided hereunder, or any fees for Services to anyone, by operation of law or otherwise without Marcum's prior written consent and any assignment without consent shall be void and invalid. The above policies shall provide the City of Miami with written notice of cancellation or material change in accordance with policy provisions. Companies authorized to do business in the State of Florida, with the following qualifications, shall issue all insurance policies required above: The company must be rated no less than "A-" as to management, and no less than "Class V" as to Financial Strength, by the latest edition of Best's Insurance Guide, published by A.M. Best Company, Oldwick, New Jersey, or its equivalent. All policies and /or certificates of insurance are subject to review and verification by Risk Management prior to insurance approval. The City shall retain the right to modify respective insurance limits based upon the provider's actual loss experience. Upon receiving the City's notice to increase insurance limits, the provider must produce evidence of compliance within 10 days of such notice. Public Records A. Marcum's failure or refusal to comply with the provisions of this section shall result in the immediate cancellation of this Agreement by the City. B. Marcum shall additionally comply with Section 119.0701, Florida Statutes, including without limitation: (1) keep and maintain public records that ordinarily and necessarily would be required by the City to perform this service; (2) upon request from the City's custodian of public records, provide the City with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided in Chapter 119, Florida Statutes, or as otherwise provided by law; (3) ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the Agreement if Marcum does not transfer the records to the City; (4) upon completion of the Agreement, transfer, at no cost, to the City all public records in possession of Marcum, or keep and maintain public records required by the City to perform the service; if Marcum transfers all public records to the City upon completion of the Agreement, Marcum shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements; if Marcum keeps and maintains public records upon completion of the Agreement, Marcum shall meet all applicable requirements for retaining public records; all records stored electronically must be provided to the City, upon request from the City's custodian of public records, in a format that is compatible with the information technology systems of the City. Notwithstanding the foregoing, Contractor shall be permitted to retain any public records that make up part of its work product solely as required for archival purposes, as required by law, or to evidence compliance with the terms of the Agreement. C. Should Contractor determine to dispute any public access provision required by Florida Statutes, then Contractor shall do so at its own expense and at no cost to the City.
