M-0127C This Amendment No. 1 to the construction contract (the "Agreement") between the City of Miami, a municipal corporation of the State of Florida ("City"), and EDFM Corporation ("Contractor"), a Florida Corporation, for the Riverview Storm Sewer Pump Station, Emergency Generator, Carbon Dioxide Fire Suppressant System and Main Switch Disconnect, Project No. M-0127C ("Project") is entered into this 15 day of May , 2023. RECITALS WHEREAS, on May 31, 2019, the City of Miami ("City") Department of Procurement ("Procurement") issued Invitation to Bid ("ITB") No. 18-19-010-R for construction services for the Project; and WHEREAS, on July 18, 2019, the City's Office of the City Clerk received two (2) bids in response to the ITB; and WHEREAS, Procurement determined that the Contractor, a Florida profit corporation, submitted the lowest responsive and responsible bid; and WHEREAS, pursuant to the Bid Security List, the Contractor's bid was in the amount of One Million Four Hundred Twelve Thousand Dollars ($1,412,000.00); and WHEREAS, on December 12, 2019, the Miami City Commission adopted Resolution R- 19-0511 approving the award of a construction contract for the Project to the Contractor; and WHEREAS, on May 29, 2020, the City Manager executed an Agreement with the Contractor; and WHEREAS, on January 8, 2023, the Contractor agreed to allow the City to purchase a new Caterpillar Model C27 Diesel Engine Generator Set, rated at 800kW Standby, 277/480VAC, 3 Phase, 60Hz, 1800RPM, directly from Pantropic Power, a Caterpillar distributor; and WHEREAS, it is in the best interest of the City to allow for this direct purchase, with all the inherent fiscal and financial benefits typical of such a purchase by a governmental agency; WHEREAS, specific language is required to be added to the original contract to allow for the direct purchase to be realized. PARTS AT PASS -THROUGH COST (FOR REPAIRS OUTSIDE THE SCOPE OF WORK) All costs for parts required for repair jobs already covered within this scope of work shall be billed at the Successful Bidder's actual cost and will be passed on to the City without markup or additional fees. All costs for parts or equipment not already covered within a line item of this solicitation's price sheet, but required to complete a repair, shall be billed at the Successful Bidder's actual cost plus a fee/markup of no more than five percent (5%), with a maximum of $1,000.00 per repair. The Successful Bidder shall submit purchase receipt of parts along with the labor invoice for payment. The Successful Bidder shall be responsible for sourcing all parts necessary to complete the work requirements of each job specification. Replacement parts furnished must be of the same manufacturer or approved equal product. All equipment and material shall be commercial quality and grade, and be from a regular product line. Prototype, obsolete, and residential quality/grade equipment/materials shall not be specified or installed. The City reserves the right to purchase parts and materials outright. All parts/materials purchased directly by the City shall be installed by the Successful Bidder at the City's direction. Article 123. COUNTERPARTS; ELECTRONIC SIGNATURES This Agreement may be executed in counterparts, each of which shall be an original as against either Party whose signature appears thereon, but all of which taken together shall constitute but one and the same instrument. An executed facsimile or electronic scanned copy of this Agreement shall have the same force and effect as an original. The parties shall be entitled to sign and transmit an electronic signature on this Agreement (whether by facsimile, PDF, or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Agreement upon request. All other terms and conditions of the Agreement are in operative force and effect and remain unchanged.
