RESOLUTION NO. 77.276
A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER
INTO AN AGREEMENT WITH MR. TOM WOOD, RESEARCH
CONSULTANT, FOR PROFESSIONAL StRVICtS, WITH TOTAL
COMPtNSATION NOT TO EXCtED $4850, WITH FUNDS THEREFOR
IN THt MANPOWER EUDGtTED PROGRAM.
WHEREAS, the City of Miami has entered into an agreement
with Metro -Dade County through the Manpower Planning Consortium of
Dade and Monroe Counties pursuant to Resolution No. 76-917 for
implementation of the Community Response Center Program, (The Miami
Research & Response Center), a program funded under the Comprehensive
Employment and Training Act with funds in the Manpower Budgeted
Program; and
WHEREAS, the Miami Research and Response Center requires
the professional services of a research consultant; and
WHEREAS, Mr. Tom Wood is possessed of the experience
necessary to provide the program with professional services;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. That the City Manager is hereby authorized
and directed to enter into an agreement with Mr. Tom Wood, Research
Consultant, for professional services, with
to exceed $4,850.00,

THIS AGREMENT, tirade and entered into this day of
1977 , by and between the CITY dr MIAMI , a muni-
cipal corporation of the State of Florida, (hereinafter referred
to as the "City"), and MR. TOM WOOD, (hereinafter referred to as
the "Research Consultant"):
WITNESSET H:
WHEREAS, the City of Miami has entered into an agreement
with Metro -Dade County through the Manpower Planning Consortium
of Dade and Monroe Counties pursuant to Resolution No. 76-917 for
implementation of the Community Response Center Program, (The
Miami Research & Response Center), a program funded under the
Comprehensive Employment and Training Act; and
WHEREAS, the Miami Research and Response Center requires the
professional services of a research consultant; and
WHEREAS, Mr. Tom Wood is possessed of the experience necessary
to provide the program with professional services; and
WHEREAS, the Miami Research and Response Center has obtained
the written approval of the City, attached hereto and made a part
hereof;
NOW, THEREFORE, the City and the Consultant, for the con-
sideration hereinafter set forth, do covenant and agree as follows:
THE RESEARCH CONSULTANT AGREES:
1 To provide the following services:
Guidance and instruction in the procedures necessary
to carry out a research project, the purpose of which
is the assessment of citizen perception of city services:
a) Assistance in drawing a sample population "-;•'1\1:
b) Review and revision of the survey{�

c) Construction of research design
d) Scoring of the questionnaire
e) Analysis of raw data.... ,
f) Assistance in interpreting results
g) Assistance in drafting final project report
h) Conclusions and recommendations resulting from
the findings of the research study,

2. that the City will make all reasonable efforts to obtain
the use of the Dade County Computer at no cost to the City, If
use of this computer cannot be obtained, the cobsultatit may pro-
vide computer use through the University of Miami.
THE CITY AGREES:
1. That it will pay Mr. Wood Ten Dollars ($10) per hour
spent at the Miami Research and Response Center, Ten Dollars ($10)
per hour for each hour spent preparing for consultation meetings,
and travel reimbursement of Three Dollars ($3) per trip to and
from the office.
2. Should the program need Mr. Wood to provide us with
access to the University of Miami computer, a maximum of $2,000
will be paid for all computer services required; a maximum of
$600 will be paid should we request the use of the University of
Miami key punch machines, data cards and tapes.
3. Total compensation is not to exceed $4,850.00.
BOTH PARTIES AGREE;
1. That the professional services and work product to be
rendered by the Research Consultant shall be satisfactory to the
Program Manager.
2. That the term of this contract shall be from December
1976 until September 30, 1977 , and may he
extended upon mutual agrement of the parties hereto.
3. That the Research Consultant shall be deemed to be an
independent contractor and not an agent or employee of the City
of Miami, and shall not attain any rights or benefits under the
Civil Service or Pension Ordinances of the City of Miami, or any
rights generally afforded classified or unclassified employees;
further, he shall not be deemed to be entitled to Florida
Workmen's Compensation benefits as an employee of the City of Miami,
The City shall emercise to control over the manner or Means
Whereby the services of the Research Consultant are performed
except as to the ultimate accoMpl..shment of the objectives as
herein set forth.
4. That this contract may be altered or amended only
upon the written consent of both patties hereto.
5. That either party may terminate this Agreement upon
thirty (30) days written notice to the other party; subject,
however, to the reservation of the City's right to terminate
this Agreement immediately, with or without notice, uton the
determination of the Program Manager for the Response Center
that the services of the Research Consultant are not satisfactory,
and upon communication of an appropriate recommendation to the
City Manager for disposition.
In the event this contract is terminated by either party,
the Research Consultant shall be entitled to the pro-rata portion
of the specified compensation due at the time of termination.
6. The Research Consultant shall surrender all of his work
papers, work product, and all papers of whatever kind or nature
used and kept in connection with this contract to the City, which
shall become the property of the City, and the Research Consultant
shall have no claim of any nature whatsoever upon ne work papers,
work products, abd other work material so surrendered to the City
of Miami.
7, The Research Consultant also agrees to defend, indemnify
and save harmless the City against any and all claims, suits, actions
for damages, or costs of actions arising during the term of this
Agreement, for any personal injury, loss of life, or damage to
property, sustained by reason of or as a result of the Research
Consultant's (his agents, employees or workmen) carelessness or
negligence.; from and against any orders, judgments or decrees,
which way be entered thereon; and from and against all costs,

IN WITASS WitEkEOF, the parties hereto have caused this
iftstrument and exact duplicates hereof to be etecuted in their
tales by the persons thereto legally qualified and authorized,
all as of the day and year hereinbefore first above written.

The enclosed resolution authorizes the City Manager to enter
into the attached agreement With tt1r. Tom Wood, Research
Consultant, for professional services for the Miami Research
and Response Center Program.
The program, funded under Title I of the Comprehensive Employ-
ment and Training Act, has $4,850 available in the budget for
professional services. The Office of Manpower Planning
Consortium has approved the use of these funds to purchase the
services of dr. Wood. Total compensation is not to exceed
$4,850.
It is requested that the resolution be placed on the March 24,
1977 agenda.
