AMENDMENT NO. 2 TO COMMUNITY DEVELOPMENT BLOCK GRANT
AGREEMENT BY AND BETWEEN CITY OF MIAMI AND REBUILDING
TOGETHER MIAMI-DADE, INC.
This Second Amendment to the Community Development Block Grant ("CDBG")
Agreement ("Amendment No. 2") between the City of Miami, a municipal corporation of the
State of Florida ("CITY"), and Rebuilding Together Miami -Dade, Inc., a Florida not for profit
corporation ("SUBRECIPIENT") is entered into on this 5 day of f) (42‘ ,
2023. The CITY and SUBRECIPIENT may each be individually referred to as a "Party" or
collectively be referred to as the "Parties."
RECITALS
WHEREAS, the CITY, pursuant to Resolution No. R-19-0501, approved the allocation of
CDBG Funds to in the amount of $191,599.00 ("CDBG Funds") for single family rehabilitation
services ("Work Program"); and
WHEREAS, on November 19, 2020, the CITY and SUBRECIPIENT entered into a
CDBG Agreement to set forth the terms and conditions relating to the use of the CDBG Funds to
implement the Work Program, attached and incorporated herein as Exhibit "A" ("CDBG
Agreement"); and
WHEREAS, on March 28, 2022, the CITY and SUBRECIPIENT entered into a
Amendment No. 1 to the CDBG Agreement, attached and incorporated herein as Exhibit "B"
("Amendment No. 1"), in order to extend the term of the CDBG Agreement; and
WHEREAS, SUBRECIPIENT has requested another extension of the CDBG
Agreement's term until December 31, 2023; and
WHEREAS, the CITY believes it is in the best interests of the Parties to grant this
request for an extension; and
WHEREAS, the CITY wishes to execute this Amendment No. 2 with the
SUBRECIPIENT to set forth the terms and conditions related to the CDBG Agreement's term
extension;
NOW, THEREFORE, in consideration of the mutual covenants and promises herein, the Parties
agree as follows:
1. The recitals are true and correct and hereby incorporated in and made a part of this
Amendment No. 2.
2. Page 1 of the CDBG Agreement is amended to reflect the TERM OF THE AGREEMENT as
follows: November 19, 2020 — December 31, 2023.

3. On page 4, Section 3.2 of the CDBG Agreement is amended and replaced with the following
language: This Agreement shall commence on the date the City Clerk's attestation is affixed
to this Agreement and it shall expire on December 31, 2023.
4. All other terms and conditions of the CDBG Agreement shall remain in effect and
unmodified.
5. To the extent that any conflicts exist between this Amendment No. 2 and Amendment No. 1,
this Amendment No. 2 shall take precedence.
6. This Amendment No. 2 may be executed in any number of counterparts, each of which so
executed shall be deemed to be an original, and such counterparts shall together constitute
but one and the same document. The Parties shall be entitled to sign and transmit an
electronic signature of this Amendment No. 2 (whether by facsimile, PDF or other email
transmission), which signature shall be binding on the party whose name is contained therein.
Any Party providing an electronic signature agrees to promptly execute and deliver to the
other Parties an original signed Amendment No. 2 upon request.
