FOR USE OF A PORTION OF GIBSON PARK This Amendment No. 4 to Lease Agreement ("Amendment") is dated as of 10th day of January, 2023 ("Effective Date"), by and between the City of Miami, a municipal corporation of the State of Florida ("Lessor"), and Overtown Youth Center, Inc., a Florida not for profit corporation ("Lessee") for the purpose of amending that certain Lease Agreement between the Lessor and Lessee dated February 28, 2001 ("Agreement"). BACKGROUND STATEMENTS A. Lessor and Lessee entered into the Agreement for use of approximately 57,316 square feet of Lessor's property at Gibson Park, 380 N.W. 14th Street, Miami, Florida ("Subject Property") for the exclusive provision of public educational and recreational opportunities, at no cost to the youth and families of the Overtown community. B. Lessor and Lessee entered into Amendment No. 1 to the Agreement dated June 6, 2016 and Amendment No. 2 to the Agreement dated January 9, 2019, which collectively extended the term of the Agreement through February 28, 2066. C. Lessor and Lessee entered into Amendment No. 3 to the Agreement dated January 7, 2020, to enable Lessee to demolish the structure that existed on the Subject Property at that time and approving the design, permitting, development, construction and operation of a new three story academic, enrichment and administration building of approximately 62,620 square feet (the "New Facility") on the Subject Property. The Agreement together with Amendments No. 1, No. 2, and No. 3 are collectively referred to as the "Lease." D. Lessor and Lessee desire to amend the terms of the Lease as set forth in this Amendment. Pursuant to Resolution No. R-21-0341, attached as Exhibit A, the City Manager is authorized to execute this Amendment. E. Lessee is authorized to execute this Amendment pursuant to the Written Consent of Directors, attached as Exhibit B. F. All exhibits are incorporated by reference herein.
