FOR USE OF A PORTION OF GIBSON PARK This Amendment No. 4 to Lease Agreement ("Amendment") is dated as of 10th day of January, 2023 ("Effective Date"), by and between the City of Miami, a municipal corporation of the State of Florida ("Lessor"), and Overtown Youth Center, Inc., a Florida not for profit corporation ("Lessee") for the purpose of amending that certain Lease Agreement between the Lessor and Lessee dated February 28, 2001 ("Agreement"). BACKGROUND STATEMENTS A. Lessor and Lessee entered into the Agreement for use of approximately 57,316 square feet of Lessor's property at Gibson Park, 380 N.W. 14th Street, Miami, Florida ("Subject Property") for the exclusive provision of public educational and recreational opportunities, at no cost to the youth and families of the Overtown community. B. Lessor and Lessee entered into Amendment No. 1 to the Agreement dated June 6, 2016 and Amendment No. 2 to the Agreement dated January 9, 2019, which collectively extended the term of the Agreement through February 28, 2066. C. Lessor and Lessee entered into Amendment No. 3 to the Agreement dated January 7, 2020, to enable Lessee to demolish the structure that existed on the Subject Property at that time and approving the design, permitting, development, construction and operation of a new three story academic, enrichment and administration building of approximately 62,620 square feet (the "New Facility") on the Subject Property. The Agreement together with Amendments No. 1, No. 2, and No. 3 are collectively referred to as the "Lease." D. Lessor and Lessee desire to amend the terms of the Lease as set forth in this Amendment. Pursuant to Resolution No. R-21-0341, attached as Exhibit A, the City Manager is authorized to execute this Amendment. E. Lessee is authorized to execute this Amendment pursuant to the Written Consent of Directors, attached as Exhibit B. F. All exhibits are incorporated by reference herein. Recitals; Defined Terms. The Background Statements are true and correct and are incorporated by reference in this Amendment. Capitalized terms not otherwise defined in this Amendment shall have the meanings given to them in the Lease. 2. Permitted Use. Section 3.2 of the Lease entitled "Purpose of Use and Occupancy of Subject Property" is amended and restated in its entirety to read as follows: "Lessee represents and warrants to Lessor that it shall use the Subject Property exclusively to provide educational and recreational opportunities, at no cost, to inner City youth and their families living primarily in the Overtown community, including but not limited to (a) providing in -school case management and advocacy for program participants; (b) providing educational opportunities, tutoring, counseling, and other support services for school -age children and their families; (c) supporting program participants after high school through career exposure, job interview skills classes and provision of other resources; (d) exposing program participants to a variety of enrichment activities including music, dance, sports, technology and science; (e) charter school facilities and classes for grades K through 8; and (f) serving families through activities such as wellness activities, parenting workshops, counseling and other useful training programs. The Subject Property shall not be used for any other purpose. 3. Counterparts and Electronic Signatures. This Amendment may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same Amendment. The parties shall be entitled to sign and transmit an electronic signature of this Amendment (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein.
