The following Paragraph 019 is the preferred statement to include in the
agreement because it outlines the proposal and desires of both the City
And the UniVersity without getting into any specifics. The intent is for
the specifics to be completely enumerated in the ordinance which would
create the Advisory Committee. This version of Paragraph #I9 was agreed
to and signed by the University the first week of January, 1977.
19. The City agrees to establish not later than April 30, 1977# a
separate department by City ordinance, the head of which department
is to be the director of the Convention Center who will report directly
to the City Manager. In addition, an Advisory Committee for the Center
is to be established by the same ordinance consisting of five (5)
members mutually agreeable to the City and the University. The Com-
mittee is to be appointed by the City Commission not later than May 31,
1977. The Director is to be appointed by the City Manager from persons
recommended by the Advisory Committee.

The present policy of the City in the purchase of land in lieu of
condemnation is to have the owner grant an option to the City of
Miami to purchase his property. In connection therewith and in
order to make the option binding upon the owner, the City has
been giving the owner $100 at the time he signs the option.
In order to comply with Federal regulations, among which is the
requirement that the City make an offer to the property owner
prior to condemnation, we are suggesting a form contract attached
hereto. This contract requires the City to pay $100 as a good-
faith deposit in the making of the offer,

As the result of a'presentation trade to the City Commission, oh April 80 1976,
Of the possibility of having the UniVersity of idiatni's Conference Center at
the City of Miami's Convention Center, the Commission by Motion No. 76= 5S,
"DIRECTED THE CITY MANAGER TO NEGOTIATE AN AGREEg NT WITH THE UNIVERSITY THAT
WILL DEFINE AND DELINEATE THE LEGAL OBLIGATIONS AND FISCAL RE5PONSISILITIES
OF BOTH PARTIES".
At the City Commission meeting on June 9, 1976, a progress report was made to
the Commission by the City Manager and the City Attorney in which all the
legal obligations and fiscal arrangements of the proposed agreement were
presented to the Commission. As a result, the Commission passed :-notion No.

Since then, negotiations have continue:continue:1 with the University of niatni resulting
in the final draft of the Agreement, with attached exhibits, distributed for
consideration and review: by the City Comm .ssioi:.
Meetings were held with each of the Commissioners individually in order to
discuss the concepts and det.•ails outlined in the Agreement. The concerns of
each of the commissioners were identified and their comments noted. Further
negotiations were held with the University resulting in these comments being
incorporated in the Agreement and Lease.
It is recommended that the City Commission authorize the City Manager to
execute this agreement. forthwith.
