Greenberg Traurig, P.A. 333 S.E. 2' Avenue Suite 4400 Miami, Florida 33131 (Reserved) AGREEMENT FOR DEVELOPMENT SPECIFIC PUBLIC ART MASTERPLAN THIS AGREEMENT FOR PUBLIC ART (hereinafter "Agreement") is entered this 27 day of February, 2026 (the "Effective Date"), by and between Miami Freedom Park, LLC, a Delaware limited liability company (hereinafter, "Developer"), and the CITY OF MIAMI, FLORIDA, a municipal corporation and a political subdivision of the State of Florida (hereinafter, "City") (Developer and City together referred to as the "Parties"). WHEREAS, the City is the fee simple owner of approximately 131 acres of property in Miami -Dade County, Florida, located between NW 14th Street to the South, NW 42 Avenue to the West, the City jurisdictional boundary on the North, and NW 37th Avenue to the East, within the City, as more particularly described in the attached and incorporated Exhibit "A" (the "Overall Property" or "SAP Area"); and WHEREAS, pursuant to Resolution Nos. R-22-0156 and R-22-0157, adopted April 28, 2022, the City, in its proprietary capacity, and Developer entered into that certain Ground Lease for Soccer Stadium, that certain Ground Lease for Miami Freedom Park Commercial Development, and certain related easement agreements with the City, all dated as of February 9, 2023, as may be amended from time to time, governing Developer's use of a portion of the Overall Property (collectively, the "Lease Agreements") and the Construction Administration Agreement dated as of February 9, 2023, as may be amended from time to time governing Developer's construction thereon (the "Construction Administration Agreement"); and 1 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park WHEREAS, the Lease Agreements grant Developer a leasehold interest over those certain portions of the Overall Property located at 4000 NW 14 Street, 1900 NW 37 Avenue, and 1950 NW 37 Avenue, Miami, Florida, as more particularly described in the Lease Agreements (the "Leased Property"); and WHEREAS, the City, in its regulatory capacity, and Developer also entered into a Development Agreement, dated June 30, 2023, as may be amended from time to time ("Development Agreement"), pursuant to Section 3.9.1 of Ordinance No. 13114, the Zoning Ordinance of the City of Miami, Florida, as amended, ("Miami 21 Code"), in order to authorize, among other things, a Special Area Plan that includes the development of the Leased Property as a soccer campus consisting of various uses, including a Major Sports Facility, Lodging, Commercial, and Office uses, along with other related amenities, as such Special Area Plan may be amended from time to time ("Miami Freedom Park SAP"); and WHEREAS, pursuant to the Lease Agreements, Construction Administration Agreement, and Development Agreement, Developer desires to construct various structures at the Leased Property, as well as various improvements within the Overall Property, all as part of the development of a mixed -use project consisting of a soccer stadium, together with commercial, hotel, and civic uses (collectively, the "Development"); and WHEREAS, the Development will be constructed pursuant to multiple master building permits (each, a "Master Building Permit" and collectively, the "Master Building Permits"), some of which are already in process and others that will be filed in the future; for the sake of clarity, "Master Building Permit" expressly excludes any phased permit and/or sub -permit, which are components of a Master Building Permit; and WHEREAS, the Zoning Ordinance 13114, (referred to as "Miami 21") Code, Section 11.7, the Code of the City of Miami, Florida, as amended, Chapter 62, as amended ("City Code"), specifically Article XVI, as amended (the "AIPP Ordinance"), and the City's Planning and Zoning policies and procedures generally require that prior to issuance of a building permit for certain qualifying developments, a developer shall pay the Public Art Fee equivalent to one and one-half percent (1.5%) of the Project Cost, as such required percentage is defined in the Miami 21 Code, and the expenditure of which must be consistent with the requirements of City Code Section 62-661 (the "AIPP Fee") into the Public Art Fund or shall provide for the acquisition of Art equivalent in value to not less than one and one-half percent (1.5%) of the Project Cost of all Government Development Projects, as such terms are defined in the Miami 21 Code and the expenditure of which must be consistent with the requirements of City Code Section 62-661; and 2 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park WHEREAS, on March 10, 2022, pursuant to Resolution No. R-22-0107, the City of Miami City Commission adopted the interim City of Miami Art in Public Places Master Plan and Program Guidelines (the "City Interim Public Art Master Plan"); and WHEREAS, the City Interim Public Art Master Plan is intended to be interim until the adoption and execution of the City's own Public Art Master Plan and Public Art Program Guidelines; and WHEREAS, pursuant to the City Interim Public Art Master Plan, one of the principal goals of the Art in Public Places Programs is "to encourage multidisciplinary collaboration in the public and private sectors to create vibrant public spaces;" and WHEREAS, pursuant to the City Interim Public Art Master Plan, sports venues "offer a unique opportunity to display the area's cultural, historic and environmental diversity through the integration of public works of Art;" and WHEREAS, the Parties desire to establish a master plan specific to the public artwork to be displayed, curated, owned and/or leased in the event of a rotating collection, and maintained by Developer (the "Public Art") within the Leased Property, providing a cohesive framework for the planning and implementation of the Public Art, to be addressed with each Master Building Permit issued within the Leased Property, including approval criteria and process, in accordance with all applicable laws, including, without limitation, the City Code and the Miami 21 Code; and WHEREAS, Section 62-655(c)(4), the Art in Public Places Board ("AIPPB") has the power to "approve, approve with conditions, or deny proposed installations, dedications, or donations of art, based on the public art program guidelines and the public art master plan, unless the proposed installations, dedications, or donations of art are approved by the city commission pending the approval of a finalized public art master plan and public art program guidelines"; and WHEREAS, pursuant to AIPPB Resolution No. AIPP-R-26-009, a copy of which is attached as Exhibit "B" and incorporated herein, the AIPPB authorized the City Manager to enter into this Agreement and requested that the City's administration building ("City Administration Building") and the adjacent public park ("Public Park"), both located within the Overall Property, also be included in the public art master plan of the Development; NOW, THEREFORE, in consideration of the mutual promises and undertakings set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows: 3 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park 1. Recitals. The Parties acknowledge that the foregoing recitals are true and correct and are incorporated herein by reference as if fully set forth in this Section. 2. Art to be Located Outside of Leased Property but within SAP Area. While the City Administration Building and public park, both located within the SAP Area but outside of the Leased Property, will be included in the MFP Public Art Master Plan (as defined herein), the City shall be solely responsible for satisfaction of all public art requirements for such portions of the Overall Property and the Developer shall have no obligation with respect to satisfying any AIPP-related requirements for such portions of the Overall Property other than including such portions of the Overall Property in the MFP Public Art Master Plan, as provided herein. Notwithstanding anything to the contrary in this Agreement, the City shall have sole and absolute authority with respect to the final recommendation of the MFP Public Art Master Plan as it relates to artwork to be located outside of the Leased Property. For artwork located within the Leased Property, the final recommended MFP Public Art Master Plan shall be reviewed and recommended for approval in accordance with the procedures set forth in this Agreement. 3. Public Art Requirement. The Parties agree that Developer (or its subtenant(s), as applicable), at its sole discretion, shall have the option to either (i) incorporate Public Art equivalent in value to not less than the AIPP Fee less the Historic Preservation Trust Fees and Operating Fees, as defined below; (ii) pay the entire AIPP Fee applicable to the subject Master Building Permit into the Public Art Fund in accordance with the City Code and the Miami 21 Code; or (iii) a combination of (i) and (ii) above, incorporating Public Art and paying a portion of the AIPP Fee such that the aggregate of the Public Art and the accompanying payment satisfies the AIPP requirement. If Developer elects to satisfy the AIPP requirement by paying the AIPP Fee, in whole or in part, such amount shall be paid prior to the issuance of the applicable Master Building Permit. If Developer elects to satisfy the AIPP requirement, in whole or in part, by incorporating Public Art, then: (i) such Public Art shall be consistent with the approved MFP Public Art Master Plan, as hereinafter defined, and approved subject to the criteria and process provided in such plan, all in accordance with the City Code and the Miami 21 Code; and (ii) Developer shall provide to the City the following prior to the issuance of each Master Building Permit: a. Developer shall pay ten percent (10%) of the AIPP Fee prior to the issuance of the subject Master Building Permit (the "Historic Preservation Trust Fees"), to be utilized for historic preservation pursuant to Section 62-661(1)(c), which states that "Ten percent of the fees collected annually shall be allocated towards the historic preservation trust fund under article XVIIP'; and 4 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park b. Developer shall pay seven and one half percent (7.5%) of the AIPP Fee prior to issuance of the subject Master Building Permit ("Operating Fees") and Developer shall retain seven and one half percent (7.5%) of the AIPP Fee, each of which shall utilize such funds for operating and administrative costs pursuant to Section 62-661(1)(e), which states that "[f]ifteen percent of the fees collected annually shall be allocated towards operating and administrative costs associated with the public art program, including but not limited to, staffing, marketing, programming, training, and outside consulting"; and 4. Development of MFP Public Art Master Plan. Developer shall develop, no later than six (6) months after the Effective Date, a Development -specific public art master plan (the "MFP Public Art Master Plan") that outlines all Public Art proposed for the Development, and all public art proposed for the portions of the Overall Property consisting of the City Administration Building and the Public Park, in accordance with the requirements of the AIPP Ordinance, the Miami 21 Code, and the City Interim Public Art Master Plan. The MFP Public Art Master Plan shall be developed in coordination with City's Planning Department and completed at Developer's sole cost and expense, and shall be credited towards the permissible AIPP program expenses, which credit shall not exceed Two Hundred Thousand and 00/100 Dollars ($200,000.00) ("Maximum Master Plan Credit"); provided, however, MFP shall not be responsible for costs and expenses attributable to City-staff's time spent in connection with the MFP Public Art Master Plan. The MFP Public Art Master Plan shall comply with the following: a. Creation of MFP Public Art Master Plan. i. MFP Master Public Art Plan Governance and Management. Developer's selected representative ("Developer Representative") and the City Planning Department's Art in Public Places Division ("AIPPD") shall jointly manage the creation of the MFP Master Public Art Plan and shall direct the Consultant, as hereinafter defined, in the preparation of the plan, after having conducted the necessary research identified below and with input from a Steering Committee, which shall be established to provide strategic direction, accountability, and stakeholder representation throughout the master planning process as follows: 1. Purpose and Duties: a. Guides the project's vision and goals to ensure alignment with adopted plans, policies, and leadership priorities. 5 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park b. Provides oversight and decision support, reviewing major deliverables, assumptions, and recommendations at key milestones. c. Helps resolve issues and manage risk by identifying challenges early and advising on trade-offs. d. Supports transparency and trust by serving as a clear forum for dialogue between staff, consultants, and the public. e. Builds consensus and champions implementation, increasing the likelihood that final recommendations are adopted into the MFP Public Art Master Plan and implemented. f. For the avoidance of doubt, the Steering Committee shall serve in an advisory capacity but shall not have any voting authority or take any final actions governing the MFP Public Art Master Plan. 2. The Steering Committee Members shall be made up of the following individuals: a. Chair (selected from (b) — (m) below), as appointed by the Steering Committee b. City of Miami District 1 Community Representative c. City of Miami Mayor's Representative d. Stadium Representative e. Commercial Village Representative f. Hotel Representative g. Office Representative h. City Planning Department Representative i. Community Development District Representative j. Qualified Art Professional Community Representative k. City of Miami Parks Depailnient Representative 1. AIPPB Representative to be appointed by the City Manager m. Small Business Community Representative 3. The Steering Committee shall be supported by the AIPP Staff and Consultant, as hereinafter defined. 4. Number of Meetings: The Steering Committee is expected to meet on 3 to 4 occasions, as requested and coordinated by the AIPPD and Developer Representative. 5. Based upon the input gathered, the Consultant shall be responsible for compiling, organizing, and providing the draft 6 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park MFP Public Art Master Plan together with all input obtained to the AIPPD and Developer Representative, which mutually agree upon a final recommendation for approval by the AIPPB and City Commission. ii. MFP Public Art Master Plan Consultant. MFP shall be responsible, at its sole cost and expense, for engaging an MFP Public Art Master Plan Consultant ("Consultant") to provide the services described in this Section 3 through final approval of the MFP Public Art Master Plan. MFP may use the seven and one half percent (7.5%) of the AIPP Fee that Developer retained per Section 3(b) above to pay for costs and expenses resulting from the engagement of the Consultant; provided, however, that in no event shall the total credit for the MFP Public Art Master Plan, including but not limited to amounts expended for the Consultant, exceed the Maximum Master Plan Credit set forth in Section 4 above. The Consultant shall assist in establishing the overall vision and framework for the project in the manner set forth above, and shall prepare the draft MFP Public Art Master Plan to ensure the development functions as a cohesive whole. The Consultant shall demonstrate the following minimum qualifications: 1. Experience serving as prime consultant on public art master plans for municipalities, public agencies, or large-scale developments of comparable scope and complexity 2. Expertise in public art program planning, including governance structures, policy frameworks, artist selection processes, and implementation strategies 3. Knowledge of municipal planning and development processes, including coordination with planning, public works, parks, transportation, and capital improvement programs 4. Experience integrating public art into the built environment, including public spaces, streetscapes, infrastructure, civic facilities, and private development subject to public art requirements 5. Demonstrated experience designing and facilitating inclusive community engagement and stakeholder outreach, including coordination with elected officials, city staff, artists, cultural institutions, and community organizations 6. Experience developing responsive and equitable public art strategies that reflect local identity, cultural resources, and historic and cultural context 7 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park 7. Ability to develop public art budgets, funding mechanisms, phasing strategies, and long-term maintenance considerations 8. Experience working with artists and arts professionals, including development of artist selection criteria and advisory committee structures 9. Demonstrated project management capacity, including multi phase work plans, schedules, and clearly defined deliverables 10. Proven ability to produce clear, implementable public art master plan documents suitable for public review and adoption b. Topics to be Addressed. The MFP Master Public Art Plan shall address, at minimum, the following topics, in addition to those otherwise set forth in this Agreement: i. Public Art Project Background, Purpose and Vision. An overview of the project background, including the mission and goals of the Public Art at the Development and its alignment with the Development's identity. ii. Curatorial Framework. The curatorial framework for Public Art at the Development encompassing the curatorial vision, principles, themes, opportunities, and locations. iii. Research: A summary of research conducted in connection with the development of the plan, including: 1. Case Studies: A selection of case studies that establish a global benchmark for art in a stadium context, referencing comparable art plans and precedent examples. 2. Stakeholder Interviews: 1. City of Miami District 1 Office Group 2. City Staff, including Planning, DREAM, and others designated by the City Manager 3. Developer Group 3. Community Engagement: no less than one (1) Community Outreach meeting iv. Mapping. Summary of cultural, spatial and audience analysis that informs art opportunities. v. Communication and Educational Plan: Cultural, education, community outreach, or advocacy plan. The communication and educational plan may include social practice art, all designed to promote the visual and performing arts such as, but not limited to, youth -based programming involving the City's arts and entertainment council, public academic institutions, or non-profit organizations. 8 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park vi. Methodology, Strategy and Art Typology. The methodology for implementing the MFP Public Art Master Plan, including project phases, procurement models, artist selection criteria, artist engagement and artwork delivery; specifications for the Public Art, including materials, scale and documentation on structural feasibility, environmental conditions, and maintenance requirements; identification of where the Public Art will go and the types of works best suited for each area of the Development as well as prioritization of locations. vii. Requirements of the AIPP Ordinance and Article 11 of the Miami 21 Code. The standards for fabrication, structural safety, accessibility, durability, public accessibility, insurance, and conservation. c. Public Art Breakdown. The MFP Public Art Master Plan shall include a detailed breakdown of the proposed Public Art across the various components of the Development, organized based upon the anticipated issuance of each Master Building Permit; however, Developer may provide for an overall Public Art installation for the Development, or multiple phases thereof. 5. Total Costs. The MFP Public Art Master Plan shall include an estimated budget for the anticipated total costs of current and future proposed Public Art at the Development, including expenses related to selection, commissioning, acquisition, transportation, maintenance, repair, restoration, and insurance of said Public Art (the "Total Public Art Costs"), together with a breakdown of the anticipated Total Public Art Costs by Master Building Permit (with the actual amount determined upon the issuance of the Master Building Permit for each applicable phase of the Development). The Total Public Art Costs for each Master Building Permit shall be consistent with the City Code requirements as further detailed in Section 1 above. For purposes of this Agreement, compliance shall be evaluated on a Master Building Permit —by —Master Building Permit basis. If, with respect to any Master Building Permit, the Total Public Art Costs incurred exceed the amount required for that Master Building Permit, the excess amount may be applied to satisfy the Total Public Art Costs required for one or more other Master Building Permits within the Development; more specifically the AIPP requirement for a Master Building Permit may be satisfied based, in whole or in part, on Public Art in connection with a prior or concurrent Master Building Permit, which Public Art exceeded the Total Public Art Cost for such prior or concurrent Master Building Permit. However, an AIPP requirement for a Master Building Permit may not be satisfied based, in whole or in part, on Public Art attributable to a future Master Building Permit yet to be filed with the City. 9 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park 6. Approval of the MFP Public Art Master Plan. The MFP Public Art Master Plan shall be subject to review and approval by the AIPPB and City Commission. The Parties agree to implement the Public Art consistent with the MFP Public Art Master Plan as approved by the AIPPB and City Commission. The MFP Public Art Master Plan shall include procedures for the final selection of all Public Art to be implemented within the Development, including the identification of which Public Art shall be subject to review and approval by the AIPPB or the AIPPD which in all cases shall be consistent with the MFP Public Art Master Plan and in accordance with applicable laws. 7. Timeline. Developer shall diligently pursue completion and submittal of the MFP Public Art Master Plan and shall submit the MFP Public Art Master Plan for approval within six (6) months after the Effective Date of this Agreement, unless mutually extended by the AIPPD and Developer due to no fault of the Parties acting in good faith and for no more than an additional sixty (60) days. Upon receipt, the City's AIPPD shall promptly advance with the MFP Public Art Master Plan for review and approval by the AIPPB and, as applicable, the City Commission. 8. Permit Issuance. The Parties agree that satisfaction of the requirements set forth in Section 3 above shall satisfy the minimum requirements for the issuance of a Master Building Permit for the applicable portion of the Development provided that the Developer will obtain approval for the subject Public Art and fully install the approved Public Art on or before issuance of the final certificate of occupancy for the applicable portion of the Development. Approval of the MFP Public Art Master Plan is not a condition precedent to issuance of any Master Building Permit for applicable portion(s) of the Development listed on Exhibit "C" attached hereto and incorporated herein (the "Active Master Building Permits"), provided that the MFP Public Art Master Plan is advancing in good faith; any other Master Building Permit (other than the Active Master Building Permits) for which satisfaction of the AIPP requirement includes incorporating Public Art shall not be issued unless and until the MFP Public Art Master Plan has been completed and submitted to the City AIPPD for advancement to public hearing, and Developer diligently pursues the approval thereof. Additionally, and notwithstanding any language contained herein to the contrary, approval of the MFP Public Art Master Plan is not a condition precedent to issuance of any Master Building Permit submitted by, or on behalf of, the City in its proprietary capacity. For the avoidance of doubt, the AIPP requirement for any Master Building Permit (including the Active Master Building Permits) submitted for the Development may be satisfied by paying the full AIPP Fee attributable to such Master Building Permit prior to the issuance of such Master Building Permit, in which case City issuance thereof shall not be withheld, conditioned or delayed for AIPP-related reasons. 10 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park a. Master Permits Only. Notwithstanding anything to the contrary and for the avoidance of doubt, the AIPP requirements set forth in this Agreement shall not be a condition to the issuance of any phased building permits or sub -permits as may be issued, applied for, or processed, at any time, in connection with the Development, whether such phased building permits or sub -permits are applied for, processed, or issued before or after the date of this Agreement. 9. Public Art Installation. To the extent so elected by Developer in lieu of paying the AIPP Fee, Developer agrees, and shall require its subtenants and licensees, as applicable, to agree, to install the approved Public Art prior to the City's issuance of a final certificate of occupancy for the applicable portion of the Development. Without limitation of the foregoing, Developer shall provide all subtenants and licensees with a copy of this Agreement and the finalized MFP Public Art Master Plan, if available, prior to such subtenant or licensee's submission of any permits for development. Neither Developer, nor Developer's subtenant or licensees, will obtain its final certificate of occupancy in connection with any specific Master Building Permit until the Public Art for such portion of the Development has been installed in the manner approved consistent with the MFP Public Art Masterplan. For the avoidance of doubt, where any portion of the Development proceeding under a Master Building Permit has fully satisfied its Public Art requirements, that portion shall not be delayed or conditioned for AIPP-related reasons due to non-compliance under a separate Master Building Permit governing another portion of the Development. Developer's installation of Public Art shall be considered satisfactory if it meets the specifications required by and consistent with approvals issued in the manner set forth in the approved MFP Public Art Master Plan. 10. Final Deliverables for Art Installation. Within thirty (30) business days after installation of any Public Art pursuant to the approved MFP Public Art Master Plan, Developer shall provide to the City the following deliverables, as applicable: budget allocation worksheet detailing Public Art project expenditures, final artist report(s), copies of artist agreement(s), maintenance questionnaire, 5-10 digital photographs in JPEG format and on a CD (Developer agrees that City may utilize photo documentation for non-commercial purposes), or other documents identified in the Final MFP Public Art Master Plan and determined by Developer and AIPPD as being appropriate to the scope of the Final MFP Public Art Master Plan. The City shall review and issue an acknowledgement of completion ("Public Art Completion Acknowledgement") within thirty (30) business days after the City's receipt of all required deliverables with respect to the Public Art installation, which Public Art Completion Acknowledgement shall be the release of the final certificate of occupancy AIPP condition for the specific Master Building Permit. 11 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park 11. Time is of the Essence. Time is of the essence for all requirements and duties as expressed in this Agreement. 12. In the Event of Default Authorization to Withhold Specific Master Permits or Certificate of Occupancy. In the event Developer fails to satisfy any obligations set forth in this Agreement and such obligation(s) is/are not performed as required as to a specific Master Building Permit, and upon notice in writing to Developer with thirty (30) business days to resolve any such alleged default, the City Manager or his designee, in its regulatory capacity, is hereby authorized to withhold the specific Master Building Permit by Developer, or the specific final certificate of occupancy until such time as the alleged default is cured. 13. Miscellaneous. a. Headings. Descriptive headings are for convenience only and shall not control or affect the meaning or construction of any provision of this Agreement. b. Termination of this Agreement. This Agreement may not be amended or terminated during its term except by mutual agreement of Developer and the City Manager, or his designee, in writing; provided further that an amendment to this Agreement must be effectuated pursuant to the same formalities upon which this Agreement was executed, including, without limitation, approval by the AIPPB or City Commission, as applicable, unless such other authorization is required by applicable law. For the avoidance of doubt, the termination of this Agreement does not require approval by the AIPPB or City Commission. c. Counterparts. This Agreement may be executed in one or more counterparts, and all such counterparts shall be deemed to constitute one and the same instrument. The Parties shall be permitted to entitled to sign and transmit an electronic signature on this Agreement (whether by facsimile, PDF, or other email transmission), which signature shall be binding on the Party whose name is contained therein. Any Party providing an electronic signature agrees to promptly execute with an electronic signature and deliver to the other Parties an original signed Agreement upon request. d. No Third -Party Beneficiary. No persons or entities other than Developer, permitted successors and assigns, including any subtenants, and the City, permitted successors and assigns, shall have any rights whatsoever under this Agreement. 12 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park e. Enforcement. The City, its successor or assigns, and Developer, its successors or assigns, shall have the right to enforce the provisions of this Agreement. Enforcement shall be by action at law or in equity against any parties or persons violating or attempting to violate any covenants, either to restrain violation or to recover damages or both. Each party shall bear its own respective attorney's fees. f. Entire Agreement; Modification; No Oral Changes. This Agreement incorporates and includes all prior negotiations, correspondence, conversations, agreements and understandings applicable to the matters contained herein, and the Parties agree that there are no commitments, agreements, or understandings concerning the subject matter of this Agreement that are not contained in this Agreement. Accordingly, the Parties agree to no deviation from the terms hereof shall be predicated upon any prior representation or agreements, whether oral or written. No modification, amendment, or alteration in the terms or conditions contained herein, and no modification, shall be effective unless contained in a written document prepared with the same or similar formality as this Agreement and executed by the Parties. g. Exclusive Venue, Choice of Law, Specific Performance. This Agreement shall be governed by the laws of the State of Florida. Venue in any proceedings shall be in Miami -Dade County, Florida. Each Party shall be responsible for its own attorneys' fees. In addition to any other remedies available, the Parties also retain the remedy of specific performance. h. Severability. The provisions of this Agreement are independent of and severable from each other, and no provision shall be affected or rendered invalid or unenforceable by virtue of the fact that for any reason any other or others of them may be invalid or unenforceable in whole or in part, except to the extent that such invalidity or unenforceability causes the Agreement to fail of its essential purpose. In the event a finding of invalidity or unenforceability by a court of competent jurisdiction causes the Agreement to fail of its essential purpose, either Party shall have the right to terminate this Agreement upon written notice. Compliance with Applicable Law. Developer agrees to observe and comply with all applicable federal, state, and local laws, rules, and regulations, including without limitation, this Agreement, City Code, Miami 21, and the Development Agreement, all as they may be amended from time to time. 13 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park J- No Waiver. No waiver or breach of any provision of this Agreement shall constitute a waiver of any subsequent breach of the same or any other provision hereof, and no waiver shall be effective unless made in writing. k. Events of Default. i. Developer shall be in default under this Agreement if any of the following events occur and continue beyond the applicable grace period: Developer fails to perform or breaches any material term(s), covenant(s), or condition(s) of this Agreement, which breach is not cured within thirty (30) days after receipt of written notice from the City specifying the nature of such breach; provided, however, that if such breach cannot reasonably be cured within thirty (30) days, then Developer shall not be in default if it commences to cure such breach within said thirty (30) day period and diligently prosecutes such cure to completion. ii. It shall not be a default under this Agreement if either party is declared bankrupt by a court of competent jurisdiction. All rights and obligations in this Agreement shall survive such bankruptcy of any party. The Parties hereby forfeit any right to terminate this Agreement upon the bankruptcy of the other party. iii. Notwithstanding the foregoing or anything contained in this Agreement to the contrary, following an assignment of this Agreement, (i) a default by any successor(s) or assignee(s) of Developer of any portion of this Agreement shall not be deemed to be a breach by (A) Developer, or (B) any other successor or assignee of Developer; and (ii) a default by Developer under this Agreement shall not be deemed to be a breach by any successor(s) or assignee(s) of Developer of their respective rights, duties, or obligations under this Agreement. For purposes of clarity, the Development may be developed by multiple parties in multiple phases over the next several years. Any actual or alleged default by a developer of a portion(s) or phase(s) of the Project, including, but not limited to, Developer, shall not cause, nor be treated, deemed, or construed as a default by another developer or party with respect to any other portion(s), phase(s), or component(s) of the Development. 14 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park 1. Remedies Upon Default. i. Neither party may terminate this Agreement upon the default of the other party, unless otherwise indicated in this Agreement, but shall have all of the remedies enumerated herein. Nevertheless, upon a material breach of this Agreement by a party, the non -breaching party shall have the right to terminate this Agreement upon a final order from a court of competent jurisdiction finding this Agreement rescinded or terminated due to a material breach which has not been cured. ii. Upon the occurrence of a default by a party to this Agreement not cured within the applicable grace period, Developer and the City agree that any party may seek specific performance of this Agreement, and that seeking specific performance shall not waive any right of such party to also seek monetary damages, injunctive relief, or any other relief other than termination of this Agreement. For the avoidance of doubt, there is no cross default with respect to different portions of the Development; if a default pertains to a specific parcel of land and specific Master Building Permit, then the default and the remedy relates only to such specific parcel of land and such specific Master Building Permit. m. No Exclusive Remedies. No remedy or election given by any provision in this Agreement shall be deemed exclusive unless expressly so indicated. Wherever possible, the remedies granted hereunder upon a default of the other party shall be cumulative and in addition to all other remedies at law or equity arising from such event of default (other than any remedy which may be available at law or in equity which permits the termination of this Agreement), except where otherwise expressly provided. n. Assignment or Transfer. This Agreement shall be recorded and shall be binding on Developer and its heirs, successors, and assigns, including the successor to or assignee of any Property Interest. Developer, at its sole discretion, may assign, in whole or in part, this Agreement including any of its rights and obligations hereunder, or may extend the benefits of this Agreement, to any holder of a Property Interest, as such term is defined in the Development Agreement, without the prior written consent or any other approval of the City as to its regulatory capacity; however, an assignment or transfer is subject to compliance with the terms of the Lease Agreements and Construction Administration Agreement regarding assignment. The City shall be notified in writing within thirty (30) days after any assignment or transfer. 15 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park o. Obligations Surviving Termination Hereof. Notwithstanding and prevailing over any contrary term or provision contained herein, in the event of any lawful termination of this Agreement, the following obligations shall survive such termination and continue in full force and effect until the expiration of a four (4) year term following the earlier of the effective date of such termination or the expiration of the term: (i) the exclusive venue and choice of law provisions contained herein; (ii) rights of any party arising during or attributable to the period prior to expiration or earlier termination of this Agreement; and (iii) any other term or provision herein which expressly indicates either that it survives the termination or expiration hereof or is or may be applicable or effective beyond the expiration or permitted early termination hereof. p- q- Lack of Agency Relationship. Nothing contained herein shall be construed as establishing an agency relationship between the City and Developer and neither Developer nor its employees, agents, contractors, subsidiaries, divisions, affiliates or guests shall be deemed agents, instrumentalities, employees, or contractors of the City for any purpose hereunder, and the City, its contractors, agents, and employees shall not be deemed contractors, agents, or employees of Developer or its subsidiaries, divisions or affiliates. Conflict. It is acknowledged that Developer must comply with this Agreement as well as the Development Agreement, Lease Agreements and Construction Administration Agreement. In no event shall this Agreement serve to amend or modify any of the obligations set forth in the Development Agreement, Lease Agreements or Construction Administration Agreement. If there is a conflict with between the terms of this Agreement and the Lease Agreements, then the most restrictive term(s) applies, unless otherwise provided by law. If there is a conflict with between the terms of this Agreement and the Construction Administration Agreement, then the most restrictive term(s) applies, unless otherwise provided by law. r. Successor(s), Assigns, and Designees. The covenants and obligations set forth in this Agreement shall extend to Developer, its successor(s) and/or assigns. Nothing contained herein shall be deemed to be a dedication, conveyance or grant to the public in general nor to any persons or entities except as expressly set forth herein. s. Indemnification. Developer shall defend, indemnify and hold harmless the City and its officers, employees, staff, agents and instrumentalities (the 16 ACTIVE 717936514v8 Agreement for Public Art MFP Master Plan City of Miami and Miami Freedom Park "Indemnified Parties") from any and all liability, losses or damages, including attorneys' fees and costs of defense, including, without limitation, any of same resulting from a challenge to this Agreement, which City or any other Indemnified Parties may incur as a result of any claims, demands, suits, causes of actions or proceedings of any kind or nature whatsoever, whether foreseen or unforeseen, arising out of, relating to or resulting from, the granting of the Agreement or the performance or non-performance by Developer (and/or its employees, agents, servants, partners, principals or subcontractors) of any obligations of Developer under this Agreement (collectively, a "Claim"). Developer shall pay all Claims in connection therewith and shall investigate and defend all Claims in the name of Indemnified Parties, where applicable, including any and all appellate proceedings, and shall pay all reasonable costs, judgments, and attorneys' fees which may issue thereon. WHEREAS, on January 12, 2017, the City of Miami ("City") adopted Ordinance Nos. 13656 and 13657, which established the Art in Public Places Program, the Public Art Fund, and the Art in Public Places Board ("AIPPB"), with its functions, duties, and powers; and WHEREAS, the Miami Freedom Park Project, located at 4000 Northwest 14th Street and 1900/1950 Northwest 37th Avenue ("the Project") is subject to public art requirements pursuant to Article 11 of Ordinance No. 13114, the Zoning Ordinance of the City of Miami, as amended ("Miami 21 Code"); and WHEREAS, Chapter 62, Article XVI of the Code of the City of Miami, as amended, ("City Code") establishes requirements for the planning, selection, and integration of public art for qualifying developments; and WHEREAS, Miami Freedom Park is a large-scale, mixed -use development that includes a sports stadium, enhanced public park, and related facilities located within a Special Area Plan approved by the City; and WHEREAS, the City of Miami Interim Art in Public Places Master Plan recognizes sports venues as unique opportunities for the integration of public art that reflects cultural, historic, and environmental context while enhancing public access and experience; and WHEREAS, the development of a site -specific Public Art Master Plan for Miami Freedom Park (the "Miami Freedom Park Public Art Master Plan") will provide a City of Miami Page 1 of 4 File ID: 18869 (Revision:) Printed On: 2/19/2026 coordinated and curated framework for the planning and integration of public art throughout the site and aid in evaluating the specific public art for the Project; and WHEREAS, the Miami Freedom Park Public Art Master Plan is intended to ensure that public art is thoughtfully planned, carefully selected, and consistent with applicable City Code requirements and adopted public art policies, while benefiting the surrounding community and enhancing public spaces; and WHEREAS, pursuant to Section 62-655(c)(4) of the City Code, the AIPPB has the function to approve, approve with conditions, or deny proposed installations, dedications, or donations of art, based on the public art program guidelines and the public art master plan, unless the proposed installations, dedications, or donations of art are approved by the city commission pending the approval of a finalized public art master plan and public art program guidelines; and WHEREAS, the agreement to establish a Miami Freedom Park Public Art Master Plan (the "Agreement") is intended to facilitate the planning and coordination of proposed public art installations at Miami Freedom Park and does not constitute approval of any specific artwork, artist, or installation; and WHEREAS, the Agreement will require community engagement and incorporate input from stakeholders, City staff, the AIPPB, and the Public Art Committee for the development of the Miami Freedom Park Master Plan; and WHEREAS, the Agreement shall provide that Miami Freedom Park, LLC (the "Developer") shall have the option to satisfy the public art obligations through the incorporation of onsite artwork, the payment of the required public art fee in lieu thereof, or a combination of onsite artwork and art fee payment, in compliance with applicable City Code requirements and adopted public art policies, in compliance with applicable City Code requirements and adopted public art policies; and WHEREAS, the Agreement shall provide a timeline to finalize the Miami Freedom Park Master Plan, namely within six (6) months after the Effective Date of the Agreement, and require that the Miami Freedom Park Public Art Master Plan be developed at Developer's sole cost and expense; and WHEREAS, the Miami Freedom Park Public Art Master Plan will be presented to the AIPPB for review and approval; and WHEREAS, the AIPPB finds that authorizing the negotiation and execution of an Agreement to develop a Miami Freedom Park Public Art Master Plan for Miami Freedom Park is consistent with the intent of the City Code and advances the goals of the Art in Public Places Program; NOW, THEREFORE, BE IT RESOLVED BY THE ART IN PUBLIC PLACES BOARD OF THE CITY OF MIAMI, FLORIDA: City of Miami Page 2 of 4 File ID: 18869 (Revision:) Printed On: 2/19/2026 Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The AIPPB hereby authorizes the City Manager to negotiate and execute, in a form acceptable to the City Attorney, an Agreement between the City of Miami and Miami Freedom Park, LLC, to develop a Miami Freedom Park Master Plan for Miami Freedom Park, pursuant to Chapter 62, Article XVI of the Code of the City of Miami, subject to the following conditions: 1. The Miami Freedom Park Public Master Plan shall be developed in coordination with the City's Public Art Division and shall incorporate input from relevant stakeholders, including but not limited to City staff, the AIPPB, the Public Art Committee, and community representatives. 2. The Miami Freedom Park Master Plan shall be submitted by the Developer within six (6) months after the Effective Date of the Agreement and require that the Miami Freedom Park Public Art Master Plan be developed at Developer's sole cost and expense. 3. The Miami Freedom Park Public Art Master Plan, once completed, shall be presented to the Art in Public Places Board for review and approval prior to the implementation of public art proposed under the Master Plan. 4. The Miami Freedom Park Public Art Master Plan shall apply exclusively to the Miami Freedom Park project and shall not be construed to establish precedent or a generally applicable process for other developments. 5. The Miami Freedom Park Public Art Master Plan shall include a clear strategy for community outreach and educational engagement related to the planning and implementation of public art at Miami Freedom Park. 6. The Miami Freedom Park Public Master Plan shall include consideration of long term maintenance, conservation, and stewardship of public artworks, consistent with City standards. 7. The Miami Freedom Park Public Art Master Plan shall include the City Administration Building within its scope to ensure coordinated planning and integration of public art across the full Miami Freedom Park Project site. Section 3. This Resolution shall be effective immediately upon its adoption.
