Enclosed for inclusion in the City Clerk's Official Records is the original, fully executed Partial Release of
Mortgage and Other Loan Documents for the UniDos Project, as authorized by Resolution CRA-R-25-
0055 (September 25, 2025).
This document, executed by the Omni Redevelopment District Community Redevelopment Agency as
Mortgagee, releases a designated portion of the property for right-of-way purposes to Miami -Dade County,
while maintaining the lien and enforceability of the Mortgage over the remaining property.
Please include the enclosed document in the Official Records accordingly.

PARTIAL RELEASE OF MORTGAGE AND OTHER LOAN DOCUMENTS
KNOW ALL MEN BY THESE PRESENTS, that Omni Redevelopment District
Community Development Agency, its successors and assigns, as mortgagee ("Mortgagee"), is the
owner and holder of the following loan documents encumbering the real property as more
particularly described in the Mortgage (as defined below) situated in Miami -Dade County, State
of Florida (collectively, the "Security Documents"):
1. Amended and Restated Mortgage and Security Agreement for 14th Street
Development, I,LC, executed by 14th Street Development, LLC, a Florida limited
liability company, in favor of Omni Redevelopment District Community
Development Agency, dated December 19, 2025, in the original principal amount
of $27,000,000.00, recorded December 23, 2025 in Official Records Book 35087,
Page 4016, of the Public Records of Miami -Dade County, Florida.
A certain portion of the real property encumbered by the Security Documents is required to be
dedicated for right-of-way purposes to Miami -Dade County as more particularly described in Exhibit
"A" attached hereto and made part hereof (the "Right of Way Property").
In connection therewith, Mortgagee hereby releases, remises, quit claims, exonerates and
discharges the Right of Way Property from the lien and operation of the Security Documents, provided,
always, nevertheless, that the rest of the Mortgaged Property described in the Security Documents shall
remain encumbered and subject to the lien of the Security Documents, it being expressly understood and
agreed that (i) this partial release shall not operate to release or discharge the lien of the Security Documents
upon any portion of the Mortgaged Property other than the Right of Way Property or in any way release
Mortgagor (or any guarantor) from the obligations and liabilities set forth in the Security Documents and
other loan documents, but is only to release the Right of Way Property and none other and (ii) the remaining
and unreleased portion of the Mortgaged Property is to remain as security for the payment of the
indebtedness which is secured thereby and for the full performance of all the covenants, conditions and
obligations contained therein and the obligations secured thereby.
