Recommendation: x Sole Source Contract ❑Solicit Competition Access Contract Other Procurement Contracting Officer: Daniel Ramirez Background: The City of Miami ("City") Department of Procurement ("Procurement") has been tasked to research whether RapidSOS, Inc., a non -local vendor, located at 3 Park Avenue, Floor 22, New York, NY 10016, is the sole manufacturer & direct distributor of the software: GIS-RapidSOS Hosted, Non -Emergency Automation -Alarm Call Automation, Communicator -Voice, Text, & Video Intelligence, and Single Sign On (SSO). The Miami Police Department's ("MPD") Communications Unit conducted research and reports that the RapidSOS software will equip their unit with unique technological capabilities to access data -driven intelligence during emergency response operations. Research Conducted: RapidSOS, Inc's. ("RapidSOS") software offers exclusive functionality, data access, and integrations necessary to support the operational, technical, and safety needs of the City of Miami ("City") Emergency Communications Center ("ECC"). Its premium Communicator module uniquely integrates with over two hundred (200) emergency data sources and provides real-time access to location data, vehicle telematics, connected building information, and health profiles. Their platform also enables inter -agency data sharing across one hundred percent (100%) of Florida's ECC's and ninety seven percent (97%) nationally, including the sharing of voice, video, and text communications. In comparison to other providers, RapidSOS state other providers do not offer the volume or accuracy of data payloads already delivered (over 26 million to the City ECC alone); exclusive GIS integrations that update transcription and translation features in real time; RCS-to-911 secure messaging; "Text to Voice" language translation for over thirty four (34) languages; and a unified school safety data platform aligned with Alyssa's Law requirements. The MPD Communications Unit explains that, by utilizing this platform, the ECC will enable their inter- agency data sharing to include voice, video and text communications. They add that it integrates directly with the RapidSOS GIS module, Axon body -worn cameras, and school safety platforms. As part of their software installation process, RapidSOS will assign: a project manager (to oversee the project and ensure milestones are met), a GIS specialist (to configure and customize the GIS software), a data analyst (to manage data migration and validation), a trainer (to conduct training sessions and develop materials), and an engagement team (to provide ongoing support post -implementation). RapidSOS' acceptance criteria is: successful deployment and configuration of their RapidSOS software, data is accurately migrated and integrated, and no critical issues post go -live for a period of two (2) weeks. Comparable Contracts: Some comparable contracts with RapidSOS, are listed below. All of the transactions listed below were done via the sole source method: Washoe County. Nevada: — On August 7, 2025, Washoe County approved the "total five-year contract cost of $1,125,200.00 for the RapidSOS platform" (per their "Sole Source Purchase Request Form" requested by their IT Manager and approved by their Purchasing & Contracts Administrator on August 7, 2025) for their three Public Safety Answering Points. Pacific County. Washington: — On July 8, 2025, Pacific County approved the "purchase the GIS Module in the amount of $10,260.00, plus a one-time set up fee of $2,500.00...from the single source of supply provider RapidSOS" (per Resolution No. 2025-046) for their Communications Center. DuPage County. Illinois: — On September 11, 2024, DuPage County approved RapidSOS "to upgrade the current Portal to the Premium version for an initial one (1) year term with optional automatic renewals for four (4) twelve (12) month periods. Total amount for the initial term is $81,507.12, for a total contract amount of $392,535.60" (per Purchase Order 924024) for their Emergency Telephone System Board. Manatee County. Florida: — On April 8, 2024, Manatee County awarded RapidSOS a "contract with a value of $201,096.00...for the provision of RapidSOS Emergency Response Platform" (per Requisition No. 24-R084333BB) for their Public Safety Department. Recommendation: It was determined that RapidSOS, Inc. is currently the sole manufacturer and distributor of the software: GIS-RapidSOS Hosted, Non -Emergency Automation -Alarm Call Automation, Communicator - Voice, Text, & Video Intelligence, and Single Sign On (SSO) that meets the specialized needs of the Miami Police Department. Similarly, the unique and specialized expertise of one source of services is unlikely to be obtained from any other source. Furthermore, RapidSOS is the sole authorized dealer of this equipment in Florida. The terms and conditions of the purchase have been negotiated as to obtain those most favorable to the City, including the price. RapidSOS is the only vendor that offers the exclusive functionality, data access, and integrations necessary to support the operational, technical, and safety needs of the City of Miami's Emergency Communications Center (ECC). Its premium Communicator module uniquely integrates with over 200 emergency data sources and provides real-time access to location data, vehicle telematics, connected building information, and health profiles — datasets not available from any other provider. The platform also enables inter -agency data sharing across 100% of Florida ECCs and 97% nationally, including the sharing of voice, video, and text communications. It integrates directly with the RapidSOS GIS module, Axon body -worn cameras, and school safety platforms in a way that no other vendor can replicate. Alternative providers do not offer: • The volume or accuracy of data payloads already delivered (over 26 million to our ECC alone), • Exclusive GIS integrations that update transcription and translation features in real time, • RCS-to-911 secure messaging, • "Text to Voice" language translation for over 34 languages, • A unified school safety data platform aligned with Alyssa's Law requirements. We determined these requirements after reviewing operational needs, safety benchmarks, and interoperability with surrounding ECCs. No other vendor meets these combined needs. 2. Explain why this services provider, supplier or manufacturer is the only practicably available source from which to obtain this product or service, and describe the efforts that were made to verify and confirm whether, or not, this is so. (Obtain and include a letter from the manufacturer confirming claims made by distributors or exclusive distributorships regarding the product or service, if that is cited as a reason for this Sole Source.) RapidSOS is the only practicably available source for the Communicator module and its exclusive integrations. The company is the sole provider of these functionalities, and no resellers or third - party distributors offer or can replicate the integrated services described. Verification was obtained through direct correspondence with RapidSOS, as well as their sole source letter, which outlines the proprietary nature of their offerings. The integrations and features — including Axon integration, RCS messaging, and real-time GIS and language translation — are exclusive to RapidSOS and cannot be procured through other sources or vendors. 3. Will this product obligate us to a particular vendor for future purchases (either in terms of maintenance that only this vendor will be able to perform and/or if we purchase this item, will we need more "like" items in the future to match this one)? Yes. Implementing the RapidSOS premium Communicator module may necessitate future licensing and feature upgrades from RapidSOS to maintain system interoperability and expand functionalities. Continued support and integration with exclusive data sources and technologies (e.g., Axon, school safety platforms, and emergency health profiles) will rely on the vendor's services and ecosystem. However, this alignment ensures consistency, improved response capabilities, and operational continuity within the City of Miami and throughout the state. 4. Explain why the price for this product or service is considered to be fair and reasonable. The pricing is considered fair and reasonable given the scope of exclusive features, integrations, and proven service delivery to our agency and thousands of others. RapidSOS is a nationally recognized and widely adopted platform across Florida and the U.S. Their value is further substantiated by: • The volume of emergency data provided (26+ million payloads to Miami alone), • The lack of alternative vendors offering equivalent functionality, • The inclusion of multiple public safety partnerships under a single licensing model. Additionally, the fact that the platform is already in use statewide reduces the need for redundant training, support costs, and data interoperability adjustments — resulting in overall cost efficiency. 5. Describe the negotiation efforts, if any, that have been made with the supplier to obtain the best possible price. Given that RapidSOS is the sole source provider, traditional competitive pricing negotiations were not applicable. However, we have been in regular communication with our RapidSOS Regional Manager to ensure that our agency receives all relevant capabilities, including onboarding support, training, system customization, and continuous feature enhancements within the agreed pricing structure. 6. Explain the consequences(s) to the City, including the dollar estimate of the financial impact, if this Sole Source is not approved. Failure to approve this Sole Source will result in a critical loss of functionality and data -driven intelligence during emergency response operations. Specific consequences include: • Inability to access over 540 million connected devices that provide precise caller and incident information. • Loss of interoperability with 100% of Florida ECCs, compromising mutual aid and data sharing. • Elimination of real-time officer location data via Axon integration, negatively impacting officer safety. • Inaccessibility to RCS-to-911 messaging, school safety data, and health profiles — all vital tools in time -sensitive, life-saving situations. The financial impact would be substantial, as replacing or replicating these capabilities would require multiple vendors, additional integration efforts, higher training costs, and potential liability in the event of degraded emergency response effectiveness. A conservative estimate of the implementation, training, and operational disruption costs could exceed $250,000, not including potential public safety risks and reputational damage. RapidSOS, Inc. ("RapidSOS"), and is incorporated into the Master Service Agreement ("Agreement"). All terms not defined herein shall have the meanings ascribed to them in the Agreement. 1. License Grant by RapidSOS Intelligent Analyst. In accordance with the terms and conditions of the Agreement, Order Foam, and documents referenced therein, RapidSOS hereby grants Agency a revocable limited non-exclusive and non- transferable license to access, use, display, and otherwise make available RapidSOS Intelligent Analyst for the Tenn specified in the Order Form. RapidSOS further grants Agency a revocable limited non-exclusive license to access, use, reproduce, display, and otherwise make available productions and insights, including but not limited to base and derived data and as displayed in charts or diagrams, made available by Intelligent Analyst ("Analytics Data"). 2. Access Grant by Agency Data. Agency hereby grants RapidSOS access to and use of call detail record (CDR), ANI/ALI, and any additional ingress data required to enable functionality ("Agency Data") in order to provide Intelligent Analyst. RapidSOS shall be permitted to share Agency Data with authorized third -parties for the purposes of delivering Intelligent Analyst. Agency acknowledges that Agency must provision access to Agency Data in. order to receive Intelligent Analyst and agrees that should Agency remove access to Agency Data, RapidSOS may be unable to provide Intelligent Analyst. 3. Acceptable Use and Disclaimer. Agency agrees that Analytics Data is provided for informational purposes only and should not be should not be exclusively relied upon in response to an emergency or to make business decisions. a. Accuracy and Reliability. RapidSOS does not guarantee the accuracy or reliability of the Analytics Data. The Analytics Data is provided "as is" without warranty of any kind and is dependent on the quality and integrity of the data provided by Agency or sourced by RapidSOS. b. Limitation of Use. Agency agrees to use the Analytics Data only for internal business purposes and in accordance with applicable Local, state, national, or international laws and regulations. Agency further acknowledges that the Analytics Data is not intended for use in any legal, medical, safety -critical, or high - risk systems where the use or failure of the Analytics Data can lead to death, personal injury, or severe environmental or physical damage. c. Risk Assumption. Agency assumes all risks associated with the use of the Analytics Data and agrees that RapidSOS shall not be liable for any damages, whether direct, indirect, incidental, or consequential, arising from the use ofthe Analytics Data. 4. RapidSOS Analytics LP. In addition to the Intellectual Property rights granted in Section 7.1 of the Agreement, Agency acknowledges and agrees that RapidSOS owns all right, title, and interest in the RapidSOS Intelligent Analyst service, related documentation, and reports and analyses that RapidSOS may supply to the Agency in connection with its Intelligent Analyst or other analytics-based offering ("Analytics Reports"), including any alterations, adjustments, and all improvements, enhancements, and derivatives thereof, including all associated intellectual property rights found therein (collectively, "RapidSOS Analytics IP"). RapidSOS grants Agency a non-exclusive, non-sublicensable, and non -transferable license, for the Term specified in the Order Form, to use RapidSOS Analytics IP (including any Analytics Reports) strictly for Agency's own internal, legitimate, non-commercial purposes. Agency acknowledges and agrees that RapidSOS Analytics IP constitute and contain valuable confidential/proprietary information and trade secrets of RapidSOS, its licensors and/or its suppliers, embodying substantial creative efforts and confidential information, ideas, and expressions. Accordingly, Agency agrees to treat and ensure that all users treat RapidSOS Intelligent Analyst, documentation, RapidSOS Analytics IP, and Analytics Data as confidential, and to protect the confidentiality thereof, at all times exercising at Ieast a reasonable degree of care in the protection of such confidential information. RapidSOS Non -Emergency Automation provides automated answering, transcribing, and synthesizing of 10-digital alarm calls from monitoring agents and generating a Digital Alert of the call for display in Agency's existing RapidSOS UNI Eb, or integrated CAD. 2. Third -Party Services. RapidSOS Non -Emergency Automation may use the services or applications of third parties ("Third Party Services"). RapidSOS does not control such Third Party Services. RapidSOS shall not be responsible or liable to Agency, Agency Authorized User, or any other Person for the failure, non -performances or unavailability, faulty service or errors of any such Third Party Services. RapidSOS makes no warranties with respect to any Third Party Services, their performance, availability, or accuracy. 3. Services Use and Disclaimer. a. Accuracy and Reliability. Agency acknowledges and agrees that any transcriptions, synthesis, or display of Non -Emergency Automation calls ("ACA Output") is dependent upon inputs by monitoring agent or caller ("Caller lnput(s)"), which may contain errors and deficiencies. Agency and Agency Authorized Users are responsible for independently verifying the accuracy of all such Caller Inputs and all results of the ACA Output. RapisSOS is not responsible for the accuracy or reliability of the Caller Inputs or ACA Output. RAPIDSOS ASSUMES NO LIABILITY, WARRANTY, OR RESPONSIBILITY TO AGENCY, AGENCY AUTHORIZED USERS, OR ANY OTHER PERSON WITH RESPECT TO ANY CONCLUSIONS, INTERPRETATION, DECISIONS, OR ACTIONS BASED ON THE USE OF THE SERVICES OR ANY CALLER INPUTS OR ACA OUTPUT BY AGENCY OR AGENCY AUTHORIZED USERS. b. User Submissions. Agency acknowledges that RapidSOS has no control over the Caller Inputs transmitted by a monitoring agent or caller and made available to Agency Authorized Users via RapidSOS Non - Emergency Automation. RapidSOS shall have no obligation to screen or filter any Caller Inputs. 4. Ownership. In addition to the Intellectual Property rights granted in Section 7.1 of the Agreement, Agency acknowledges and agrees that RapidSOS owns all right, title, and interest in the RapidSOS Non -Emergency Automation services and related documentation, including any alterations, adjustments, and all improvements, enhancements, and derivatives thereof, including all associated intellectual property rights found therein (collectively, "RapidSOS Non - Emergency Automation IP"). RapidSOS grants Agency a non-exclusive, non-sublicensable, and non -transferable license, for the Tenn specified in the Order Form, to use RapidSOS Non -Emergency Automation IP strictly for Agency's own internal, legitimate, and non-commercial purposes. Agency acknowledges and agrees that RapidSOS Non -Emergency Automation IP constitutes and contains valuable confidential/proprietary information and trade secrets of RapidSOS, its licensors and/or its suppliers, embodying substantial creative efforts and confidential information, ideas, and expressions. Accordingly, Agency agrees to treat and ensure that all users treat RapidSOS Non -Emergency Automation IP as confidential, and to protect the confidentiality thereof, at all times exercising at least a reasonable degree of care in the protection of such confidential information. Agency grants RapidSOS a non-exclusive, non-sublicensable, and non -transferable license, for the Term specified in the Order Form, to use and store Caller Inputs and ACA Output to provide the Services under this EULA. 5. Storage Services Use and Disclaimer. Agency agrees that Caller Inputs and ACA Output may be uploaded, copied, and stored by RapidSOS ("Storage Services") as a part of the RapidSOS Non -Emergency Automation services for the 1 RapidSCS a Term of the Agreement. RapidSOS may use, copy and reproduce the Caller Inputs and Agency Data in order to provide the Services. RapidSOS shall have no obligation to store Caller Inputs and ACA Output after the expiration or termination of this Agreement. a. Backups. Storage Services do not replace the need for Agency to maintain regular data backups or redundant data archives of Caller Inputs and ACA Output. RapidSOS Communicator may use the services or applications of third parties, including telephone numbers owned by or provisioned for Agency ("Third Party Services") or utilize cloud servers. RapidSOS does not control such Third Party Services or cloud servers. RapidSOS shall not be responsible or liable to Agency, Agency Authorized User, or any other Person for the failure, non -performances or unavailability, faulty service or errors of any such Third Party Services or cloud servers. RAPIDSOS ASSUMES NO LIABILITY, WARRANTY, OR RESPONSIBILITY TO AGENCY, AGENCY AUTHORIZED USERS, OR ANY OTHER PERSON WITH RESPECT TO RECEIPT OF OUTBOUND MESSAGE(S). b. Accuracy and Reliability. Agency acknowledges that while RapidSOS Communicator may have pre - configured messages available for use by Agency and Agency Authorized Users, RapidSOS is not responsible for the accuracy or reliability of any Outbound Message. RAPIDSOS ASSUMES NO LIABILITY, .WARRANTY, OR RESPONSIBILITY TO AGENCY, AGENCY AUTHORIZED USERS, OR ANY OTHER PERSON WITH RESPECT TO THE CONTENT, CONCLUSIONS, DECISIONS, OR ACTIONS RESULTING FROM AN OUTBOUND MESSAGE. 5. Ownership. Caller Data and Agency Output. RapidSOS acknowledges and agrees that Agency, to the extent allowable by law, owns all right, title, and interest in Caller Data, Agency Output, and Outbound Messages. Storage Services Use and Disclaimer. Agency agrees that. Caller Data, Agency Output, or Outbound Messages may be uploaded, copied, and stored by RapidSOS ("Storage Services") as a part of the RapidSOS Communicator services for the Term of the Agreement. RapidSOS may use, copy and reproduce the Caller Data, Agency Data, or Outbound Messages in order to provide the Services.
