Subject: Execute - Interlocal Agrmnt - Occupational Health Services - Fire Rescue
Purpose of Item:
The nature of this item is to authorize a resolution of the Miami City Commission with
attachments, authorizing the City Manager to execute an Interlocal Agreement
("Agreement"), in a form acceptable to the City Attorney, with the Public Health Trust of
Miami -Dade County, Florida, an agency and instrumentality of Miami -Dade County
("Health Trust"), for the provision of occupational health services, for the Department of
Fire -Rescue ("Fire") for a period of three (3) years, allocating funds from the Fire
Account Code 00001.184021.531020.0000.00000, subject to the availability of funds
and budgetary approval, at the time of need on a contractual basis pursuant to Section
18-112; further authorizing the City Manager to negotiate and execute any and all
documents, including any amendments, renewals, extensions, and in accordance to the
Agreement, subject to allocations, appropriations and budgetary approval having been
previously made, compliance with applicable provisions of the Code of the City of
Miami, Florida, as amended, ("City Code"), including, the City of Miami's Procurement
Ordinance, Anti -deficiency Act, and Financial Integrity Principles, all as set forth in
Chapter 18 of the City Code, in a form acceptable to the City Attorney, and in
compliance with all applicable laws, rules, and regulations, as may be deemed
necessary for said purpose.
Background of Item:
The Department of Fire -Rescue ("Fire") has a need for occupational health services and
wellness health of its sworn and non -sworn personnel. The Health Trust has been
providing these comprehensive services to the City of Miami since 2022 and added on -
boarding services for new cadets. In an effort to continue this trend, it is recommended
that the City enter into an Interlocal Agreement with the Health Trust pursuant to
Section 18-112 of the City Code for an estimated annual amount of $860,000.00.

A RESOLUTION OF THE MIAMI CITY COMMISSION PURSUANT TO SECTION 18-
112 OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED, ("CITY
CODE"), APPROVING A CONTRACT WITH THE PUBLIC HEALTH TRUST OF MIAMI-
DADE COUNTY, FLORIDA, AN AGENCY AND INSTRUMENTALITY OF MIAMI-DADE
COUNTY ("PUBLIC ENTITY") FOR THE PROVISION OF OCCUPATIONAL HEALTH
SERVICES ("SERVICES") FOR A TERM OF THREE (3) YEARS IN AN ESTIMATED
AMOUNT OF EIGHT HUNDRED SIXTY THOUSAND AND 00/100 DOLLARS
($860,000.00) ANNUALLY; ALLOCATING FUNDS FOR THIS PURPOSE FROM
ACCOUNT NO. 00001.184021.531020.0000.00000 FROM THE FIRE -RESCUE
DEPARTMENT'S OPERATING BUDGET, OR OTHER LEGALLY AVAILABLE
FUNDING SOURCES, SUBJECT TO THE AVAILABILITY OF FUNDS AND
BUDGETARY APPROVAL AT THE TIME OF NEED; AUTHORIZING THE CITY
MANAGER TO NEGOTIATE AND EXECUTE A CONTRACT, IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY, WITH PUBLIC ENTITY FOR THE
SERVICES, CONSISTENT WITH THE TERMS SET FORTH HEREIN; FURTHER
AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ANY
DOCUMENTS, INCLUDING AMENDMENTS, RENEWALS, AND EXTENSIONS, ALL
IN FORMS ACCEPTABLE TO THE CITY ATTORNEY, AND SUBJECT TO ALL
ALLOCATIONS, APPROPRIATIONS, AND PRIOR BUDGETARY APPROVALS, AND
IN COMPLIANCE WITH APPLICABLE PROVISIONS OF THE CITY CODE,
INCLUDING, THE CITY OF MIAMI'S PROCUREMENT ORDINANCE, ANTI -
DEFICIENCY ACT, AND FINANCIAL INTEGRITY PRINCIPLES, ALL AS SET FORTH
IN CHAPTER 18 OF THE CITY CODE, AND IN COMPLIANCE WITH ALL
APPLICABLE LAWS, RULES, AND REGULATIONS, AS MAY BE DEEMED
NECESSARY FOR SAID PURPOSE; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of Miami ("City") requires occupational health services for the
provision of a wellness center for sworn and non -sworn personnel and on -boarding services for
new cadets within the Fire -Rescue Department ("Services"); and
WHEREAS, Section 18-112 of the Code of the City of Miami, Florida, as amended ("City
Code"), provides that the City is exempt from competitive bidding procedures when it enters into
an agreement with other governmental agencies or state funded institutions for the purchase or
acquisition of goods or services, and further provides that purchases of goods or services in
excess of $50,000.00 are subject to approval by the City Commission; and
WHEREAS, the Public Health Trust of Miami -Dade County, Florida, an agency and
instrumentality of Miami -Dade County ("Public Entity") is a governmental agency for purposes of
Section 18-112, and the City desires to purchase or otherwise acquire the Services from the
Public Entity pursuant to mutually agreeable terms and conditions; and
WHEREAS, the contract with the Public Entity for the Services shall be for a term of
three (3) years in an estimated amount of Eight Hundred Sixty Thousand and 00/100 Dollars
($860,000.00) annually; and
WHEREAS, the City Commission desires to approve the contract with the Public Entity
for the Services and to authorize the City Manager to negotiate and execute the contract, and
any necessary amendments, renewals, and extensions, all in forms acceptable to the City
Attorney and consistent with the terms herein stated, for said purpose;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. Pursuant to Section 18-112 of the City Code, the contract with Public Entity
for the provision of the Services for a term of three (3) years in an estimated amount of Eight
Hundred Sixty Thousand and 00/100 Dollars ($860,000.00) annually is hereby approved.
Section 3. Funds shall be allocated from Account No.
00001.184021.531020.0000.00000 from the Fire -Rescue Department's Operating Budget, or
other legally available funding sources, subject to the availability of funds and budget approval
at the time of need.
Section 4. The City Manager is authorized' to negotiate and execute a contract, in a
form acceptable to the City Attorney, with Public Entity for the Services consistent with the terms
set forth herein.
Section 5. The City Manager is further authorized' to negotiate and execute any
documents, including amendments, renewals, and extensions, all in forms acceptable to the
City Attorney, and subject to all allocations, appropriations, and prior budgetary approvals, and
in compliance with applicable provisions of the City Code, including the City of Miami's
Procurement Ordinance, Anti -Deficiency Act, and Financial Integrity Principles, all as set forth in
Chapter 18 of the City Code, and in compliance with all applicable laws, rules, and regulations,
as may be deemed necessary for said purpose.
Section 6. This Resolution shall become effective immediately upon its adoption.

1 The herein authorization is further subject to compliance with all legal requirements that may be
imposed, including but not limited to those prescribed by applicable City Charter and City Code
provisions.
