Delaware limited liability company, with an address, of.3841 NE 2"`t Avenue, Miami, °Florida 33137 (the "Owner"), and the CITY OF MIAMI, Florida, a municipal corporation organized and existing under the laws of the State of Florida ("City"), with its principle office located at444 SW 2nd Avenue, loth Floor, Miami, Florida 33130, for the benefit .of the CITY OF MIAMI POLICE DEPARTMENT (the "Department"). Owner together with the City may"collectively be referred to as the'"Pa_rties",:and each individually a "Party". The, Owner desires to support local public- safety and -community engagement efforts in the neighborhood commonly known and referred to as the Miami Design District, in Miami, Florida (the "Design District") by donating a utility task vehicle (the "UTV") to the Department, through the City, for use at the Design District pursuant to the terms and conditions hereinafter set forth as follows: 1) UTV DESCRIPTION. The Parties acknowledge and agree that the UTV"is being donated to the City "as is" without any warranties, expressed or implied, except as specifically stated herein. The UTV being donated and transferred by the Owner to the City under this Agreement is described as follows: • Make/Model: 2025 Polaris R25RSY99AP • VIN/Serial Number: 4XARSY994S8278915 2) DONATION AND CONVEYANCE: TRANSFER OF TITLE. Owner hereby conveys, transfers, and irrevocably donates"to the City all right, title, and interest in and to the UTV, effective as of the date of this Agreement. The date on which the Department receives physical possession of the UTV's. keys shall constitute the official delivery and conveyance date of the UTV (the "Conveyance Date") for all legal and administrative purposes. Title, liability, and risk of loss of the UTV shall transfer from the Owner to the City on the Conveyance Date, provided that the Department acknowledges receipt of the keys for the UTV in writing. On the Conveyance Date the City shall accept the UTV in its "as -is" condition and acknowledges that title shall be transferredfroni the Owner to the City without warranty, express orimplied,, including any warranty of fitness for a particular purpose. The City acknowledges that commencing o; and following the date of conveyance of the UTV from the Owner, the City shall assume and.be=sole y liable and fully responsible for use, maintenance, and operation of the UTV in accordance:with t1 Agreement. , r f_I j Within thirty (30) days following the Conveyance Date, the Parties shall cooperate in'executingj and submitting all required documentation for the formal transfer of title, through .ti*, Florida' Department of Highway Safety and Motor Vehicles (DHSMV) or other applicable regulatory a-utljoritW Owner shall provide all necessary documents including the original certificate of title,signed,; anti? notarized as required. 3) PURPOSE AND USE LIMITATION. The Department understands. and acknowledges that the intent of this donation is to have the UTV permanently stationed at the Design. District however, the Parties acknowledge that there may instances where the UTV will be required to depart the Design District. The UTV can be parked in a location to be determined by the Owner. The UTV shall be used by Department personnel for patrolling and public safety, coverage in connection with special events and for all other purposes in furtherance, of coininunity policing initiatives at. the Design District. The UTV shall not .be used for any general_ or departmental purposes outside of the Design District, except for :emergency situations involving immediate risk to public safety originating from the Design District, or for off -site maintenance and/or repair of the UTV., 4) INSURANCE AND MAINTENANCE. The City shall be solely responsible for (i) procuring and maintaining adequate insurance coverage for the UTV; (ii) performing all required maintenance, repairs, and servicing of the UTV; (iii) ensuring the UTV is operated safely and only by authorized and trained Department personnel. 5) NO FURTHER OBLIGATIONS. Commencing on the Conveyance .Date, the 'UTV shall be deemed transferred and conveyed from the Owner to the City, and thereupon the Owner shall have no further responsibility, liability, or continuing obligation with respect to the UTV following the transfer of title. This includes but is not limited to operation, repair, maintenance, storage, insurance, or liability for any incidents involving the UTV. 6) LIABILITY. Owner shall not be held Liable for any loss, damage, or injury arising from the City's/Department's use, possession, or operation of the UTV after the Conveyance Date. The City hereby releases and waives any and all claims against the Owner in connection with the UTV, whether known or unknown, arising on or after the Conveyance Date. 7) MISCELLANEOUS. This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions or understandings. This Agreement shall be governed by the laws of the 'State of Florida, and any modifications to this Agreement must be made in writing and signed by both Parties.
