HANNON ATTESTED DATE 2/20/2026 DATE RECEIVED FROM ISSUING DEPT. 2/23/2026 NOTE DOCUSIGN AGREEMENT BY EMAIL PROFESSIONAL SERVICES AGREEMENT This Agreement ("Agreement") is entered into this 19th day of February 2026 ("Effective Date") by and between the OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY, a public agency and body corporate created pursuant to Section 163.356, Florida Statutes, with principal address at 1401 N. Miami Avenue, Miami, Florida 33136 ("CRA"), and Richie Tandoc, P.A., a Florida Profit Corporation, with principal address at 13453 SW 105th Avenue, Miami, FL 33176 ("Auditor"). RECITALS: WHEREAS, the CRA is responsible for carrying out community redevelopment activities and projects within its Redevelopment Area; and WHEREAS, pursuant to Section 218.391, Florida Statutes, the CRA issued Request for Proposals ("RFP") No. 09-29-2025, to obtain proposals from experienced and qualified firms for the provision of external auditing services for Fiscal Year ("FY") 2024-2025; and WHEREAS, in response to the RFP, Auditor submitted a proposal, attached hereto as Exhibit "A", setting forth its deliverables to the CRA; and WHEREAS, on December 11, 2025, the Board of Commissioners of the CRA adopted Resolution No. CRA-R-25-0075, attached and incorporated herein as Exhibit "B," which authorized the acceptance of the proposal submitted by Auditor and the execution of this Agreement; and PSA — OMNI Annual Audit 1 WHEREAS, the CRA desires to retain Auditor's services ("Services"), defined herein, and Auditor possesses all necessary qualifications and expertise to perform the Services, as determined by the Evaluation Committee; NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, Auditor and the CRA agree as follows: TERMS: 1. RECITALS AND INCORPORATIONS: The recitals above all statements contained therein are true and correct and are hereby incorporated as part of this Agreement. The following exhibits are attached hereto and are hereby incorporated into and made a part of this agreement: Exhibit A: Submitted Proposal Exhibit B: Authorizing Resolution Exhibit C: Scope of Services/Rates/Schedules and Budget Exhibit D: Insurance Exhibit E: Anti -Human Trafficking 2. TERM: The term of this Agreement shall be for two (2) years commencing on the Effective Date hereof with an option to renew for an additional three (3) one-year renewal options. 3. SCOPE OF SERVICES: A. Auditor agrees to provide the Services as specifically described, and under and subject to the special terms and conditions set forth in Exhibit "C" hereto. B. Auditor represents and warrants to the CRA and to the City that: (i) it possesses all qualifications, licenses and expertise required for the performance of the PSA — OMNI Annual Audit 2 Services; (ii) it is not delinquent in the payment of any sums due the CRA and/or to the City, including payment of permit fees, occupational licenses, etc., nor in the performance of any obligations to the CRA and/or to the City, (iii) all personnel assigned to perform the Services are and shall be, at all times during the term hereof, fully qualified and trained to perform the tasks assigned to each; (iv) the Services will be performed for the budgeted amounts, rates, and schedules and in the manner described in Exhibit "C" attached and incorporated herein; and (v) each person executing this Agreement on behalf of Auditor has been duly authorized to so execute the same and to fully bind Auditor as a party to this Agreement. C. Auditor shall at all times provide fully qualified, competent, and capable employees to perform the Services under this Agreement. The CRA may require Auditor to remove any employee the CRA deems careless, incompetent, insubordinate, or otherwise objectionable and whose continued Services under this Agreement are not in the best interest of the CRA. Each of Auditor's employees shall have and present proper identification. 4. COMPENSATION: A. The amount of compensation payable by the CRA to Auditor shall be based on the rates and schedules and budgeted amounts described in Exhibit "C" hereto, which by this reference is incorporated into this Agreement; provided, however, that in no event shall the total amount of compensation exceed Twenty Nine Thousand and 00/100 Dollars ($29,000.00) for this contract Term. B. Unless otherwise specifically provided in Exhibit "C", payment shall be made in arrears within forty five (45) days after receipt of Auditor's invoice for Services PSA — OMNI Annual Audit 3 performed, which shall be accompanied by sufficient supporting documentation and contain sufficient detail, to allow a proper audit of expenditures, should the CRA and/or the City require one to be performed. Invoices shall be sufficiently detailed so as to comply with the "Florida Prompt Payment Act" and other applicable laws. No advance payments shall be made at any time. The Auditor is not entitled to reimbursement of travel or any other expenses in addition to the rate of compensation as provided for in Section 4.A. above. C. Absent an amendment to this Agreement, additional services and expenses are not included in this compensation and shall only be provided upon a written amendment entered into by the CRA and Auditor and approved by the CRA. The CRA shall not be liable for any costs, fees, expenses or charges beyond the total amount of specified in this subsection for the Scope of Services and compensation referenced in Exhibit "C". The CRA shall not be liable for any cost, fee, expense, expenditure, or other liability of the Auditor and shall not be liable for any fees beyond the stated maximum amount of Twenty Nine Thousand and 00/100 Dollars ($29,000.00) for the Term of this Agreement. D. Auditor agrees and understands that (i) any and all subcontractors providing Services related to this Agreement shall be paid through Auditor and not paid directly by the CRA, and (ii) any and all liabilities regarding payment to or use of subcontractors for any of the Services related to this Agreement shall be borne solely by Auditor. E. Neither Auditor nor any of its employees nor its subcontractors shall perform any work unless duly authorized by the Executive Director of the CRA or his/her designated representative. Auditor shall not be paid (i) for any work performed outside the Services PSA — OMNI Annual Audit 4 set forth in Exhibit "C" for this Agreement, or (ii) for any work performed by any of Auditor's employees or subcontractors not otherwise previously authorized by the Executive Director of the CRA or his/her designated representative. 5. OWNERSHIP OF DOCUMENTS: Auditor understands and agrees that any information, document, report or any other material whatsoever which is given by the CRA or the City, as applicable, to Auditor or which is otherwise obtained or prepared by Auditor pursuant to or under the terms of this Agreement is and shall at all times remain the property of the CRA or the City, as applicable. Auditor agrees not to use any such information, document, report or material for any other purpose whatsoever without the written consent of CRA or the City, as applicable, which may be withheld or conditioned by the CRA or the City, as applicable in the CRA's or the City's sole discretion, as applicable. The CRA or the City, as applicable, shall maintain and retain ownership of any and all documents which result upon the completion of the Services under this Agreement. 6. AUDIT AND INSPECTION RIGHTS: A. The CRA and/or the City may, at reasonable times, and for a period of up to three (3) years following the date of final payment by the CRA to Auditor under this Agreement and any extensions hereof, audit, inspect, or cause to be audited, or cause to be audited and inspected, those books, documents, papers, and records of Auditor which are related to Auditor's performance under this Agreement for the purpose of audit, examination, excerpts, and transcripts. Auditor agrees to maintain all such books, documents, papers, and records at its principal place of business for a period of three (3) years after final payment is made under this Agreement and all other pending matters are PSA — OMNI Annual Audit 5 closed. Auditor's failure to adhere to, or refuse to comply with, this condition shall result in the immediate cancellation of this Agreement by the CRA. B. The CRA and/or the City may, at reasonable times during the term hereof, inspect Auditor's facilities and undertake such inquiries and reviews, as the CRA and/or the City deems reasonably necessary, to determine whether the Services required to be provided by Auditor under this Agreement conform to the terms hereof and/or the terms of the Solicitation Documents, if applicable. Auditor shall make available to the CRA and/or the City all reasonable facilities and assistance to facilitate the inquiries, reviews, and/or inspections by CRA and/or City representatives. All inquiries, reviews, and inspections shall be subject to, and made in accordance with, the provisions of the Code of the City of Miami, Florida, as same may be amended or supplemented, from time to time. 7. AWARD OF AGREEMENT: Auditor represents and warrants to the CRA and to the City that it has not employed or retained any person or company employed by the CRA or the City to solicit or secure this Agreement and that it has not offered to pay, paid, or agreed to pay any person any fee, commission, percentage, brokerage fee, or gift of any kind contingent upon or in connection with, the award of this Agreement. 8. PUBLIC RECORDS: Auditor understands that the public shall have access, at all reasonable times, to all documents and information pertaining to CRA contracts and to City contracts, subject to the provisions of Chapter 119, Florida Statutes, and agrees to allow access by the CRA and/or the City and the public to all documents subject to disclosure under applicable law. Auditor's failure or refusal to comply with the provisions of this section shall result in the immediate cancellation of this Agreement by the CRA. Should the Auditor determine to dispute any public access provision PSA — OMNI Annual Audit 6 required by Florida Statutes, the Auditor shall do so in accordance with the provisions of Chapter 119, Florida Statutes, at its own expense and at no cost to the CRA. IF THE AUDITOR HAS QUESTIONS REGARDING THE APPLICATION OF CHAPTER 119, FLORIDA STATUTES, TO THE AUDITOR'S DUTY TO PROVIDE PUBLIC RECORDS RELATING TO THIS AGREEMENT, THE AUDITOR MUST CONTACT THE CUSTODIAN OF PUBLIC RECORDS AT (305) 416-1800, VIA ELECTRONIC MAIL AT PUBLICRECORDS(a MIAMIGOV.COM, OR VIA REGULAR MAIL AT THE CRA, AT 1401 NORTH MIAMI AVENUE, 2ND FLOOR, MIAMI, FL 33136 9. COMPLIANCE WITH FEDERAL, STATE AND LOCAL LAWS: Auditor understands that agreements between private entities and local governments are subject to certain laws and regulations, including laws pertaining to public records, conflict of interest, record keeping, etc. The CRA and Auditor agree to comply with and observe all applicable laws, codes and ordinances as they may be amended from time to time, including, but not limited to, the provisions of Section 119.0707, Florida Statutes. Auditor further agrees to include in all of Auditor's agreements with employees and subcontractors for any Services related to this Agreement this provision requiring employees and subcontractors to comply with and observe all applicable federal, state, and local laws rules, regulations, codes and ordinances, as they may be amended from time to time. 10. INDEMNIFICATION: Auditor shall indemnify, defend and hold harmless the CRA, the City and their respective officials, employees and agents (collectively PSA — OMNI Annual Audit 7 referred to as "Indemnitees") and each of them from and against all loss, costs, penalties, fines, damages, claims, expenses (including attorney's fees) or liabilities (collectively referred to as "Liabilities") by reason of any injury to or death of any person or damage to or destruction or loss of any property arising out of, resulting from, or in connection with (i) the performance or non-performance of the services contemplated by this Agreement which is or is alleged to be directly or indirectly caused, in whole or in part, by any act, omission, default or negligence (whether active or passive) of Auditor or its employees, agents or subcontractors (collectively referred to as "Auditor"), regardless of whether it is, or is alleged to be, caused in whole or part (whether joint, concurrent or contributing) by any act, omission, default or negligence (whether active or passive) of the Indemnitees, or any of them or (ii) the failure of the Auditor to comply with any of the paragraphs herein or the failure of the Auditor to conform to statutes, ordinances, or other regulations or requirements of any governmental CRA, federal or state, in connection with the performance of this Agreement. Auditor expressly agrees to indemnify and hold harmless the Indemnitees, or any of them, from and against all liabilities which may be asserted by an employee or former employee of Auditor, or any of its subcontractors, as provided above, for which the Auditor's liability to such employee or former employee would otherwise be limited to payments under state Workers' Compensation or similar laws. Auditor further agrees to indemnify, defend and hold harmless the Indemnitees from and against (i) any and all Liabilities imposed on account of the violation of any law, ordinance, order, rule, regulation, condition, or requirement, related directly or indirectly to Auditor's performance under this Agreement, compliance with PSA — OMNI Annual Audit 8 which is left by this Agreement to Auditor, and (ii) any and all claims, and/or suits for Services and materials furnished by Auditor or utilized in the performance of this Agreement or otherwise. Auditor shall hold harmless, defend, and indemnify the CRA and the City for any errors in the provision of services and for any fines which may result from the fault of Auditor, its employees, agents, or subcontractors. Auditor's obligations to indemnify, defend and hold harmless the Indemnitees shall survive the termination of this Agreement. Auditor understands and agrees that any and all liabilities regarding the use of any subcontractor for Services related to this Agreement shall be borne solely by Auditor throughout the duration of this Agreement and that this provision shall survive the termination of this Agreement. 11. DEFAULT: If Auditor fails to comply with any term or condition of this Agreement, or fails to perform any of its obligations hereunder, then Auditor shall be in default. Upon the occurrence of a default hereunder the CRA, in addition to all remedies available to it by law, may immediately, upon written notice to Auditor, terminate this Agreement whereupon all payments, advances, or other compensation paid by the CRA to Auditor while Auditor was in default shall be immediately returned to the CRA. Auditor understands and agrees that termination of this Agreement under this section shall not release Auditor from any obligation accruing prior to the effective date of termination. Should Auditor be unable or unwilling to commence to perform the Services within the time provided or contemplated herein, then, in addition to the foregoing, Auditor shall be liable to the CRA for all expenses incurred by the CRA in PSA — OMNI Annual Audit 9 preparation and negotiation of this Agreement, as well as all costs and expenses incurred by the CRA in the re -procurement of the Services, including consequential and incidental damages. 12. RESOLUTION OF CONTRACT DISPUTES: Auditor understands and agrees that all disputes between Auditor and the CRA based upon an alleged violation of the terms of this Agreement by the City shall be submitted to the Chair of the Board of CRA for his/her resolution, prior to Auditor being entitled to seek judicial relief in connection therewith. In the event that the amount of compensation hereunder exceeds Twenty -Five Thousand Dollars and No Cents ($25,000.00), the Chair's decision shall be approved or disapproved by the Board of Commissioners of the CRA ("Board"). Auditor shall not be entitled to seek judicial relief unless: (i) it has first received Chair's written decision, approved by the Board if the amount of compensation hereunder exceeds Twenty -Five Thousand Dollars and No/Cents ($25,000.00), or (ii) a period of sixty (60) days has expired, after submitting to the Chair a detailed statement of the dispute, accompanied by all supporting documentation (ninety (90) days if the Chair's decision is subject to the Board's approval); or (iii) the CRA has waived compliance with the procedure set forth in this section by written instruments, signed by the Chair. 13. TERMINATION RIGHTS: A. The CRA shall have the right to terminate this Agreement, in its sole discretion, at any time, by giving written notice to Auditor at least five (5) business days prior to the effective date of such termination. In such event, the City shall pay to Auditor compensation for services rendered and expenses incurred prior to the effective date of termination. In no event shall the CRA or the City be liable to Auditor for any PSA — OMNI Annual Audit 10 additional compensation, other than that provided herein, or for any consequential or incidental damages. B. The CRA shall have the right to terminate this Agreement, without notice to Auditor, upon the occurrence of an event of default hereunder. In such event, the CRA shall not be obligated to pay any amounts to Auditor for services rendered while Auditor was in default under this Agreement and Auditor shall reimburse to the City all amounts received while Auditor was in default under this Agreement. The CRA shall pay to Auditor compensation for services rendered prior to the effective date of the occurrence of an event of default as specified in the CRA's written notice to Auditor of the effective date of termination of this Agreement. In no event shall the CRA or the City be liable to Auditor for any additional compensation or for any of Auditor's expenses, other than as provided in this Agreement, nor shall the CRA or the City be responsible for any consequential or incidental damages. 14. INSURANCE: A. Auditor shall, at all times during the term hereof, maintain such types and amounts of insurance coverage(s) as may be required by the City's Department of Risk Management as set for in Exhibit "D" hereto. The Auditor shall add the CRA and the City as additional named insureds to its commercial general liability and auto policies and as named certificate holders on all policies. Auditor shall correct any insurance certificates as requested by the City's Risk Management Administrator. All such insurance, including renewals, shall be subject to the approval of the City's Risk Management Administrator for adequacy of protection and evidence of such coverage(s) shall be furnished to the CRA and the City's Risk Management Department on Certificates of Insurance PSA — OMNI Annual Audit 11 indicating such insurance to be in force and effect and providing that it will not be canceled, modified, or changed during the performance of the Services under this Agreement without thirty (30) calendar days prior written notice to the CRA and to the City. Completed Certificates of Insurance shall be filed with the CRA and the City prior to the performance of Services hereunder, provided, however, that Auditor shall at any time upon request file duplicate copies of the policies of such insurance with the CRA and the City. B. If, in the judgment of the City's Risk Management Administrator, prevailing conditions warrant the provision by Auditor of additional liability insurance coverage or coverage which is different in kind(s) or amounts, the CRA and the City reserve the right to require the provision by Auditor of an amount of coverage different from the amounts or kind(s) previously required and shall afford written notice of such change in requirements thirty (30) days prior to the date on which the requirements shall take effect. Should the Auditor fail or refuse to satisfy the requirement of changed coverage within thirty (30) days following the City Department of Risk Management's written notice, this Agreement shall be considered terminated on the date that the required change in policy coverage would otherwise take effect. C. Auditor understands and agrees that any and all liabilities regarding the use of any of Auditor's employees or any of Auditor's subcontractors for Services related to this Agreement shall be borne solely by Auditor throughout the term of this Agreement and that this provision shall survive the termination of this Agreement. Auditor further understands and agrees that insurance for each employee of Auditor and each subcontractor providing Services related to this Agreement shall be maintained in good PSA — OMNI Annual Audit 12 standing and approved by the City's Risk Management Administrator throughout the duration of this Agreement. D. Auditor shall be responsible for assuring that the insurance certificates required under this Agreement remain in full force and effect for the duration of this Agreement, including any extensions hereof. If insurance certificates are scheduled to expire during the term of this Agreement and any extension hereof, Auditor shall be responsible for submitting new or renewed insurance certificates to the CRA and to the City's Risk Management Administrator at a minimum of ten (10) calendar days in advance of such expiration. In the event that expired certificates are not replaced, with new or renewed certificates which cover the term of this Agreement and any extension thereof: (i) the CRA on behalf of the City shall suspend this Agreement until such time as the new or renewed certificate(s) are received in acceptable form by the City's Risk Management Administrator; or (ii) the CRA on behalf of the City may terminate the Agreement for cause and seek re -procurement damages from Auditor in conjunction with the violation of the terms and conditions of this Agreement. E. Compliance with the foregoing requirements shall not relieve Auditor of its liabilities and obligations under this Agreement. 15. NONDISCRIMINATION: Auditor represents and warrants to the CRA and the City that Auditor does not and will not engage in discriminatory practices and that there shall be no discrimination in connection with Auditor's performance under this Agreement on account of race, color, sex, religion, age, handicap, marital status or PSA — OMNI Annual Audit 13 national origin. Auditor further covenants that no otherwise qualified individual shall, solely by reason of his/her race, color, sex, religion, age, handicap, marital status or national origin, be excluded from participation in, be denied services, or be subject to discrimination under any provision of this Agreement. 16. ASSIGNMENT: The Auditor shall not assign this Agreement, nor any portions any part of his/her operations or ownership, without written permission granted by the CRA through the Executive Director. 17. NOTICES: All notices or other communications required under this Agreement shall be in writing and shall be given by hand -delivery or by registered or certified U.S. Mail, return receipt requested, addressed to the other party at the address indicated herein or to such other address as a party may designate by notice given as herein provided. Notice shall be deemed given on the day on which personally delivered; or, if by mail, on the fifth day after being posted or the date of actual receipt, whichever is earlier. This Agreement shall be construed and enforced according to the laws of the State of Florida. Venue in any proceedings between the parties shall be in Miami - Dade County, Florida. Each party shall bear its own attorney's fees. Each party waives any defense, whether asserted by motion or pleading, that the aforementioned courts are an improper or inconvenient venue. Moreover, the parties consent to the personal jurisdiction of the aforementioned courts and irrevocably waive any objections to said jurisdiction. The parties irrevocably waive any rights to a jury trial. B. Title and paragraph headings are for convenient reference and are not a part of this Agreement. C. No waiver or breach of any provision of this Agreement shall constitute a waiver of any subsequent breach of the same or any other provision hereof, and no waiver shall be effective unless made in writing. D. Should any provision, paragraph, sentence, word or phrase contained in this Agreement be determined by a court of competent jurisdiction to be invalid, illegal or otherwise unenforceable under the laws of the State of Florida or the City of Miami, such provision, paragraph, sentence, word or phrase shall be deemed modified to the extent necessary in order to conform with such laws, or if not modifiable, then same shall be deemed severable, and in either event, the remaining terms and provisions of this Agreement shall remain unmodified and in full force and effect or limitation of its use. E. Auditor shall comply with all applicable laws, rules and regulations in the performance of this Agreement, including but not limited to licensure, and certifications required by law for professional service Auditors. PSA — OMNI Annual Audit 15 F. This Agreement constitutes the sole and entire agreement between the parties hereto. No modification or amendment hereto shall be valid unless in writing, authorized by an affirmative vote of the CRA as necessary, and executed by properly authorized representatives of the parties hereto. 19. SUCCESSORS AND ASSIGNS: This Agreement shall be binding upon the parties hereto, their heirs, executors, legal representatives, successors, or assigns. 20. INDEPENDENT CONTRACTOR: Auditor has been procured and is being engaged to provide services to the CRA as an independent contractor, and not as an agent or employee of the CRA or the City. Accordingly, Auditor shall not attain, nor be entitled to, any rights or benefits under the Civil Service or Pension Ordinances of the CRA or the City, nor any rights generally afforded classified or unclassified employees. Auditor further understands that Florida Workers' Compensation benefits available to employees of the CRA or the City are not available to Auditor, and agrees to provide workers' compensation insurance for any employee or agent of Auditor rendering services to the CRA under this Agreement. Auditor further understands and agrees that Auditor's or subcontractors' use or entry upon City properties shall not in any way change its or their status as an independent contractor. 21. CONTINGENCY CLAUSE: Funding for this Agreement is contingent on the availability of funds and continued authorization for program activities and is subject to amendment or termination due to lack of funds, reduction of funds and/or change in regulations, upon thirty (30) days notice. 22. FORCE MAJEURE. A "Force Maj eure Event" shall mean an act of God, act of governmental body or military CRA, fire, explosion, power failure, flood, PSA — OMNI Annual Audit 16 storm, hurricane, sink hole, other natural disasters, epidemic, riot or civil disturbance, war or terrorism, sabotage, insurrection, blockade, or embargo. In the event that either party is delayed in the performance of any act or obligation pursuant to or required by the Agreement by reason of a Force Majeure Event, the time for required completion of such act or obligation shall be extended by the number of days equal to the total number of days, if any, that such party is actually delayed by such Force Majeure Event. The party seeking delay in performance shall give notice to the other party specifying the anticipated duration of the delay, and if such delay shall extend beyond the duration specified in such notice, additional notice shall be repeated no less than monthly so long as such delay due to a Force Majeure Event continues. Any party seeking delay in performance due to a Force Majeure Event shall use its best efforts to rectify any condition causing such delay and shall cooperate with the other party to overcome any delay that has resulted. 23. CRA AND CITY NOT LIABLE FOR DELAYS: Auditor hereby understands and agrees that in no event shall the CRA and/or the City be liable for, or responsible to Auditor or any subcontractor, or to any other person, firm, or entity for or on account of, any stoppages or delay(s) in work herein provided for, or any damages whatsoever related thereto, because of any injunction or other legal or equitable proceedings or on account of any delay(s) for any cause over which the CRA and/or the City has no control. 24. USE OF NAME: Auditor understands and agrees that neither the CRA nor the City is engaged in research for advertising, sales promotion, or other publicity purposes. Auditor is allowed, within the limited scope of normal and customary PSA — OMNI Annual Audit 17 marketing and promotion of its work, to use the general results of this project and the name of the CRA on behalf of the City. The Auditor agrees to protect any confidential information provided by the CRA and/or the City and will not release information of a specific nature without prior written consent of the City Manager or the City Commission in relation to the City and without prior written consent of the CRA by an affirmative vote in relation to the CRA. 25. NO CONFLICT OF INTEREST: Pursuant to City of Miami Code Section 2- 611, as amended ("City Code"), regarding conflicts of interest, Auditor hereby certifies to the CRA and the City that no individual member of Auditor, no employee, and no subcontractor under this Agreement nor any immediate family member of any of the same is also a member of any board, commission, or agency of the CRA or the City. Auditor hereby represents and warrants to the CRA and the City that throughout the term of this Agreement, Auditor, its employees and its subcontractors will abide by this prohibition of the City Code. 26. ANTI -HUMAN TRAFFICKING: The Auditor confirms and certifies that they are not in violation of Section 787.06, Florida Statutes, and that they do not and shall not use "coercion" for labor or services as defined in Section 787.06, Florida Statutes. The Auditor shall execute and submit to the CRA an Affidavit in compliance with Section 787.06(13), Florida Statutes, attached and incorporated herein as Exhibit "E." If the Auditor fails to comply with the terms of this Section, the CRA may suspend or terminate this Agreement immediately, without prior notice, and in no event shall the CRA be liable to the Auditor for any additional compensation or for any consequential or incidental damages. NO THIRD -PARTY BENEFICIARY: No persons other than the Auditor and the CRA on behalf of the City (and their respective successors and assigns) shall have any rights whatsoever under this Agreement. 28. SURVIVAL: All obligations (including but not limited to indemnity and obligations to defend and hold harmless) and rights of any party arising during or attributable to the period prior to expiration or earlier termination of this Agreement shall survive such expiration or earlier termination. 29. TRUTH -IN -NEGOTIATION CERTIFICATION, REPRESENTATION AND WARRANTY: Auditor hereby certifies, represents and warrants to the CRA and the City that on the date of Auditor's execution of this Agreement and so long as this Agreement shall remain in full force and effect, the fee rates and schedules and other factual unit costs supporting the compensation to Auditor under this Agreement are and will continue to be accurate, complete, and current. Auditor understands, agrees and acknowledges that the CRA shall adjust the amount of the compensation and any additions thereto to exclude any significant sums by which the CRA, after consultation with the CRA and the City, determines the contract price of compensation hereunder was increased due to inaccurate, incomplete, or non -current fee rates and schedules and other factual unit costs. All such contract adjustments shall be made within one (1) year of the end of this Agreement, whether naturally expiring or earlier terminated pursuant to the provisions hereof. 30. Richie Tandoc, P.A. will make a detailed preliminary review of the financial and accounting operations. This will allow the auditors to identify at an early stage any known accounting, auditing or reporting matters to be resolved and anticipate any potential problems from any planned, pending or probable developments. Furthermore, Richie Tandoc, P.A. will be able to assign audit priorities and arrange for assistance and coordination with accounting and audit personnel. After a preliminary review of the financial and accounting operations, Richie Tandoc, P.A. will perform a pre -field work conference with management. The purpose of the conference is to: (1) Establish meeting dates with management to discuss the planned audit approach and engagement status. (2) Schedule dates for client assistance schedules. (3) Identify potential problems and audit priorities. After the meeting with appropriate management officials, Richie Tandoc, P.A. will define the specific engagement objectives. In defining the objectives unique to each assignraent, Richie Tandoc, P.A. will review the reliability and integrity of existing systems and preliminarily assess how these procedures and policies meet the engagement objectives. Richie Tandoc, P.A. will then use this accumulated information concerning systems controls to develop a specific approach. At this point, the team will discuss audit program procedures with the staff members to ensure that procedures are appropriate for matters scheduled for audit examination. Emphasis will he given to enhancing audit programs which, when executed, will provide assurance that all procedures are properly carried out and reported on as mandated. Richie Tandoc, P.A. stresses maintaining professional judgment when developing audit programs by focusing on what the professional requirements recommend. Upon completion of developing audit programs, timetables will he re -visited with management to ensure the documents, schedules and reports requested will be provided within stated time frames and assist with monitoring the audit team's progress. Phase II — Interim Fieldwork Compliance Test and Procedures One of the primary differences between auditing in the public and private sectors is the need to test for compliance with laws and regulations in public sector audits. Richie Tandoc, P.A. will plan the audit, where applicable to detect instances of noncompliance with certain provisions of laws, regulations, contract and grants, that could have a material effect on the financial statements. Review of Accounting Controls and Test of Transactions During this phase, Richie Tandoc, P.A. will focus on establishing a thorough understanding of administrative and internal accounting controls that relate directly to the accuracy and reliability of financial information. Specifically, Richie Tandoc, P.A. will evaluate how information in the general ledger is compiled, processed and used to prepare financial reports. This evaluation includes both manual and EDP controls. Features relevant to a particular system depend on: • The actual activities and control procedures in effect; • How control procedures are executed and; • How responsibility for their execution is segregated. Controls will be documented, and evidence gathered on the effectiveness of controls through inquiry, observation, inspection of documents, records and reports and re -performance of procedures, for each significant class of transaction to determine the following objectives, where applicable: Authorization Transactions are executed in accordance with management's general or specific authorization. Recording Transactions are recorded as necessary to permit preparation of financial statements in conformity with criteria applicable to such statements and to maintain accountability for assets. Access to Assets Access to assets is permitted only in accordance with management's authorization. Asset Accountability The recorded accountability of assets is compared with the existing assets at reasonable intervals and appropriate action is taken with respect to differences. Upon completion of our evaluation and test of controls, we will develop preliminary management comments and internal control recommendations, if any. Audit programs will be prepared for the final phase of our audit work that will focus on the areas of audit risk determined in part by the level of reliance placed on internal controls. Thereafter, we expect to begin detailed testing of transactions. Detail tests shall encompass the cash receipts/revenue cycle, disbursements/expenditure cycle, and payroll cycle, at a minimum, to determine compliance with internal controls, guidelines and contractual obligations previously documented. Further, we will begin certain analytical procedures (such as fluctuation analysis, budget versus actual, and ratio analysis, where applicable). Upon the completion of our interim fieldwork. we will review our preliminary findings, if any, with. both management and other appropriate staff members, to avert surprises at year-end. Phase 111— Year-end Substantive Testing We will begin year-end substantive testing immediately upon the availability of Finance staff and the yearend closing. Based upon the results of interim testing, we will finalize our detailed rests of account balances. Audit programs will be updated to recognize and address concerns that arise during interim testing. Phase IV — Exit Conference and Reporting The audit concludes with an exit conference conducted with representatives of Finance staff and Audit Committee, if applicable. We will formalize responses to all audit findings and internal control recommendations, if any. We will discuss all significant matters noted during our examination with required action plans for corrections. We will then issue final reports, with the approval of management, including our audit reports on the financial statements, the reports on internal control over financial reporting and on compliance and other matters, and the management letter with recommendations to increase efficiency, improve internal controls and enhance operations. Overall, we feel that our audit approach is efficient, effective and beneficial to the Agency because it is designed to provide solutions that are tailored to your specific needs. More importantly, it provides feedback on the operational efficiency behind the financial statements and what might be done to improve them in the future. However, since the audit team at Richie Tandoc, P.A. is the same team that performed all of the government audit engagements at SKJ&T, LLP and at PAAST, P.L. we have included the most recent external peer review reports for both of those firms at Appendix A to this proposal. The scope of the reviews included government, non-profit and for -profit engagements. Desk Reviews Richie Tandoc, P.A. has not had any federal or state desk reviews of its audits. Understanding of the Services Required Richie Tandoc, P.A. has the ability and capability to perform all the services required in the RFP, based on our experience in auditing the Agency and in performing similar services, and our knowledge of and expertise in state and local government accounting and auditing. In addition, we would be available to perform any additional work upon the Agency' request and approval by the Board. Review of Accounting Controls and Test of Transactions During this phase, Richie Tandoc, P.A. will focus on establishing a thorough understanding of administrative and internal accounting controls that relate directly to the accuracy and reliability of financial information. Specifically, Richie Tandoc, PA will evaluate how information in the general ledger is compiled, processed and used to prepare financial reports. This evaluation includes both manual and EDP controls. Features relevant to a particular system depend on: • The actual activities and control procedures in effect; • How control procedures are executed and; • How responsibility for their execution is segregated. Controls will be documented, and evidence gathered on the effectiveness of controls through inquiry, observation, inspection of documents, records and reports and re -performance of procedures, for each significant class of transaction to determine the following objectives, where applicable. Upon completion of our evaluation and test of controls, we will develop preliminary management comments and internal control recommendations, if any. Audit programs will be prepared for the final phase of our audit work that will focus on the areas of audit risk determined in pare by the level of reliance placed on internal controls. Thereafter, we expect to begin detailed testing of transactions. Detail tests shall encompass the cash receipts/revenue cycle, disbursements/expenditure cycle, and payroll cycle, at a minimum, to determine compliance with internal controls, guidelines and contractual obligations previously documented. Further, we will begin certain analytical procedures (such as fluctuation analysis, budget versus actual, and ratio analysis, where applicable). Upon the completion of our interim fieldwork, we will review our preliminary findings, if any, with both management and other appropriate staff members, to avert surprises at year-end. Phase III — Year-end Substantive Testing We will begin year --end substantive testing immediately upon the availability of Finance staff and the year-end closing. Based upon the results of interim testing, we will finalize our detailed tests of account balances. Audit programs will be updated to recognize and address concerns that arise during interim testing. During this phase, we will complete our analytical review of operations and assess the impact of confirmation procedures. Financial statements will be reviewed to ensure compliance with generally accepted accounting principles. Also, we will initiate discussions with management and obtain responses regarding our audit findings and internal control and operational recommendations, if any, and discuss all audit adjustments with the appropriate personnel. Phase IV — Exit Conference and Reporting The audit concludes with an exit conference conducted with representatives of Finance staff and Audi.t Committee, if applicable. We will formalize responses to all audit findings and internal control recommendations, if any. We will discuss all significant matters noted during our examination with required action plans for corrections.
