CDBG regulations at 24 CFR 570.500(c) define a subrecipient as a public or private nonprofit agency or organization or a for -profit entity authorized under
570.201(o), receiving CDBG funds from the recipient (City) to undertake eligible activities. Project sponsor is a nonprofit organization or housing agency that
works with the City to provide housing and support to people living with HIV/AIDS.
SCOPE OF SERVICES:
Dulce Vida Apartments will be the new construction of an 8-story mixed-use/mixed-income rental development with a separate, 7-story
multi -level garage that will provide a total of two hundred twenty-seven (227) units located at 1785 NW 35 St in the Allapattah
neighborhood. The unit breakdown of the units consists of seventy (70) studios/one-bathroom units; one hundred twenty-eight (128)
one-bedroom/one-bathroom units; and twenty-nine (29) two -bedroom/ two -bathroom units. The project will offer 91 units targeting
low-income households up to 60% of area median income ("AMI"); 79 units will be targeting workforce households up to 100% AMI and
29 units for workforce households, up to.1.20% of AMI.

JOINDER OF MORTGAGEE
The undersigned, being the Mortgagee under that certain Mortgage and Security
Agreement for Dulce Vida Apartments (Miami Forever Bonds Fund) by DULCE VIDA
APARTMENTS, LLC, in favor of the CITY OF MIAMI, in the original principal amount of
$15,000,000.00, dated December 19, 2025, recorded December 29, 2025 in Official Records
Book 35094, Page 472 (the "Mortgage"), covering all/or a portion of the property described in
the foregoing Affordable Housing Covenant (the "Covenant"), does hereby consent to the
execution of the Covenant and recordation thereof, and agrees that in the event Mortgagee or
any other party shall obtain title to the property through foreclosure or deed -in -lieu of
foreclosure, this Covenant shall be binding upon the entity obtaining title as the then owner of
such property.
