Dear All,
The City of Miami ("City") is in receipt of your letter on behalf of the owner of the properties
located at 4200, 4218 and 4240 Northeast 2"d Avenue (the "Owner"), dated January 9, 2026, which
requests an estoppel letter pursuant to Sections 41(a) of the Second Amended and Restated
Development Agreement, recorded on August 23, 2021 (OR Book 32694 Page 850) (the "Development
Agreement"), by and between Oak Plaza Associates (Del.) LLC and associated entities, affiliated with
Miami Design District Associates "MDDA," (collectively, the "Developer"), and the City of Miami, Florida,
a municipal corporation and a political subdivision of the State of Florida (the "City") (the Developer and
the City are together referred to as the "Parties"). As of the date of this letter and to the City's current
knowledge, information, and belief, the obligations set forth within the Development Agreement are
presently current and in good standing.
Please note that this estoppel letter is limited to whether the Developer is current and in good
standing with the obligations set forth in the Development Agreement. The Developer and its
mortgagees, successors and assigns may rely on this estoppel letter, and no other person may rely on
this estoppel letter.
