This extension will allow the organization to complete its "COVID-19/Pandemic Community Wellness and Recovery Initiative," an ARPA-funded outreach program authorized by the City Commission on March 9, 2023, in the amount of $1,000,000. The initiative provides at -risk communities with education and access to resources related to rental and essential services assistance, food security, mental health and wellness support, youth mentorship, job training, and violence -prevention efforts aimed at improving community —law enforcement relations. The proposed amendment will: (i) modify the term referenced in Section 2 of the Agreement, thereby extending the term through April 30, 2026. AMENDMENT NO. 2 TO THE AMERICAN RESCUE PLAN ACT OF 2021 ("ARPA") GRANT FUNDING AGREEMENT WITH CIRCLE OF BROTHERHOOD, INC This Second Amendment to the CIRCLE OF BROTHERHOOD's American Rescue Plan Act of 2021 ("ARPA") Grant Funding Agreement ("Second Amendment") is entered into the loth day of February , 2026 between the City of Miami, a municipal corporation of the State of Florida ("CITY") and CIRCLE OF BROTHERHOOD, INC a Florida Not For Profit Corporation ("PROVIDER"). RECITALS WHEREAS, pursuant to Resolution No. 23-0111 adopted on March 9, 2023 ("R-23- 0111"), the City Commission awarded PROVIDER One Million and 00/100 Dollars ($1,000,000.00) in ARPA Funds ("ARPA Funds") in order to implement the organization's COVID-19/Pandemic Community Wellness and Recovery Initiative ("Program"); and WHEREAS, PROVIDER executed the American Rescue Plan Act of 2021 ("ARPA") Grant Funding Agreement ("Agreement") with the CITY dated February 9th, 2024 for the use of the ARPA Funds pursuant to the terms of the Agreement and applicable laws, rules, and regulations; and WHEREAS, PROVIDER executed a First Amendment to the Grant Agreement on February 13th, 2025 ("Amendment No. 1"); and WHEREAS, Exhibit B of the Agreement provides a Budget and Scope of Work which reflects the intended uses of the ARPA Funds; and WHEREAS, Exhibit C of the Agreement provides a maximum compensation, budget summary, and method of disbursement; and WHEREAS, the PROVIDER has reviewed the current term and timeline of the Program, and has requested and extension through April 30t, 2026; and WHEREAS, this Second Amendment only amends the Effective Date and Term, and does not increase the total ARPA Funds that were approved and awarded pursuant to R-23-0111; NOW, THEREFORE, in consideration for the covenants set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. All of the above recitals are true and correct in all respects and are incorporated by reference herein as though set forth in full herein. 2. Section 3.2 of the Agreement, titled "EFFECTIVE DATE AND TERM" is amended as follows: "The effective date of this Agreement is the date that the City Clerk signs this Agreement ("Effective Date"). The term of this Agreement shall commence on the Effective Date and shall expire on April 30th, 2026, thereafter unless extended per written agreement by both parties. Pursuant to the Final Rule, the funds must be expended by December 31, 2026, and therefore this Agreement shall not be extended beyond said date. The term of this Agreement may be amended, modified, or subject to termination in the event the Final Rule amends the timeframe for which the funds must be expended." 4. Except as modified herein, all other terms and conditions of the Agreement shall remain unmodified and in full force and effect. 5. This Second Amendment may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same Amendment. The parties shall be entitled to sign and transmit an electronic signature of this Amendment (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Amendment upon request. 6. This Second Amendment may not be amended, suspended, superseded or otherwise modified except by a written instrument, expressly identifying the modifications made and signed by the authorized representative of each of the parties.
