Bailine, Esquire MEMORANDUM OF GROUND LEASE THIS MEMORANDUM OF GROUND LEASE ("Memorandum") is made and entered into as of December 18, 2025, by and between CITY OF MIAMI, a Florida municipal corporation ("Landlord") and YAEGER PLAZA PARTNERS, LLC, a Florida limited liability company ("Tenant"). 1. The Premises. Pursuant to a Ground Lease dated as of December 18, 2025 (the "Lease"), executed by Landlord and Tenant, Landlord has leased to Tenant certain real property located in Miami -Dade County, Florida, more particularly described on Exhibit A attached hereto (the "Land"), together with the easements, rights -of -way, strips, gores, interest in adjoining rights of way (if any) relating thereto, all buildings, structures, improvements, fixtures and other appurtenances of every kind now existing and located on and pertaining thereto, along with all roadways and railways and parking areas and the obligations thereunder and those running with the Land and/or binding on the successor or assigns of Landlord (the "Premises"). 2. Term. The Lease shall be for a term of ninety-nine (99) years (the "Term"). The Term began as of December 18, 2025 (the "Term Beginning Date") and will end 99 years after the Term Beginning Date (the "Term Expiration Date"), unless sooner terminated in accordance with the provisions of the Lease, in which case the "Term Expiration Date" shall mean such earlier date of termination. 3. Incorporation of Lease. Reference is made to the Lease for a full statement of the terms and conditions of the Lease, all of which are hereby incorporated by reference. 4. Purpose. This Memorandum is being recorded for the purpose of providing public notice of the terms of the Lease and notwithstanding anything to the contrary, this Memorandum shall not be construed to modify or amend the Lease in any respect. 5. Counterparts. This Memorandum may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
