Office of the City Attorney City of Miami 444 SW 2nd Avenue 9th Floor Miami, FL 33130 PARTIAL RELEASE OF MORTGAGE, DECLARATION OF RESTRICTIVE COVENANTS AND RENT REGULATORY AGREEMENT THIS PARTIAL RELEASE OF MORTGAGE, DECLARATION OF RESTRICTIVE COVENANTS AND RENT REGULATORY AGREEMENT (this "Partial Release") is entered into this day of , 2025 by CITY OF MIAMI, a municipal corporation of the State of Florida, whose mailing address is 444 S.W. 2nd Avenue, Miami, Florida 33132 ("Mortgagee"). RECITALS WHEREAS, Mortgagee is the owner and holder of that certain Miami Forever Bond Mortgage and Security Agreement for Sawyer's Walk from Block 55 Residential, LP, a Florida limited partnership, dated August 12, 2021, recorded August 25, 2021, in Book 32702, Page 915, of the public records of Miami -Dade County, Florida (the "Mortgage") and encumbering that certain real property more particularly described in the Mortgage (the "Property"); and WHEREAS, Mortgagor has requested that Mortgagee release from the lien and operation of the Mortgage, that certain Declaration of Restrictive Covenants for Sawyer's Walk (Miami Forever Bond Funds) recorded in Official Records Book 32702, Page 897 of the Public Records of Miami -Dade County, Florida (the "Restrictive Covenant") and that certain Rent Regulatory Agreement for Sawyer's Walk recorded in Official Records Book 32702, Page 905 of the Public Records of Miami -Dade County, Florida (the "Rent Regulatory Agreement") a portion of the Property more particularly described on Exhibit A attached hereto (the "Released Property"). NOW THEREFORE, in consideration of the foregoing recitals, the sum of TEN DOLLARS ($10.00) and other good and valuable consideration, the receipt, adequacy and sufficiency of which are hereby acknowledged, Mortgagee does remise, release, quit -claim, exonerate and discharge the Released Property from the lien and operation of the Mortgage, the Restrictive Covenant, the Rent Regulatory Agreement and any and all financing statements and other instruments of security recorded in connection therewith. Nothing herein contained shall in anywise impair, alter or diminish the effect, lien or encumbrance of the Mortgage, the Restrictive Covenant and/or the Rent Regulatory Agreement, each as modified from time to time, and other instruments of security, on any portion of the Property other than the Released Property or any of the rights and remedies of the holder thereof.
