GRANT ACCEPTANCE AGREEMENT
BETWEEN
THE CITY OF MIAMI
AND
OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY
This Grant Acceptance Agreement (the "Agreement"), made and entered into as of the12 day
of October , 2025 (the "Effective Date"), by and between the City of Miami, a municipal
corporation of the State of Florida, located at 444 S.W. 2nd Avenue, 10th Floor, Miami, Florida 33130
("City"), and the OMNI Redevelopment District Community Redevelopment Agency, a public agency and
body corporate created pursuant to Section 163.356 Florida Statutes, located at 1401 North Miami Ave.,
2nd Floor, Miami, FL 33136 (OMNI CRA).
RECITALS
WHEREAS, the City is fee simple owner of Dorsey Park located at 1701 North West 1 St Avenue,
Miami, Florida within the City's District Five and the OMNI CRA's Redevelopment Area ("Dorsey Park");
and
WHEREAS, Dorsey Park is home of the Negro League mural originally dedicated in 2015 and co -
created by local youth, artists, and community partners and has become a treasured cultural landmark;
and
WHEREAS, a recent defacement incident of the mural has deeply impacted the community,
underscoring the urgent need for cultural restoration, healing, and community -led renewal; and
WHEREAS, in response to the senseless act and in show of solidarity and resilience, the City and
the OMNI CRA, have committed to work together to restore and revitalize the beauty and symbolism of
Dorsey Park; and
WHEREAS, the OMNI CRA is responsible for carrying out community redevelopment activities and
projects in the OMNI CRA Redevelopment Area in accordance with the 2019 OMNI CRA Redevelopment
Plan ("Plan"); and
WHEREAS, the OMNI CRA and the City are committed to preserving history and culture, and
improving the quality of life for those who reside in, visit, work in, or spend time within their
neighborhoods; and
WHEREAS, the City will perform an improvement and restoration project to the mural at Dorsey
Park ("Project"); and
WHEREAS, on July 24, 2025, the Board of Commissioners of the OMNI CRA adopted Resolution
No. CRA-R-25-0042, attached an incorporated herein as Exhibit "A," which authorized the allocation of
grant funds in an amount not to exceed Two Hundred Seventeen Thousand Five Hundred and 00/100
Dollars ($217,500.00) ("Park Fund Contribution") for the Project; and

WHEREAS, Resolution No. CRA-R-25-0042 also authorized the Executive Director to execute this
Agreement; and
WHEREAS, the Park Fund Contribution from OMNI CRA shall be used solely for costs associated
with the Project; and
WHEREAS, on July 24, 2025, the City Commission adopted Resolution No. R-25-0312, attached and
incorporated as Exhibit "B," which authorized the City Manager to execute this Agreement and to accept the
Park Fund Contribution for the Project; and
WHEREAS, the parties intend that if at any time the Park Fund Contribution is misappropriated or
used outside the scope of the Project, then the funds will be returned in full to the OMNI CRA.
NOW THEREFORE, in consideration of the foregoing recitals and the mutual covenants and
conditions herein set forth, the parties hereto agree as follows:
1. GRANT AND TERM — OMNI CRA hereby agrees to make Grand Funds available to the City, in
an amount not to exceed Two Hundred Seventeen Thousand Five Hundred and 00/100 Dollars
($217,500.00) on a reimbursement basis for expenses. Payments shall be made and
approved directly to vendors or as reimbursement upon presentation of such Project specific
invoices, and such approval shall not be withheld when said invoices are accompanied by
sufficient supporting documentation and details. The term of this Agreement shall commence
on the Effective Date and shall terminate upon completion of the Project.
2. REPORTS — The City agrees to deliver written monthly reports to the CRA's Executive Director
documenting the use of the Grant Funds authorized pursuant to this Agreement. The report
shall be delivered to the CRA's Executive Director no later than the 15th day of the month
during the term of this Agreement. The report shall include the amount of funds disbursed,
the use of the funds with corresponding invoices documenting expenses, and photographs
showing the progress of the project.
3. AUDIT RIGHTS — OMNI CRA shall have the right to conduct audits of the City's records
pertaining to the Grant Funds and to visit the Project, in order to conduct its monitoring and
evaluation activities. The City agrees to cooperate with OMNI CRA in the performance of
these activities. Such audits shall take place at a mutually agreeable date and time.
4. NOTICES — All notices pursuant to this Agreement shall be in writing and sent by certified mail
or delivered by personal service to the addresses for each party as indicated below, or as the
same may be changed from time to time.

5. SEVERABILITY — Should any provision contained in this Agreement be determined by a court
of competent jurisdiction to be invalid, illegal, or otherwise unenforceable under the laws of
the State of Florida, then such provision shall be deemed modified to the extent necessary in
order to conform with such laws, or if not modifiable to conform with such laws, that same
shall be deemed severable, and in either event, the remaining terms and provisions of this
Agreement shall remain unmodified and in full force and effect.
6. ENTIRE AGREEMENT — This Agreement and its Exhibits and attachments constitute the sole
and only agreement of the parties hereto relating to the Grant, and correctly sets forth the
rights, duties, and obligations of the parties. The parties agree that any oral representations
or modifications not set forth in this Agreement are of no force or effect.
7. MODIFICATION — This Agreement shall only be modified by written agreement signed by the
authorized representatives of all parties.
8. DEFAULT — If any Party fails to comply with any term or condition of this Agreement, or fails
to perform any of its obligations hereunder, then that Party shall be in default. Upon the
occurrence of a default hereunder, the non -defaulting Parties, in addition to all remedies
available by law, may immediately, upon written notice to the defaulting Party, terminate this
Agreement.
9. DISPUTE RESOLUTION APPLICABLE LAW —The Parties shall resolve any disputes, controversies
or claims between them arising out of this Agreement in accordance with the "Florida
Governmental Conflict Resolution Act", Chapter 164, Florida Statues, as amended.
10. GOVERNING LAW; VENUE —This Agreement shall be interpreted and construed in accordance
with and governed by the laws of the State of Florida. The parties, in their performance of
this Agreement will comply with applicable federal, state, and local laws, ordinances, codes,
rules, and regulations. Any action or proceeding in respect of any claim arising out of or
related to this Agreement, where in tort or contract or at law or in equity, shall be filed in the
state or federal court of Miami -Dade County, Florida. The parties agree that each party shall
be responsible for its own attorneys' fees, court costs and any other related fees and costs.

11. PUBLIC RECORDS — The parties acknowledge that the public shall have access, at all
reasonable times, to this Agreement and any related documents subject to the provisions of
Chapter 119, Florida Statutes, and the Parties agree to allow access by each other and by the
public to all documents subject to disclosure under applicable law.
12. JOINT PREPARATION —The Parties acknowledge that they have sought and received whatever
competent advice and counsel as was necessary for them to form a full and complete
understanding of all rights and obligations herein and that the preparation of this Agreement
has been their joint effort. The language agreed to expresses their mutual intent and the
resulting document shall not, solely as a matter of judicial construction, be construed more
severely against one or more of the Parties and not the others.
13. COUNTERPARTS; ELECTRONIC SIGNATURES —This Agreement may be executed in any number
of counterparts, each of which shall be deemed an original, but all of which shall constitute
one and the same instrument. Facsimile, .pdf and other electronic signatures to this
Agreement shall have the same effect as original signatures.

BACKGROUND:
The purpose of this memorandum is to recommend that the Board of Commissioners
("Board") of the Omni Redevelopment District Community Redevelopment Agency ("CRA")
approve and adopt the attached Resolution. This Resolution authorizes grant funds to the
City of Miami, not to exceed Two Hundred Seventeen Thousand Five Hundred dollars
($217,500.00), for improvements and a mural restoration Project located at Dorsey Park,
1701 NW 1st Avenue, Miami, Florida.
JUSTIFICATION:
The Board of Commissioners is urged to approve the resolution that authorizes the
Executive Director to negotiate and execute an agreement with the City of Miami for the
allocation of grant funds. This project directly supports the CRA's goals of reducing blight
and revitalizing public parks and open spaces within the Omni Redevelopment District.
Page 4-42 of the 2019 CRA Redevelopment Plan identifies improvements to Dorsey Park
as one of the OMNI CRA's ongoing projects and key activities critical to revitalization efforts.
This initiative aligns with the CRA's commitment to enhancing public spaces and improving
community well-being.
Recent incidents involving the defacement of the mural have deeply affected the
community. In response, the OMNI CRA remains committed to preserving history and
culture while improving the quality of life for those who reside in, visit, work in, or spend time
within its neighborhoods.
This project aims to culminate in a commemorative rededication ceremony during Soul
Basel 2026, marking the 10th anniversary of the mural's original unveiling. It will serve as a
powerful symbol of cultural pride, community resilience, and renewal.
This Resolution implements the objectives outlined in the Omni Redevelopment Plan.

WHEREAS, the Omni Redevelopment District Community Redevelopment Agency
("OMNI CRA") is a Community Redevelopment Agency created pursuant to Chapter 163 Florida

within its redevelopment area in accordance with the 2019 Omni Redevelopment Plan (the
"Plan"); and
WHEREAS, OMNI CRA is committed to preserving history and culture, and improving
the quality of life for those who reside in, visit, work in, or spend time within its neighborhoods;
and
WHEREAS, Section 163.335 Florida Statutes, the Community Redevelopment Act of
1969 (the "Act") states that the existence of slum and blighted areas greatly contributes to the
spread of crime, thereby negatively affecting the community; and
WHEREAS, Section 163.340(9) of the Act, defines "community redevelopment" or
"redevelopment" as undertakings, activities, or projects by a county, municipality, or community
redevelopment agency within a community redevelopment area for the elimination and
prevention of the development or spread of slums and blight, or for the reduction or prevention
of crime; and
WHEREAS, the City of Miami ("City") is the fee simple owner of Dorsey Park, located at
1701 North West 1st Avenue Miami, Florida, within the OMNI CRA's redevelopment area and is
home of the Negro Leagues mural originally dedicated in 2015 and co -created by local youth,
artists, and community partners and has become a treasured cultural landmark; and
WHEREAS, page 4-42 of the Plan lists improvements to Dorsey Park as one of the
OMNI CRA's various on -going projects and key activities to be undertaken; and

Thousand Five Hundred Dollars ($217,500.00) to the City for improvements and mural
restoration to Dorsey Park, located at 1701 North West 1st Avenue, Miami, Florida, within the
OMNI CRA's redevelopment area is authorized.
Section 3. The Executive Director is hereby authorized to negotiate and execute any and
all necessary documents for said purpose, all in a form acceptable to the General Counsel.
Section 4. The Funds are to be allocated from the " Other Grant and Aids"
10040.920501.883000.0000.00000 to the City for the Project.
Section 5. This Resolution shall become effective immediately upon its adoption.

neighborhoods; and
WHEREAS, the City Commission finds it appropriate and in the best interest of the City
to accept the allocation from the OMNI CRA and to create and establish a Special Revenue
Account titled "Dorsey Park Improvement And Restoration Project" ("Special Revenue Account")
as well as appropriate and allocate the Two Hundred Seventeen Thousand Five Hundred and
00/100 Dollars ($217,500.00) Park Fund Contribution to the Special Revenue Account to be
used exclusively for the Project;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is directed and authorized' to establish the following new
Special Revenue Account and resources shall be accepted, allocated, and appropriated as
described below:
FUND TITLE: DORSEY PARK IMPROVEMENT
AND RESTORATION PROJECT
RESOURCES: OMNI CRA
APPROPRIATIONS:

Section 3. The Park Fund Contribution shall be used exclusively for the Project.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

EXHIBIT C
SCOPE OF WORK
The scope of work includes restoring the existing mural at Dorsey Park and completing associated park
improvements. Tasks will consist of surface repairs, painting, and site enhancements to preserve and support the
artwork. The City shall keep the Omni CRA informed of all community engagement efforts, including any meetings
or workshops conducted in collaboration with Urgent, Inc.
