This Second Amendment to the Presidio Politico Historico Cubano, Inc's American Rescue Plan Act of 2021 ("ARPA") Grant Funding Agreement ("Second Amendment") is entered into the 22nd day of September , 2025 between the City of Miami, a municipal corporation of the State of Florida ("CITY") and Presidio Politico Historico Cubano, Inc., a Florida Not For Profit Corporation ("PROVIDER"). RECITALS WHEREAS, pursuant to Resolution No. 23-0028 adopted on January 12th, 2023 ("R-23- 0028"), the City Commission awarded PROVIDER One Hundred Thousand and 00/100 Dollars ($100,000.00) in ARPA Funds ("ARPA Funds") for the following upgrades to the museum: upgrade electrical and lighting, paint the exterior of the building, replace windows and doors, replace the iron fencing, install a new A/C unit, installation of exterior pavers, replace interior flooring, roof repairs, and repair the interior of the second floor of the museum ("Project"); and WHEREAS, PROVIDER executed the American Rescue Plan Act of 2021 ("ARPA") Grant Funding Agreement ("Agreement") with the CITY dated March 13, 2023, for the use of the ARPA Funds pursuant to the terms of the Agreement and applicable laws, rules, and regulations; and WHEREAS, PROVIDER executed a First Amendment to the Grant Agreement on November 16, 2023 ("Amendment No. 1"); and WHEREAS, "Exhibit B — Amended" of the amended Agreement provides a scope of services and a schedule of values detailing the line -item budget which reflects the intended uses of the ARPA Funds; and WHEREAS, the PROVIDER has reviewed the final cost estimates of the scope of services and has determined that a minor adjustment to the line -item budget schedule "Exhibit B - Amended " of the amended Agreement must be further modified to reflect current construction estimates; and WHEREAS, the project has experienced some delays due to the approval of final permits for iron fencing and paving work; and WHEREAS, Section 3.2 of the Agreement details the Effective Date and Term of the Agreement, which includes an initial expiration date of September 30, 2024; and WHEREAS, the PROVIDER has requested an extension of time, not to exceed December 31, 2025; and WHEREAS, this Second Amendment only amends Exhibit B-Amended, Section 3.2 of the Agreement, while adding Exhibit I, and does not increase the total ARPA Funds that were approved and awarded pursuant to R-23-0028; Page 1 of 5 NOW, THEREFORE, in consideration for the covenants set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. All of the above recitals are true and correct in all respects and are incorporated by reference herein as though set forth in full herein. 2. Section 1.1 of the Agreement, titled "EXHIBITS" is amended to reflect the following exhibit list: Exhibit A Corporate Resolution Authorizing Execution of this Agreement Exhibit B/C-Amended 2 Scope of Services Exhibit C Compensation and Budget Summary Exhibit D Certification Regarding Lobbying Form Exhibit E Certification Regarding Debarment, Suspension and other Responsibility Matters (Primary Covered Transactions Form) Exhibit F Crime Entity Affidavit Exhibit G Insurance Requirements Exhibit H Programmatic Reporting Requirements Exhibit I Anti -Human Trafficking Affidavit 3. Section 3.2 of the Agreement is hereby deleted in its entirety and replaced with the following: The effective date of this Agreement is the date that the City Clerk signs this Agreement ("Effective Date"). The term of this Agreements shall commence on the Effective Date and shall expire on December 31, 2025, unless extended per written agreement by both parties. Pursuant to the Final Rule, the funds must be expended by December 31, 2026, and therefore this Agreement shall not be extended beyond said date. The term of this Agreement may be amended modified, or subject to termination in the event the Final Rule amends the timeframe for which the funds must be expended. 4. Section 11.17 will be added to ARTICLE XI "MISCELLANEOUS PROVISIONS", as follows: 11.17 ANTI -HUMAN TRAFFICKING. The PROVIDER confirms and certifies that it is not in violation of Section 787.06, Florida Statutes, and that it does not and shall not use "coercion" for labor or services as defined in Section 787.06, Florida Statutes. The PROVIDER shall execute and submit to the CITY an Affidavit, of even date Page 2 of 5 herewith, in compliance with Section 787.06(13), Florida Statutes, attached and incorporated herein as Exhibit "I". If the PROVIDER fails to comply with the terms of this Section, the City may suspend or terminate this Agreement immediately, without prior notice, and in no event shall the CITY be liable to PROVIDER for any additional compensation or for any consequential or incidental damages. 5. Except as modified herein, all other terms and conditions of the Agreement shall remain unmodified and in full force and effect. 6. This Second Amendment may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same Amendment. The parties shall be entitled to sign and transmit an electronic signature of this Amendment (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Amendment upon request. 7. This Second Amendment may not be amended, suspended, superseded or otherwise modified except by a written instrument, expressly identifying the modifications made and signed by the authorized representative of each of the parties.
