HANNON ATTESTED DATE 9/11/2025 DATE RECEIVED FROM ISSUING DEPT. 9/15/2025 NOTE 6,615a AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT WITH LOVE LOVE INTERNATIONAL, LLC FOR CULMER LIAISON SERVICES THIS AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT, dated November 19, 2024, (the "PSA" or Agreement") is entered into as of thisfi'day of k. {'v eV 2025 ("Effective Date") by and between the SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY, a public agency and body corporate created pursuant to Section 163.356, Florida Statutes, ("SEOPW CRA"), and LOVE LOVE INTERNATIONAL, LLC, a Florida Limited Liability Company ("Provider") (collectively, the "Parties"). RECITALS A. WHEREAS, the SEOPW CRA is responsible for carrying out community redevelopment activities and projects within its Redevelopment Area in accordance with the Updated 2018 Southeast Overtown/Park West Community Redevelopment Plan ("Plan"), as amended and restated; and B. WHEREAS, the Agreement expires on September 5, 2025; and C. WHEREAS, pursuant to Resolution No. CRA-R-25-0027, the Board of the SEOPW CRA approved additional funding to continue the SEOPW CRA Facade Beautification and Work Training Program ("Program") and authorized the Executive Director of the SEOPW CRA to execute agreements, including any and all necessary documents, for said Program;:and D. WHEREAS, the Executive Director wishes to extend the term of the Agreement, and the allocation of a sum up to $35,400.00, for the payment of compensation to Provider during the extended term; NOW, THEREFORE, in consideration of the foregoing, the Parties hereby amend the Agreement, as follows: TERMS 1. Section 2, entitled "TERM" is hereby amended, extending the Maximum Term date of the Agreement, as defined in Exhibit "A," from September 5, 2025 until December 26, 2025, unless terminated by the SEOPW CRA upon the provisions therein. The SEOPW CRA shall have the option to further extend the term for an additional period not to exceed one (1) year, subject to availability of funds and extension of the underlying Program. 2. Section 4, Paragraph (a), entitled "Provider's Fee" is hereby amended, and shall be based on the hourly rate(s) described in Exhibit `B," however, that in no event shall the total amount of compensation paid to Provider exceed the sum of Thirty -Five Thousand Four Hundred Dollars and Zero Cents ($35,400.00). 1 3. Section 35, entitled "ANTI -HUMAN TRAFFICKING AFFIDAVIT" is hereby incorporated and amended, and Provider confirms and certifies that it is not in violation of Section 787.06, Florida Statutes, and that it does not and shall not use "coercion" for labor or services as defined in Section 787.06, Florida Statutes. The Provider shall execute and submit to the SEOPW CRA an Affidavit in compliance with Section 787.06(13), Florida Statutes, attached and incorporated herein as Attachment "A." If Provider fails to comply with the terms of this Section, the SEOPW CRA may suspend or terminate this Agreement immediately, without prior notice, and in no event shall the SEOPW CRA be liable to Provider for any additional compensation or for any consequential or incidental damages. 4. All other terms and conditions of the Agreement are in operative force and effect and remain unchanged. Responsibilities include but not limited to: • Follow up with Culmer owner/resident to complete required forms. • Provide outreach support to SEOPW CRA and Florida International University (FIU) staff of various needs as assessed by SEOPW CRA representative. • Participate in coordinating community meetings and events. • Provide weekly reports to SEOPW CRA representative. • Provide interpretation service as needed. • Provide a signed Hold Harmless Affidavit Reporting: Consultant will provide written progress reports on accomplishments and progress with Culmer owner/resident. Report directed to Mr. Antoine Romulus, Community Specialist, for the SEOPW CRA. Term: September 5, 2025 - December 26, 2025. ATTACHMENT A - ANTI -HUMAN TRAFFICKING AFFIDAVIT 1. METHOD OF PAYMENT: Payment will be made within thirty (30) days after receipt of Provider's approved invoice, which shall be accompanied by sufficient supporting documentation and contain sufficient detail to account for the work performed and allow a proper audit of expenditures. 3. MAXIMUM PAYMENT: The total amount paid by the SEOPW CRA to the Provider under this Agreement shall not exceed Thirty -Five Thousand Four Hundred Dollars and Zero Cents ($35,400.00).
