CERTIFICATE CONCERNING TERMINATION
OF DEED RESTRICTION
THIS CERTIFICATE ("Certificate") is being executed pursuant to the provisions of that
certain Special Warranty Deed dated as of May 25, 2023 (the "Deed"), between Omni
Redevelopment District Community Redevelopment Agency, a public agency and body corporate
created pursuant to Section 163.356, Florida Statutes ("CRA"), as grantor therein, and Wynwood
Works MTZ, LLC, a Florida limited liability company, as grantee therein, recorded on May 26,
2023, in Official Records Book 33724, Page 1349, of the Public Records of Miami -Dade County,
Florida, affecting the real property described on Exhibit "A" hereto (the "Property").
Capitalized terms used herein and not otherwise defined herein shall have the meaning
provided therefor in the Deed.
The CRA hereby executes this Certificate to evidence that the Improvements have been completed.
Therefore, the provisions of Section 5 of the Deed shall be of no further force and effect. All other
provisions of the Deed shall remain in full force and effect. Prior to the recording of this Certificate,
Wynwood Works, LLC, a Florida limited liability company, the current owner of the Property, has
supplied CRA with documentation to establish the facts set forth in this Certificate, which
documentation has been found satisfactory to CRA.

AGENCY, a public agency and body corporate created pursuant to Section
163.356, Florida Statutes, ("Grantor"), whose address is 1401 North Miami
Avenue, Second Floor, Miami, Florida 33136, and WYNWOOD WORKS
MTZ, LLC, a Florida limited liability company ("Grantee"), whose address is
301 N.W. 9th Street, Miami, Florida 33136.
Wherever used herein, the terms "Grantor" and "Grantee" shall include
singular and plural, heirs, legal representatives, assigns of individuals, and the
successors and assigns of corporations, wherever the context so admits or
requires.
WITNESSETH:
THAT, for and in consideration of the sum of Ten and No/100 Dollars
($10.00), and other good and valuable consideration, the receipt and sufficiency
of which is acknowledged by Grantor, Grantor hereby grants, bargains, and
sells unto Grantee, the property located in Miami -Dade County, Florida,
described in Exhibit "A" (the "Property").
TOGETHER WITH all the tenements, hereditaments and appurtenances thereto
belonging or in any way appertaining.
TO HAVE AND TO HOLD the same unto Grantee in fee simple, forever.
THIS CONVEYANCE IS SUBJECT TO:
1. Taxes and assessments for the year 2023 and subsequent
years;
2. Zoning and other governmental restrictions;
3. The terms and provisions of the Declaration of Restrictive Covenants for
Wynwood Works recorded simultaneously herewith.
4. Conditions, restrictions, reservations, and easements of record; however,
reference thereto shall not serve to reimpose same.
5. Grantee's successor shall substantially complete the construction of the
improvements (the "Improvements") on the Property within forty-eight (48) months of
the commencement of construction thereof as evidenced by the issuance of temporary or
permanent certificates of occupancy for the Improvements. Upon issuance of the
certificates of occupancy, the Executive Director of the Grantor shall record a certificate
confirming compliance with this Section 5. Upon recording of such certificate executed
by the Executive Director, the provisions of this Section 5 shall be of no further force
and effect. If Grantee's successor fails to commence construction of the Improvements
within ninety (90) days of the recording of this Special Warranty Deed or fails to
complete construction of the Improvements within forty-eight (48) months of
commencement of construction, then the Property shall automatically revert to Grantor;
provided, however, that any reversionary right in favor of Grantor hereunder shall be
subject to and subordinate to any first -lien mortgage encumbering the Property and the
related improvements ("Senior Mortgage"), and the exercise or automatic occurrence of
any reversion hereunder shall not affect the validity, existence or priority of the Senior
Mortgage.
6. Subject to the provisions of this section, it is the intention of the Grantor
and the Grantee that upon conveyance of the Property to the Grantee that the Property
and Improvements shall be fully taxable for the purposes of ad valorem real estate
taxes and that the Grantee and its successors or assigns not take advantage of any tax
exemptions which may allow the Grantee or its successors or assigns not to be required
to pay ad valorem real estate taxes with respect to the Property and Improvements.
Subject to the provisions of this section and in the event for any reason the Property
and Improvements are not subject to ad valorem real estate taxes as a result of an
exemption, then the Grantee's successors and assigns shall pay to the Grantor a
payment in lieu of taxes (a "PILOT") on or before December 31 of each year in the
amount of ad valorem real estate taxes that would have been due with respect to the
Property and Improvements if the Property and Improvements had not been exempt in
whole or in part from the payment of ad valorem real estate taxes. The obligation of the
Grantee's successor to make the PILOT shall constitute a covenant running with the
Property and shall constitute a first lien on the Property senior to all other liens and
encumbrances and shall be binding upon the Grantee and its successors and assigns
through end of the existence of the Grantor.
AND GRANTOR hereby covenants with Grantee that Grantor has good right
and lawful authority to sell and convey the Property; and that Grantor warrants and
will defend the title to the Property against the lawful claims of all persons claiming
by, through or under Grantor, but against none other.

A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE OMNI
REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY
("CRA") ACCEPTING THE PROPOSAL RECEIVED ON SEPTEMBER 11, 2019
PURSUANT TO REQUEST FOR PROPOSALS NO. 992381 FOR THE
DEVELOPMENT OF PLAT BOOK "B" PAGE 107 WITH ADDRESSES OF 2035,
2037, AND 2043 NORTH MIAMI AVENUE, MIAMI, FLORIDA AND APPROVAL
OF A PROJECT GRANT IN THE AMOUNT OF NINE MILLION NINE HUNDRED
THOUSAND DOLLARS ($9,900,000.00) WITH MAGELLAN HOUSING, LLC
("DEVELOPER"), DERIVED FROM SERIES 2018 B LOAN AND THE CRA'S
FISCAL YEAR 2020-2021 MANDATORY AFFORDABLE HOUSING BUDGET
SUBJECT TO A REVERTER; AUTHORIZING THE EXECUTIVE DIRECTOR TO
NEGOTIATE AND EXECUTE THE DEVELOPMENT AGREEMENT, IN A FORM
ACCEPTABLE TO THE GENERAL COUNSEL; FURTHER AUTHORIZING THE
EXECUTIVE DIRECTOR TO NEGOTIATE AND EXECUTE ANY AND ALL
OTHER DOCUMENTS NECESSARY, INCLUDING ANY AMENDMENTS,
RENEWALS, AND EXTENSIONS, SUBJECT TO ALLOCATIONS,
APPROPRIATIONS, BUDGETARY APPROVALS, IN FORMS ACCEPTABLE TO
THE GENERAL COUNSEL, AND IN COMPLIANCE WITH ALL APPLICABLE
REGULATIONS, AS MAY BE NECESSARY FOR SAID PURPOSE.
WHEREAS, the Omni Redevelopment District Community Redevelopment Agency
("CRA") is responsible for carrying out community redevelopment activities and projects within
its Redevelopment Area in accordance with the 2010 Omni CRA Redevelopment Plan ("Plan");
and
WHEREAS, page 41, Section C-2 of the Plan lists the objective of the CRA to "Provide
incentives for the development of a variety of housing choices, including affordable, special
needs and a workforce housing" as stated redevelopment objectives; and
WHEREAS, the Plan on page 41, section D-2 also lists the objective of the CRA is to
make "Improvements to the Public Realm" by "[enhancing] the areas' visual attractiveness to
businesses and residents"; and
WHEREAS, Section 4.4, D., C-4, at page 42 of the Plan list the elimination of conditions
which contribute to blight and the provision of upward job mobility for residents as stated
redevelopment objectives; and
WHEREAS, on July 5, 2019 the City of Miami's Department of Procurement
("Procurement"), on behalf of the CRA, issued Request for Proposals ("RFP") No. 992381 for
the development of Plat Book "B" Page 107 with addresses of 2035, 2037, and2043 North
Miami Avenue, Miami, Florida ("Properties"); and

WHEREAS, Magellan Housing, LLC ("Developer") submitted a response to the RFP
which was deemed to be the most responsive and responsible submittal by the Executive
Director; and
WHEREAS, the Executive Director is requesting authority from the Board of
Commissioners of the CRA to award and further negotiate the development agreement and all
other documents, extensions, and/or renewals, all in a form acceptable to the General Counsel,
with the Developer;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF
THE OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The proposal received on September 11 2019 pursuant to RFP No. 992381
for the development of the Properties and the project grant request in the amount of Nine Million
Nine Hundred Thousand Dollars ($9,900,000.00) to the Developer is accepted and authorized.
Section 3. Funding is allocated from the CRA's Fiscal Year 2020-2021 Series 2018 B
loan line item 11 and 10% Required Affordable Housing Budget line item 14.
Section 4. The Executive Director is authorized to negotiate and execute any and all
documents necessary, including any amendments, renewals, and extensions, subject to all
allocations, appropriations, budgetary approvals, in forms acceptable to the General Counsel,
and in compliance with applicable regulations, as may be necessary for said purpose.
Section 5. This Resolution shall become effective immediately upon its adoption.
