WHEREAS, the City of Miami ("City") is the fee simple titleholder of the Olympia/Gusman Theater located at 174 East Flagler Street, Miami, Florida ("Property"); and WHEREAS, the City is undertaking improvements to the Property including, but not limited to, restoring a minimum of twenty-five (25) windows, interior walls, interior ceilings, and floors, along with repainting interior common areas, wood doors, and frames, restoring two (2) theater marquees, upgrading electrical wiring and lighting, and replacing and/or repairing interior directional signage and Carrera marble in the box office; and WHEREAS, the Olympia/Gusman Theater Interior Repair, Marquee and Signage Project ("Project"), which is part of the City's Office of Capital Improvements Project No. 40-B70100, has been awarded funding from the Florida Department of State Division of Historical Resources ("State") in a total amount not to exceed Five Hundred Thousand Dollars ($500,000) ("Grant Funds") under State grant number 23.h.sc.100.078; and WHEREAS, the State will enter a Grant Agreement ("Agreement") pursuant to Line Item 3165A, contained in the 2023 General Appropriations Act, HB5001, Laws of Florida; and WHEREAS, the State's funding is contingent upon a City match in an amount not to exceed Five Hundred Thousand Dollars ($500,000) ("City Match") of which twenty-five percent (25%) must be cash on hand; and WHEREAS, it is in the best interest of the City to accept, allocate, budget, and appropriate the Grant Funds and to authorize the City Match, both to be included in the City's Capital Plan; and WHEREAS, it is also in the best interest of the City to authorize the City Manager to negotiate and execute an Agreement and any renewals, extensions, modifications, and amendments thereto, all in forms acceptable to the City Attorney, for said purposes for the Project; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as fully set forth in this Section. Section 2. Grant Funds in an amount not to exceed Five Hundred Thousand Dollars ($500,000) from the State's Division of Historical Resources are hereby accepted, allocated, budgeted, and appropriated for the Project and shall be included in the City's Capital Plan. Section 3. The City Match in an amount not to exceed Five Hundred Thousand Dollars ($500,000) is hereby authorized and shall be included in the City's Capital Plan. Section 4. The City Manager is authorized' to negotiate and execute an Agreement and any renewals, extensions, modifications, and amendments thereto, all in forms acceptable to the City Attorney, for said purpose the Project. Section 5. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.2 APPROVED AS TO FORM AND CORRECTNESS: 1212a/2022 1 The herein authorization is further subject to compliance with all legal requirements that may be imposed, including but not limited to those prescribed by applicable City Charter and City Code provisions. 2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission. City of Miami 23.h.sc.100.078 This Amendment is between the State of Florida, Department of State, Division of Historical Resources hereinafter referred to as the "Division" and City of Miami, hereinafter referred to as the "Grantee". The parties entered into a grant agreement for the implementation of a Special Category grant, for Olympia/Gusman Theater Interior Repair, Marquee and Signage Project . The parties now mutually desire to amend certain terms and conditions of the grant agreement. In consideration of the covenants contained herein, it is agreed: All sections of the original grant agreement not specifically amended by this or a prior written amendment and all prior written amendments are hereby reaffirmed. The following sections are hereby revised as follows: 2. titled "Length of Agreement." is amended as follows: Original Length of Agreement 7/1/2022 - 06/30/2024 Amended Length of Agreement 7/1/2022 -12/31/2025 Additional Conditions This Agreement is reinstated as if it had not expired and amended to reflect the extension dates set forth herein, effective as of the date both parties have executed this Amendment. 12. titled "Grant Reporting Requirements." is amended as follows: i) through k) intentionally omitted. 1) Twelfth Report is due by July 31, for the period ending June 30 (fourth year of the grant period). m) Thirteenth Report is due by October 31, for the period ending September 30 (fourth year of the grant period). n) Final Report. The Grantee must submit a Final Report to the Division within one month of the Grant Period End Date set forth in Section 2 above. All final reports must document the completion of all deliverables/tasks, expenses and activities that occurred by the Grant Period End Date. The Grantee may expend funds only for allowable costs resulting from obligations incurred during the specified agreement period. Expenditures of state or federal financial assistance must be in compliance with the laws, rules, and regulations applicable to expenditures of state and federal funds, including, but not limited to, this Agreement, the Reference Guide for State Expenditures, 2 CFR Part 200. This Amendment may be executed in any number of counterparts, each of which shall be deemed to be an original, and such counterparts together constitute one and the same agreement. The parties shall be entitled to sign and transmit an electronic signature of this agreement (whether by facsimile, PDF, or other email transmission), which signature shall be binding on the party whose name is contained therein.
