The Miami -Dade County Office of the Supervisor of Elections, a constitutional office
of the State of Florida ("the SOE") and the City of Miami, a municipal corporation of the
State of Florida (the "Owner"), agree to the following:
Owner's Obligation
Owner and/or his/her assignees, heirs or successors will permit the SOE to use
the Art Room (Large), identified by room number 161 and containing approximately
1,035 square feet, at the Little Haiti Cultural Complex, (the "Property") located at 212
NE 59th Terrace, Miami, FL 33137, commencing on September 19, 2025 and expiring on
October 14, 2025, for the sole purpose of hosting training sessions for City of Miami
residents to serve as poll workers in connection with any federal, state, county, municipal
or district election.
Office of the Supervisor of Elections Obligation
The SOE does hereby agree to indemnify, defend and hold the City harmless, from any
and all personal injury or property damage claims, liabilities, losses, and causes of action
which may arise solely as a result of election operations conducted on the Property or arising
out of the authority granted pursuant to this agreement. This agreement is subject to the
provisions of Section 768.28 Florida Statutes, such that the SOE shall not be held liable to pay
a personal injury or property damage claim or judgment by any one person which exceeds the
sum of $200,000, or any claim or judgments or portions thereof, which, when totaled with all
other occurrence, exceeds the sum of $300,000 from any and all personal injury or property
damage claims, liabilities, losses and causes of action which may arise solely as a result of
election operations conducted on the Property. However, nothing herein shall be deemed to
indemnify Owner from any liability or claim arising out of the negligent performance or failure
of performance of the Owner or any unrelated third party. In no event shall any language
contained herein be construed as a waiver of Owner's sovereign immunity beyond the
limitations set forth in Section 768.28, Florida Statutes. Except for the indemnity obligation set
forth herein, the SOE shall not be charged and shall not pay any fee or cost for the use of the
Property, including payment for utilities.
Termination or Modification of Agreement
Either party may terminate this agreement at its sole discretion by providing 45 days'
prior written notice. This agreement may only be modified, in writing, by mutual agreement of
the parties.
Counterparts; Electronic Signatures
This agreement may be executed in any number of counterparts, each of which so
executed shall be deemed to be an original, and such counterparts shall together constitute
but one and the same agreement. The parties shall be entitled to sign and transmit an
electronic signature of this Agreement (whether by facsimile, PDF or other email transmission),
which signature shall be binding on the party whose name is contained therein. Any party
providing an electronic signature agrees to promptly execute and deliver to the other parties
an original signed Agreement upon request.
