Miami For Everyone ("MFE") Grant Funding Agreement ("Amendment No. 1") is entered into the 17 day of JULY , 2025 between the City of Miami, a municipal corporation of the State of Florida ("CITY") and PRESIDIO POLITICO HISTORICO CUBANO, INC a Florida Not For Profit Corporation ("RECIPIENT"). RECITALS WHEREAS, the City created the Miami For Everyone ("MFE") Program to assist communities facing the long-term complications resulting from declared emergencies and to address the specific needs of the most vulnerable residents and businesses, through a strategy of focusing the provision of support towards priorty areas of need that will further stabilize economic conditions within City Districts; and WHEREAS, pursuant to Resolution No. 23-0170 adopted on April 13th, 2023 ("R-23- 0170"), the City Commission awarded RECIPIENT Fifty Thousand and 00/100 Dollars ($50,000.00) in Miami For Everyone Funds ("MFE") in order to implement an elderly assistance program for Presidio Politico Historico Cubano members ("Program"); and WHEREAS, RECIPIENT executed the MFE Grant Funding Agreement ("Agreement") with the CITY dated November 22, 2023 ("Effective Date") for the use of the MFE Funds pursuant to the terms of the Agreement and applicable laws, rules, and regulations; and WHEREAS, Section 2 of the Agreement establishes a term beginning on October 18th 2023 and ending on September 29th 2025 ("Term"); and WHEREAS, RECIPIENT has submitted a written letter to the CITY, requesting a Term extension through March 30th, 2026; and WHEREAS, Exhibit C of the Agreement provides a budget summary; and WHEREAS, Composite Exhibit D of the Agreement provides a maximum compensation, payment schedule, method of disbursement and guidelines for the distribution of gift card program; and WHEREAS, the RECIPIENT has reviewed their Program budget and schedule, and has requested a budget line adjustment; and WHEREAS, this Amendment No. 1 only amends the Term of the Grant Agreement and the line -item budget, while adding Section 35 and "Exhibit H", and does not increase the total MFE Funds that were approved and awarded pursuant to R-23-0170; and NOW, THEREFORE, in consideration for the covenants set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. All of the above recitals are true and correct in all respects and are incorporated by reference herein as though set forth in full herein. 2. Section 2 of the Agreement, titled "TERM", shall be removed and replaced in its entirety as follows: "2. TERM: The term of this Agreement shall commence on October 18th, 2023, and shall continue until March 30th, 2026." 3. " Exhibit C" of the Agreement is amended with the "Exhibit C-Amended" attached to this First Amendment and incorporated herein by this reference. 4. " Composite Exhibit D" of the Agreement is amended with the "Composite Exhibit D- Amended" attached to this First Amendment and incorporated herein by this reference. 5. Section 35 will be added to the Agreement, as follows: 35. ANTI -HUMAN TRAFFICKING. The RECIPIENT confirms and certifies that it is not in violation of Section 787.06, Florida Statutes, and that it does not and shall not use "coercion" for labor or services as defined in Section 787.06, Florida Statutes. The PROVIDER shall execute and submit to the CITY an Affidavit, of even date herewith, in compliance with Section 787.06(13), Florida Statutes, attached and incorporated herein as Exhibit "H". If the PROVIDER fails to comply with the terms of this Section, the City may suspend or terminate this Agreement immediately, without prior notice, and in no event shall the CITY be liable to PROVIDER for any additional compensation or for any consequential or incidental damages. 6. Except as modified herein, all other terms and conditions of the Agreement, shall remain unmodified and in full force and effect. 7. This Amendment No. 1 may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same Amendment. The parties shall be entitled to sign and transmit an electronic signature of this Amendment (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Amendment upon request. 8. This Amendment No. 1 may not be amended, suspended, superseded or otherwise modified except by a written instrument, expressly identifying the modifications made and signed by the authorized representative of each of the parties. The CITY shall pay the RECIPIENT an amount not to exceed TWENTY-FIVE THOUSAND DOLLARS ($25,000.00) per year, for two (2) years, for a not to exceed total of FIFTY THOUSAND DOLLARS ($50,000.00) for the services provided pursuant to this Agreement. 2. Request for Payments should be submitted to the CITY in a form provided by the City and included in this Exhibit as Request for Payment Form. 3. Request for Payments should be accompanied by all required backup documentation, including but not limited to, invoices, cancelled checks, permits, bank statements, timesheets, payroll stubs, engineering plans, payment applications, programmatic reports, photos, and attendance logs. 4. The RECIPIENT must submit the final request for payment to the CITY within 30 calendar days following the expiration date or termination date of this Agreement in a form provided by the CITY. If the RECIPIENT fails to comply with this requirement, the RECIPIENT shall forfeit all rights to payment and the CITY shall not honor any request submitted thereafter. 5. Schedule of payments to RECIPIENT will be as follows: a. The not to exceed amount of $25,000.00 shall be disbursed, in one lump sum, to the RECIPIENT on or after October 18, 2023. b. The not to exceed amount of $25,000.00 shall be disbursed, in on lump sum, to the RECIPIENT on or after September 1, 2025. 6. Any payment due under this Agreement may be withheld pending the receipt and approval by the CITY of all reports and information due from the RECIPIENT as a part of this Agreement and any modifications thereto.
