AFFIDAVIT REGARDING GROUND LEASE
Lessor
BEFORE ME, the undersigned authority, personally appeared (the
"Affiant"), who is personally known to me and who first, being duly sworn, deposes and states
as follows:
1. That 5215 Flagler Street, LLC, a Florida limited liability company (the "Lessee") and
City of Miami, a Florida municipal. corporation (the "Lessor") entered into that
certain Ground Lease dated December 10, 2024, (as amended, the "Lease"), leasing
certain property located in Miami -Dade County, Florida, and more particularly on
Exhibit "A" attached hereto (the "Property").
2. That the Lease:
a. Is in full force and effect and all prior leases between Lessee and Lessor have
been terminated;
b. There has been no default in the payment of rent under the Lease;
c. There are no unrecorded amendments, modifications or assignments affecting
the Lease;
d. There are no charges which the Lessor claims to be additional liens on the
leasehold estate created by the Lease; and
e. There has been no default or breach of any terms, covenants, or conditions of
the Lease by either Lessor or Lessee.
