MEMORANDUM OF SUBLEASE
This is a Memorandum of Sublease made and entered into as of this 'inth day of April
2025, ("Effective Date") by and between WYNWOOD WORKS MANAGER, LLC, a Florida
limited liability company ("Landlord"), and OMNI REDEVELOPMENT DISTRICT
COMMUNITY REDEVELOPMENT AGENCY, a public agency and body corporate created
pursuant to Section 163.356, Florida Statutes, having an office at 1401 North Miami Avenue,
2nd Floor, Miami, Florida 33132 ("Tenant"), upon the following terms:
1. Sublease, The provisions set forth in that certain written sublease, dated February 25,
2025, between the parties hereto ("The Sublease"), are hereby incorporated by reference
into this Memorandum.
2. Lease Commencement Date of Sublease. The Lease Commencement Date of the
Sublease shall be deemed to have commenced on April 25, 2025.
3. Rent Commencement Date of Sublease. The Sublease Rent Commencement Date is
the same as the Lease Commencement Date.
4. Counterparts. This Memorandum of Lease may be executed in multiple counterparts or
in duplicate and, when so executed by all parties, shall constitute one agreement. Facsimile
documents executed, scanned and transmitted electronically and electronic signatures
shall be deemed original signatures for purposes of this Memorandum of Lease and all
matters related thereto, with such facsimile, scanned and electronic signatures having the
same legal effect as original signatures.
IN WITNESS WHEREOF, each of the parties hereunto has executed this Memorandum of
Lease as of the Effective Date.
