Miami For Everyone ("MFE") Grant Funding Agreement ("Amendment No. 1") is entered into the 3 rd day of Ma rch , 2025 between the City of Miami, a municipal corporation of the State of Florida ("CITY") and ARTISTIC AWAKENINGS, INC a Florida Not For Profit Corporation ("RECIPIENT"). RECITALS WHEREAS, the City created the Miami For Everyone ("MFE") Program to assist communities facing the long-term complications resulting from declared emergencies and to address the specific needs of the most vulnerable residents and businesses, through a strategy of focusing the provision of support towards priorty areas of need that will further stabilize economic conditions within City Districts; and WHEREAS, the CITY adopted Ordinance 14165 on April 27, 2023, wherein the CITY amended CHAPTER 18/ARTICLE III/SECTION 18-72 of the Code of the CITY titled "FINANCE/CITY OF MIAMI PROCUREMENT ORDINANCE/APPLICATION AND EXCLUSIONS," by amending section 18-72(b) to exclude from the requirements of the City of Miami Procurement Ordinance the Miami For Everyone Program and related advertising, attached and incorporated as Exhibit "A", as applicable; and WHEREAS, RECIPIENT executed the Miami For Everyone ("MFE") Grant Funding Agreement ("Agreement") with the CITY dated March 20, 2024 ("Effective Date") for the use of the MFE Funds pursuant to the teirns of the Agreement and applicable laws, rules, and regulations; and WHEREAS, Section 2 of the Agreement establishes a term beginning on March 12th 2024 and ending on January 10th 2025 ("Term"); and WHEREAS, RECIPIENT has submitted a written letter to the CITY, requesting a Term extension through September 30th, 2025; and WHEREAS, this Amendment No. 1 only amends the Term of the Grant Agreement, while adding Section 35 and "Exhibit H", and does not increase the total MFE Funds that were approved and awarded pursuant to Ordinance 14165; and NOW, THEREFORE, in consideration for the covenants set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. All of the above recitals are true and correct in all respects and are incorporated by reference herein as though set forth in full herein. Page 1 of 4 2. Section 2 of the Agreement, titled "TERM", shall be removed and replaced in its entirety as follows: "2. TERM: The tetin of this Agreement shall commence on March 12th, 2024, and shall continue until September 30th, 2025." 3. Section 35 will be added to the Agreement, as follows: 35. ANTI -HUMAN TRAFFICKING. The RECIPIENT confirms and certifies that it is not in violation of Section 787.06, Florida Statutes, and that it does not and shall not use "coercion" for labor or services as defined in Section 787.06, Florida Statutes. The PROVIDER shall execute and submit to the CITY an Affidavit, of even date herewith, in compliance with Section 787.06(13), Florida Statutes, attached and incorporated herein as Exhibit "H". If the PROVIDER fails to comply with the terms of this Section, the City may suspend or terminate this Agreement immediately, without prior notice, and in no event shall the CITY be liable to PROVIDER for any additional compensation or for any consequential or incidental damages. 4. Except as modified herein, all other terms and conditions of the Agreement, shall remain unmodified and in full force and effect. 5. This Amendment No. 1 may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same Amendment. The parties shall be entitled to sign and transmit an electronic signature of this Amendment (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Amendment upon request. 6. This Amendment No. 1 may not be amended, suspended, superseded or otherwise modified except by a written instrument, expressly identifying the modifications made and signed by the authorized representative of each of the parties.
