This Amendment is entered into this 1 day of March , 2025, ("Amendment") by and between the City of Miami, a municipal corporation of the State of Florida ("Lessor"), and Miami Outboard Club, Inc. a non-profit corporation ("Lessee") for the purpose of further modifying that certain Lease between the Lessor and Lessee dated June 14, 1996 ("Lease"), as amended, as follows: WHEREAS, Lessor leased to Lessee a portion of Watson Island for a term of twenty years commencing on April 1, 1996 and expiring on March 31, 2016 with the option to renew for two (2) additional five (5) year periods; and WHEREAS, the parties amended the Lease on December 5, 2000 ("Amendment #1), June 6, 2005 ("Amendment #2"), May 24, 2011 ("Amendment #3"), June 4, 2013 ("Amendment #4") and December 19, 2017 ("Amendment #5"); and WHEREAS, Lessee desires to further amend the Lease to extend the current deadlines provided in Amendment No. 5 by an additional three (3) years to meet certain permit approval necessary to complete certain improvements related to the Redevelopment Plans pursuant to Section 7.6 of the Lease. NOW, THEREFORE, in consideration of the mutual covenants hereinafter set forth and in consideration of other valuable consideration, the parties covenant and agree as follows: 1. Incorporation of Recitals: The recitals and findings set forth above are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Amendment. 2. Amendment 6 Effective Date: The effective date of this Amendment shall be the first day of the first full calendar month following the execution of this Amendment by Lessee and Lessor (the "Amendment 6 Effective Date"). 3. The Lease Agreement is hereby amended as follows: Section 7.6 is hereby amended as follows: 7.6 Redevelopment Plans: Lessee will be required to obtain a master building permit for the improvements more particularly described in Exhibit D, attached hereto, from the City of Miami (the "Master Permit") by December 31, 2027 and a temporary certificate of occupancy or a certificate of occupancy from the City of Miami by December 31, 2029 provided however, the deadlines specified in this paragraph are subject to delays outside the reasonable control of Lessee including, hurricanes and other weather events, labor or materials shortages and other instances of force majeure. The Lessee shall be solely responsible for the construction and cost of all improvements to the marina, building, and restaurant located at the Lease Property, including but not limited to labor, supplies, materials, equipment, professional services, any surrounding or adjacent municipal, governmental, regulatory requirements, land development, building, electrical, marine related or similar permits, consents, and approvals or any utility and telecommunications or computer hook-ups. All improvements described in Exhibit D shall be performed at the Lessee's sole cost, expense, and risk. A new Section 19.2 is hereby added to the lease as follows: Public Records. Lessee understands that the public shall have access, at all reasonable times, to all documents and information pertaining to City agreements, subject to the provisions of Chapter 119, Florida Statutes, and agrees to allow access by the City and the public to all documents subject to disclosure under applicable laws. Landlord shall additionally comply with Section 119.0701, Florida Statutes, including without limitation: (1) keep and maintain public records that ordinarily and necessarily would be required by the City to perform this service; (2) if required, provide the public with access to public records on the same terms and conditions as the City would at the cost provided by Chapter 119, Florida Statutes, or as otherwise provided by law; (3) ensure that public records that are exempt or confidential and exempt from disclosure are not disclosed except as authorized by law; (4) meet all requirements for retaining public records and transfer, at no cost, to the City all public records in its possession upon termination of this Agreement and destroy any duplicate public records that are exempt or confidential and exempt from disclosure requirements; and, (5) provide all electronically stored public records that must be provided to the City in a format compatible with the City's information technology systems. Notwithstanding the foregoing, Contractor shall be permitted to retain any public records that make up part of its work product solely as required for archival purposes, as required by law, or to evidence compliance with the terms of the Agreement. 2 SHOULD LANDLORD DETERMINE TO DISPUTE ANY PUBLIC ACCESS PROVISION REQUIRED BY FLORIDA STATUTES, THEN CONTRACTOR SHALL DO SO AT ITS OWN EXPENSE AND AT NO COST TO THE CITY. A new Section 19.3 is hereby added to the Lease as follows: Anti -Human Trafficking. Lessee confirms and certifies that neither it, nor any entity engaged by it in connection with this Lease, is in violation of Section 787.06, Florida Statutes, and that it does not and shall not use "coercion" for labor or services as defined in Section 787.06, Florida Statutes. Tenant shall execute and submit to the City an Affidavit, of even date herewith, in compliance with Section 787.06(13), Florida Statutes, attached and incorporated herein as Exhibit E. If Landlord fails to comply with the terms of this subsection, the City may suspend or terminate this Lease immediately, without prior notice, and in no event shall the City be liable to Lessee for any additional compensation or for any consequential or incidental damages. A new Section 19.4 is hereby added to the Lease as follows: Electronic Signatures; Counterparts. This Lease may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same Lease. The parties shall be entitled to sign and transmit an electronic signature of this Agreement (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Agreement upon request. ("Lessee") for the provision of marine - recreation services in accordance with the provisions of Section 29-D of the Charter; and WHEREAS, the City leased to the Lessee, the Leased Property for a term of twenty (20) years commencing on April 1, 1996, and expiring on March 31, 2016 with the option to renew for two (2) additional five (5) year periods; and WHEREAS, the Parties amended the Lease on December 5, 2000 ("Amendment #1), June 6, 2005 ("Amendment #2"), May 24, 2011 ("Amendment #3"), June 4, 2013 ("Amendment #4") and December 19, 2017 ("Amendment #5"); and WHEREAS, in accordance with Amendment #5, Lessee was required to obtain a master building permit (the "Master Permit") for redevelopment improvements from the City by December 17, 2024, and a temporary certificate of occupancy or a certificate of occupancy within six (6) years after obtaining the Master Permit; and WHEREAS, the City and Lessee wish to enter into this Sixth Amendment to modify certain provisions extending the required term of six years to complete the required redevelopment improvements under the Lease by an additional three (3) years which will enable the Lessee to finance and complete redevelopment improvements to the Lease Property; and WHEREAS, approval of the three (3) year extension to complete the redevelopment improvements will require Lessee to obtain a Master Permit from the City by January 1, 2028, and obtain a temporary certificate of occupancy or a certificate of occupancy from the City by January 1, 2030; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. Pursuant to Section 29-D of the Charter, the City Manager is authorized' to negotiate and execute a Sixth Amendment to the Lease, in a form acceptable to the City Attorney, to extend the time for Lessee to complete redevelopment improvements as provided hereinabove. The City Manager is further authorized1 to negotiate and execute all documents, including amendments and modifications to the Sixth Amendment, in forms acceptable to the City Attorney, as may be necessary.
