rThe Gallery at West Brickell has applied for impact fee deferral for units that are for workforce qualifying tenants. Since the City
executed a loan agreement for the development of the project, as a lender the City is required to execute the Joinder by Mortgagee
that will be attached to the actual Declaration of Restrictive Covenants (attached hereto)

JOINDER BY MORTGAGEE
The undersigned CITY OF MIAMI, a municipal corporation, as Mortgagee under that
certain Amended and Restated Leasehold Mortgage and Security Agreement for The Gallery at
West Brickell made by The Gallery at West Brickell, LLC, a Florida limited liability company, to
City of Miami, dated December 14, 2022, recorded December 21, 2022, in Official Records Book
33512, Page 3523, of the Public Records of Miami -Dade County, Florida, covering the property
described in the foregoing Declaration of Restrictive Covenants for Affordable and Workforce
Housing for Impact Fee Deferral Only (the "Declaration"), does hereby acknowledge that the
terms of the Declaration are and shall be binding upon the undersigned and its successors in title
and interest.
