GENERAL RELEASE OF ALL CLAIMS AN.D AN AGREEMENT TO IMMEDIATE SURRENDER POSSESSION OF THE LEASHOLD ESTATE THIS GENERAL RELEASE OF ALL CLAIMS AND AGREEMENT TO SURRENDER POSSESSION OF THE LEASEHOLD PREMISES (hereinafter "Agreement), is made, by and between Omni Redevelopment District Community Redevelopment Agency (hereinafter "Omni CRA or Lessor "), City of Ivliami (hereinafter "City of Miami") and 1401 Group, LLC. (hereinafter " 1401 or Lessee"), together collectively known as ("Parties" or each a "Party"). This Agreement shall be effective on the date that its execution is completed by all the Parties (the "Effective Date"). RECITALS WHEREAS, Omni CRA and 1401 entered into lease agreement with addendums dated as of November 4, 2013; and WHEREAS, the Parties allege that the other Party breached the lease agreement in some material way (the "Occurrences"); and WHEREAS, The Omni CRA has an interest in purchasing the remaining leasehold estate with all fixtures and improvements, and 1401 has interest in selling the remaining leasehold Estate and improvements to the Omni CRA; and WHEREAS, the Omni CRA has agreed to purchase the remaining Leasehold Estate and reimburse 1401 for any reasonable costs incurred in improving the premises with other conditions more specifically set forth below; and WHEREAS, to avoid lengthy litigation, the Parties agreed on terms for the purchase of the remaining Leasehold Estate with all fixtures and improvements; and WHEREAS, to accomplish the sale, the Omni CRA convened a public meeting and authorized the purchase of the remaining Leasehold Estate with all fixtures, improvements and various other terms more fully set forth below; and WHEREAS. upon the Effective Date this Agreement, all fixtures located within the Leasehold Estate, as defined in the Lease Agreement dated November 4, 201. between Omni CRA and 1401, shall become the sole and exclusive property of the Omni CRA; and WHEREAS, the CRA Board of Commissioners authorized the termination of the Lease and a purchase of the remaining Leasehold Estate with all improvements from the lessee- pursuant to Resolution CRA-R-24-0069 adopted November 21, 2024 Page 1 of 4 WHEREAS, without admitting or conceding the merits of either Parties' claims or positions in thematters giving rise to this Agreement, the Parties desire to completely resolve and all issues in dispute andsettle all claims between the Parties; and NOW, THEREFORE, in consideration of the following covenants and agreements, together withvaluable consideration, the receipt and sufficiency of which are hereby acknowledged and conclusively established, the Parties covenant and agree as follows: AGREEMENT 1. Recitals. The recitals stated above are true and correct in all respects; are incorporated intothis Agreement by reference; and are a material part of the terms, provisions, and conditions of this Agreement. 2. Terms. Subject to the terms and conditions set forth in this Agreement, on or before December 20, 2024, the Omni CRA will pay 1401 Two million one hundred thousand dollars ($2.100,000,00) to Mitrani, Rynor, Adamsky & Toland, P.A.'s trust account in exchange for a. 1401 shall surrender the Leasehold estate with all fixtures within (48) hours of payment. b. 1401 and its principals agree to be debarred from bidding on any CRA or City of Miami request for bid proposals. 3. inventory Transfer . Lessee agrees to transfer ownership of all inventory and associated warranties located the Property to Lessor. The Specific inventory items to be transferred are detailed in Exhibit A attached hereto and incorporated herein by reference. Transfer of the inventory shall occur within 48 1-lours of the execution of this Agreement. 4. Mutual General Release. a. In consideration of the payments referenced above (Paragraph 2), 1401 hereby completely releases and forever discharges Omni CRA together with its affiliates, agents, attorneys, accountants, insurers, servants, employees,successors and assigns, and all business entities with which it. had a business relationship from any and all past, present, or future claims, obligations, actions, causes of action, rights, damages, costs,losses of services, expenses and compensation of any nature whatsoever, whether based on a tort, contractor other theory of recovery, or demands, which 1401 now has, or which may hereafter accrue or otherwise be acquired, on account of, or may in any way grow out of the Occurrences, or which are the subject of any potential claims including, without limitation, any and all known or unknown claims for damages which have resulted or may result from the alleged acts or omissions of Omni CRA b. In consideration of the dismissal with prejudice referenced below, Omni CRA hereby Page 2 of 4 completely release and forever discharge 1401, together with their affiliates, agents, attorneys, accountants, insurers, servants, employees,successors and assigns, and all business entities with which they had a business relationship from -any and all past, present, or future claims, obligations, actions, causes of action, rights, damages, costs,Iosses of services, expenses and compensation of any nature whatsoever, whether based on a tort, contractor other theory of recovery, or demands, which Omni CRA now has. or which may hereafter accrue or otherwise be acquired, on account of, or may in any way grow out of the Occurrences, or which are the subject of any potential claims including, without limitation, any and all known or unknown claims for damages which have resulted or may result from the alleged acts or omissions of Omni CRA. 5. Non -lien. 1401 represents that to the best of its information , knowledge and belief, but not as a warranty, that 1401 is not aware of any liens on the property which 1401 has caused, with the exception of any open permits pulled on the leased property by 1401's agents, general contractors and/or subcontractors. The Parties shall work together and reasonably cooperate to seek to close out any open permits pulled on 1401's behalf. 6. 7. Resolution of all Claims. This Agreement resolves any claims 1401 has or may have had against Omni CRA. regardless of how such claim is characterized, including. without limitation, compensatory damages, damages for breach of contract, bad faith damages, reliance damages, liquidated damages, damages for humiliation and embarrassment, punitive damages, costs, and attorney's fees related to or arising from the Dispute. This agreement also resolves any claims Omni CRA has or may have had against 1401. regardless of how such claim is characterized, including, without limitation, compensatory damages, damages for breach of contract, bad faith damages, reliance damages, liquidated damages, damages for humiliation and embarrassment, punitive damages, costs, and attorney's fees related to or arising from the Dispute. 8. No Admissions. This Agreement represents a compromise and final resolution of any potential claims. The Parties will not construe the performance of the conditions and provisions of this Agreernent,including the payment and acceptance of any funds, as an admission of any liability orwrongdoing whatsoever by the other Party. 9. Competent. Knowing, Voluntary Acceptance; Advice of Counsel: No Construction Against Draftsmen. Each part represents and warrants that such part: (i) is legally competent; (ii) understands and accepts the nature, terms and scope of this Agreement with full knowledge of all' material facts related thereto; and (iii) did not execute this Agreement under coercion or duress of any kind whatsoever. Each party also affirms and acknowledges that such party has consulted with or been given theopportunity to consult with an attorney regarding the provisions of this Agreement and understands the legal import thereof. The parties acknowledge that this is a negotiated Agreement, and that in no event shall the terms hereof be construed against any party of the basis that such party, or its counsel drafted thisAgreement. 10. Tax Consequences. The Parties agree to be respectively and solely responsible for any taxconsequences arising from any payments to a Party under this Agreement. The Parties Page 3 of 4 acknowledge and agree that no Party has rendered any tax advice whatsoever to any other Party regarding any taxconsequences relating to or arising out of this Agreement. 11, Severability. If any provision of this Agreement or any other agreement entered into pursuant hereto is contrary to, prohibited by or deemed invalid under applicable law or regulation, such provision shall be inapplicable and deemed omitted to the extent so contrary, prohibited or invalid, but theremainder hereof shall not be invalidated thereby and shall be given full force and effect so far as possible. 12. Entire Agreement; Counterparts; Amendments: Binding Effect. This Agreementrepresents the entire understanding and agreement between the parties with respect to the subject matter hereof, and supersedes all other negotiations, agreements, understandings and representations (if any) madeby and between such parties. This Agreement may be executed in multiple counterparts, each of which willconstitute an original agreement. The parties hereto agree that a faxed, photocopied, or electronically copiedsignature(s) of a party on this Agreement shall be deemed original and shall not affect the validity of this Agreement. The provisions of this Agreement may not be amended, supplemented, waived or changed orally, but only by a writing signed by all other parties to this Agreement (or their successors in interest) making specific reference to this Agreement. All the terms and provisions of this Agreement shall be binding upon, inure to the benefit of, and be enforceable by the parties and their respective administrators, executors, legal representatives, heirs, and successors, whether so expressed or not. 13. Choice of Law and Venue. All matters arising out of or relating to this Agreement, whether in contract, tort, or statute, are governed by, and construed in accordance with, the laws of the Stateof Florida, without regard to its conflict of laws provision. Jurisdiction and venue for all disputes must be brought in a court of competent jurisdiction in Miami -Dade County, Florida. 14. "Singular" and "Plural". As used in this Agreement, the singular or plural includes the other whenever the context so indicates or requires. 15. Attorney's Fees in the Event of a Breach. With the exception of the right to enforce immediate possession or payment as described in (11 2 above), each party shall bear their own attorney's fees in cost in any action to enforce the terms of this agreement. 16. Modifications. No modification of this Agreement is binding unless the modification is inwriting and signed by each Party. 17. Cooperation. Each Party shall execute, deliver, and file any other documents and instruments necessary to carry out the terms, provisions, purposes, and intentions of this Agreement. 17. Signatures in Counterpart This Agreement may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and.such counterparts shall together constitute but one and the same Agreement. The parties shall be entitled to sign and transmit an electronic signature of this Agreement (whether by facsimile, PDF or other email Page 4 of 4 transmission), which signature shall be binding on the party whose name is contained therein.
