CALL TO ORDER
Present: Chairwoman King, Commissioner Gabela, Commissioner Pardo,
Commissioner Carollo and Commissioner Rosado
On the 11th day of December 2025, the Board of Commissioners of the Southeast
Overtown/Park West Community Redevelopment Agency of the City of Miami met in
regular session at Miami City Hall located at 3500 Pan American Drive, Miami,
Florida. The meeting was called to order by Chairwoman King at 1:34 p.m., and was
adjourned at 1:35 p.m.

CRA RESOLUTION
1. CRA RESOLUTION
18634 A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE
SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT
AGENCY ("SEOPW CRA"), AUTHORIZING THE EXECUTIVE DIRECTOR TO
NEGOTIATE AND EXECUTE A NON -BINDING LETTER OF INTENT ("LOI"),
IN A FORM ACCEPTABLE TO COUNSEL, WITH TOWN PARK VILLAGE NO.
1, INC., A FLORIDA FOR -PROFIT CORPORATION ("TOWN PARK") IN
ORDER TO FACILITATE A COMPREHENSIVE RESTRUCTURING OF THE
MANAGEMENT OF THE TOWN PARK APARTMENT COMPLEX AND THE
IMPROVEMENT OF ITS PROPERTY ("PURPOSE"); FURTHER
AUTHORIZING THE EXECUTIVE DIRECTOR TO NEGOTIATE AND
EXECUTE ANY AND ALL AGREEMENTS AND DOCUMENTS NECESSARY,
ALL IN FORMS ACCEPTABLE TO COUNSEL, FOR SAID PURPOSE, AND
DIRECTING THE EXECUTIVE DIRECTOR TO PRESENT THE AGREED -TO
LOI TO THE BOARD FOR ITS FINAL CONSIDERATION AND APPROVAL
WITHIN SIXTY (60) DAYS OF ITS EXECUTION; PROVIDING FOR THE
INCORPORATION OF RECITALS AND AN EFFECTIVE DATE.

Chair King: Welcome to the Southeast Overtown/Park West CRA (Community
Redevelopment Agency) meeting for December 11 th, 2025. I am your chair, Christine
King, joined with -- with me and my colleagues, are the executive director, James D.
McQueen, and executive -- deputy executive director, Vincent Brown, and our attorney,
Ms. Domini Sorey -- Gibbs-Sorey? Gibbs-Sorey.
Unidentified Speaker: Sorey.
Domini Gibbs -Sorer (Assistant General Counsel): Either works. It's fine.
Chair King: Okay. Mr. McQueen?
James McQueen (Executive Director): Yes. Good afternoon, and happy holidays,
everyone. We have one item for consideration. Mr. Brown will read it into the record.
Vincent Brown (Deputy Executive Director/Staff Counsel): Item Number 1 is a resolution
with attachment -- without attachment, authorizing the executive director to negotiate
and execute a non -binding letter of intent in form acceptable to the general counsel, for
the purpose of -- facilitate a comprehensive restructure plan for the Town Park Village
complex located in the CRA district, requiring the executive director to bring back the
same to the board for approval within 60 days of its execution. That's the item.
