A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE A
REVOCABLE AT -WILL LICENSE AGREEMENT ("AGREEMENT"), IN
SUBSTANTIALLY THE ATTACHED FORM, WITH MIAMI ROWING &
WATERSPORTS CENTER, INC. ("LICENSEE"), A FLORIDA NONPROFIT
CORPORATION, FOR THE LICENSEE'S OCCUPANCY AND USE OF
CERTAIN PORTIONS OF CITY OF MIAMI ("CITY") OWNED PROPERTY
LOCATED AT 3601 RICKENBACKER CAUSEWAY, MIAMI, FLORIDA, AS
DEPICTED IN EXHIBIT "A-1," ATTACHED AND INCORPORATED, PROVIDING
FOR A FIVE (5) YEAR PERIOD COMMENCING JANUARY 1, 2026, WITH ONE
(1) ADDITIONAL FIVE (5) YEAR RENEWAL OPTION, SUBJECT TO THREE (3)
MONTHS' PRIOR WRITTEN NOTICE BY LICENSEE, AND THE MUTUAL
CONSENT OF THE PARTIES; REQUIRING LICENSEE TO PAY A MONTHLY
USE FEE TO THE CITY IN THE AMOUNT OF TWO THOUSAND FIVE
HUNDRED DOLLARS ($2,500), PLUS SALES TAX, USE TAX, AND ANY
APPLICABLE TAXES OR ASSESSMENTS, TOGETHER WITH THIRTEEN
PERCENT (13%) OF MONTHLY GROSS REVENUES AND A MONTHLY
UTILITY FEE OF SIX HUNDRED NINETY-SIX DOLLARS AND TWENTY-FIVE
CENTS ($696.25); ALL AMOUNTS PAID TO THE CITY SHALL BE RESERVED
IN A SPECIAL REVENUE ACCOUNT BY THE FINANCE DEPARTMENT FOR
CAPITAL IMPROVEMENTS, WITH OTHER TERMS AND CONDITIONS AS
FURTHER SET FORTH IN THE AGREEMENT; FURTHER AUTHORIZING THE
CITY MANAGER TO NEGOTIATE AND EXECUTE ANY AND ALL OTHER
DOCUMENTS, INCLUDING AMENDMENTS, RENEWALS, AND EXTENSIONS,
ALL IN FORMS ACCEPTABLE TO THE CITY ATTORNEY, AS MAY BE
DEEMED NECESSARY FOR SAID PURPOSE, AND IN COMPLIANCE WITH
ALL APPLICABLE LAWS, RULES, AND REGULATIONS, INCLUDING,
WITHOUT LIMITATION, PROVISIONS OF THE CODE OF THE CITY OF
MIAMI, FLORIDA, AS AMENDED; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of Miami ("City") is the owner of certain real property and
improvements located at 3601 Rickenbacker Causeway, Miami, Florida, 33149, known as the
Miami Rowing Center ("Property"); and
WHEREAS, the Miami Rowing & Watersports Center, Inc., a Florida nonprofit
corporation ("Licensee"), has utilized a portion of the Property pursuant to a revocable license
agreement that has since expired, and wishes to continue to utilize a portion of the Property;
and
WHEREAS, the City and Licensee (collectively, the "Parties") desire and intend to enter
into a new revocable at -will license agreement for Licensee's continued use of the Property,

specifically by authorizing the Licensee's use of the space located at the Property and identified
as Exhibit "A-1" of the draft agreement, attached and incorporated, as the Area ("Area"); and
WHEREAS, the Agreement shall provide for a five (5) year term period commencing
January 1, 2026, together with one (1) additional five (5) year renewal option; and
WHEREAS, Licensee shall pay to the City a monthly use fee of Two Thousand Five
Hundred Dollars ($2,500), plus sales tax, use tax, and any other applicable taxes or
assessments, an additional thirteen percent (13%) of monthly gross revenues, and a monthly
utility fee of Six Hundred Ninety -Six Dollars And Twenty -Five Cents ($696.25), all of which shall
be paid to the City to be reserved in a special revenue account by the finance department for
capital improvements;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is hereby authorized' to negotiate and execute an
agreement with the Licensee, in a form acceptable to the City Attorney, providing for (a) a five
(5) year term commencing January 1, 2026, with one (1) five (5) year renewal option upon three
(3) months' prior written notice by Licensee and mutual consent; (b) a monthly use fee in the
amount of Two Thousand Five Hundred Dollars ($2,500), plus applicable taxes; (c) an additional
thirteen percent (13%) of monthly gross revenues; and (d) a monthly utility fee of Six Hundred
Ninety -Six Dollars And Twenty -Five Cents ($696.25), all of which shall be paid to the City to be
reserved in a special revenue account by the finance department for capital improvements.
Section 3. The City Manager is further authorized' to negotiate and execute any and all
other documents, including any amendments, renewals, and extensions, all in forms acceptable
to the City Attorney, as may be deemed necessary in compliance with all applicable laws, rules,
and regulations, including, without limitation, provisions of the City Code, as amended.
Section 4. This Resolution shall become effective immediately upon its adoption
APPROVED AS TO FORM AND CORRECTNESS:
