Background of Item: The State of Florida Department of Transportation ("FDOT") has jurisdiction over State Road 968 ("SR-968") a/k/a West Flagler Street (Westbound Pair) from Northwest 11 th Avenue to Northwest 12th Avenue a/k/a State Road 933 ("SR-933"), which is located within the limits of the City of Miami ("City"). Gamla Cedron Flagler Oasis II, LLC ("Developer") is responsible for the development project located at 1150 West Flagler Street and Gamla Cedron Flagler Oasis III, LLC ("Developer") is responsible for the development project located at 1101 West Flagler Street, which require the execution of separate Maintenance Memorandum of Agreement ("MMOAs") with FDOT. The Developers, pursuant to Permit # 2025-L-690-00004 and Permit # 2025-L-690-00005, has drafted design plans for landscape, irrigation, and tree grates improvements on SR- 968 from Northwest lithe Avenue to Northwest 12th Avenue, the limits of which are described in the attached Exhibit `A' and Exhibit `B', respectively, ("Project Limits"), which by reference shall become a part of the MMOAs. The Developers will install landscape, irrigation, and tree grates in accordance with the design plans for Permit # 2025-L-690-00004 and Permit # 2025-L-690-00005 (the "Project"), as approved by FDOT. The City is aware the MMOA's will supplement all maintenance requirements between FDOT and the City for all previously executed Permits and MMOAs regarding SR-968. The parties to this Agreement mutually recognize the need for entering into an agreement designating and setting forth the City's responsibilities with regards to the maintenance of the landscape, irrigation and tree grates within the Project Limits. The City shall enter into a covenant running with the land with each Developer requiring the Developer to operate, maintain, and replace the Improvements, and hold harmless and indemnify the City, all subject to the City's receipt of the required adequate bond or surety from the Developer. WHEREAS, the State of Florida Department of Transportation ("FDOT") has jurisdiction over State Road 968 ("SR-968") (Westbound Pair) (West Flagler Street) from Northwest 11 th Avenue to Northwest 12th Avenue (SR-933), which is located within the limits of the City of Miami ("City"); and WHEREAS, Gamla Cedron Flagler Oasis II, LLC ("Developer"), pursuant to Permit Nos. 2025-L-690-00004 and 2025-L-690-00005, has drafted design plans for landscape, irrigation, and tree grates improvements ("Project"), as approved by FDOT, on SR-968 (Westbound Pair) (West Flagler Street) from Northwest 11th Avenue to Northwest 12th Avenue (SR-933), the limits of which are described in Exhibit "A" of the Landscape, Irrigation and Specialty Surfaces Maintenance Memorandum of Agreements, in substantially the attached forms ("MMOA") ("Project Limits"); and WHEREAS, the Developer will install landscape, irrigation, and tree grates in accordance with the design plans for Permit No. 2025-L-690-00004 and 2025-L-690-00005 ("Project"), as approved by FDOT; and WHEREAS, the City is aware these MMOA will supplement all maintenance requirements between FDOT and the City for all previously executed Permits and Agreements; and WHEREAS, the City has made the Developer responsible for the operation, maintenance and liability of the Project via the execution of a non-standard improvement covenant; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is authorized to execute the MMOA, with FDOT, to facilitate the installation and maintenance of the Project on SR-968 (Westbound Pair) (West Flagler Street) from Northwest 11 th Avenue to Northwest 12th Avenue (SR-933). Section 3. This Resolution shall become effective immediately upon its adoption. APPROVED AS TO FORM AND CORRECTNESS: 1 The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions.
