A RESOLUTION AUTHORIZING THE CITY MANAGER
TO EXECUTE AN AGREEMENT BETWEEN THE CITY
AND EVELIO LEY & ASSOCIATES, INC., SUB-
STANTIALLY IN THE FORM ATTACHED, MAKING
THE CITY OF MIAMI AN UNDERWRITING SPONSOR
OF THE INTER-AMERICAN SYMPOSIUM ON ECONOMIC
DEVELOPMENT, FINANCING AND COMMERCIAL CREDIT;
WITI-1 FUNDS ALLOCATED THEREOF FROM 3rd YEAR
COMMUNITY DEVELOPMENT BLOCK GRANT FUNDS, IN
AN AMOUNT NOT TO EXCEED $15,000.
BE IT' RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to
execute an Agreement between the City and Evelio Ley & Associates,
Inc., substantially in the form attached, making the City of
Miami an Underwriting Sponsor of the Inter -American Symposium
on Economic Development, Financing and Commercial Credit, with
funds allocated thereof from 3rd Year Community Development Block
Grant funds, in an amount not to exceed $15,000.

POSITION PAPER
The Office of Trade and Commerce Development has reviewed and discussed the
Inter -American Symposium on Economic Development, Financing and Commercial
Credit proposal presented by Evelio Ley and Associates, Inc. to the City of
Miami.
We believe that the success of the 1978 Trade Fair of the Americas has re-
affirmed the idea of institutionalizing the Trade Fair as a positive, inter-
national, annual event in Miami, and that the proposed Inter -American Symposium
is the type of supportive interim activity that will further project Miami's
stature as a major center of hemisphere finance and commerce.
This Office endorses the concept of the proposed Symposium, and recommends
funding of the project in the amount of $25,000 as an Underwriting Sponsor.
Funds to be drawn from Office of Trade & Commerce's Special Services budget.
The Office of Trade and Commerce Development will work with the other sponsors
of the Symposium and its coordinators in developing all aspects of the program,
including the following:
OBJECTIVES:
The O.T.C.D. will endeavor to assure compatibility between the Symposium's
objectives and those of the City. Objectives not germane to the City's interests,
but essential to the other sponsors' requirements will not exceed a level commen-
surate with their sponsorship investment. The City's objectives in this Symposium
are:

Program content, to the extent consistent with other sponsors interests, and
the Symposium's own internal focus, will emphasize the facilities, services,
resources and international infra -structure available in the Miami area, The
City's program input might highlight:
A. The Trade Fair of the Americas,
B, Miami based Chambers of Commerce,
C. Miami Banks and Edge Act Banks located in our City.
D. Professional services available in Miami serving international markets.
E. Foreign Trade Zone.
AUDIENCES:
The City will work closely with the coordinators in defining and selecting target
audience groups for the Symposium. Special attention will be focused on potential
customers for Miami based businesses, services and institutions. The core audience
will of course be determined by the Symposium theme and program content to be de-
veloped by the program panel, including the Office of Trade and Commerce Development.
It is therefore essential that the Symposium program reflect the City's objectives
to maximize its attraction for Miami's natural target audiences in inter-american
trade and finance. Among these are:
A. Major Latin American/Caribbean Importers of U. S. goods.
B. U. S. manufacturers exporting to Latin America.
C. U. S. (and especially Miami area) and Latin American Banks.
D. U. S. and Latin American trade officials.
E. Miami area and other U. S. exporters.
SPEAKERS:
Consistent with the pursuit and achieving of the City's other objectives the selec-
tion of speakers will be determined in part by the subject matter to be presented.
This office will utilize wherever practicable Miami area professionals as lecturers
and panelists.

Project Description
1. Objectives
To exchange information on the existing export-import
development programs of the governments and private banking
institutions of the United States and the participating Latin
American countries;
To explain the role of the U. S. Government international
development and credit programs as growth sustaining factors in
the economy of various areas and communities of the United
States;
To exchange information on foreign investment laws and
opportunities in the United States and other participating
countries;
To discuss obstacles and problems existing in the financial
turnover between the United States and the participating
countries and to prepare recommendations for the governments
indicating ways and means to eliminate such obstacles./�s

Final program will be prepared by Program Panel consisting of
representatives of the sponsoring organizations,
U. S. Government international development and credit
programs and their impact on investment and employment
patterns in the United States and the recipient countries.
U. S. Government investment credit programs available to
Latin American and Caribbean countries and to investors in
the United States;
Investment and commercial credits available to foreign
customers from private banks and legal aspects of borrowing
by foreign customers in the United States;
Role of U. S. and Latin American commercial banks in lnter-
American trade;
Foreign investments in Latin America: Government
policies, legal aspects and special incentive programs for
foreign investments in export -oriented industries;
Problems and difficulties in Inter -American financial
turnover.
The symposium will work through general sessions and interest groups
which will be named following consultations with the U. S. sponsors and
the participating Latin American governments.

The City of Miami and Evelio Ley & Associates, Inc., have
entered this Memorandum of Agreethent this day of
1978, as a basis of understanding for the City's participation as
an Underwriting Sponsor, in the Inter -American Symposium on Economic
Development, Financing and Commercial Credit to be held in Miami
during August, 1978.
WITNESSETH, that the City of Miami has entered in an agree-
ment with Evelio Ley & Associates, Inc., to participate as an
Underwriting Sponsor in the Inter -American Symposium on Economic
Development, Financing and Commercial Credit, to be held in Miami
during August, 1978, pursuant to Resolution No.
adopted , 1978.
Now, therefore, the City of Miami and Evelio Ley & Associates,
Inc., do mutually agree as follows:
I. DEFINITIONS

II. UNDERSTANDINGS
A. It is understood that through the execution of this
agreement the City will become an Underwriting Sponsor of
the Symposium, with all rights and benefits of same.
B. It is understood that it will be the OTCD's responsi-
bility to assure compatibility between the Symposium's
objectives and those of the City. Objectives not germane
to the City's interests, but essential to the other sponsors'
requirements will not exceed a level commensurate with their
sponsorship investment.
C. ELA agrees that throughout the preparation, publicity
and presentation of the Symposium, the program content, to
the extent consistent with other sponsor interests, and
the Symposium's own internal focus, will

1) The Trade Fair of the Ateticas,

These objectives being:

and transportation.
E. The OTCD, in behalf of the City, agrees to work closely with ELA in
defining and selecting target audience groups for the Symposium, who,
in line with the City's objectives delineated above, must include:
1) Major Latin American/Caribbean importers of U. S. goods.
2) U. S. manufacturers exporting to Latin America.
3) U. S. (and especifically Miami based) & Latin American Banks.
4) U. S. & Latin American trade officials.
5) Miami based and other U. S. exporters.
III. MAXIMUM COMPENSATION
For the rights and benefits realized through the City's Underwriting Sponsor-
ship of the Symposium, as outlined under Section II of this Agreement, the
OTCD will pay ELA the amount of $25,000.
IV, METHOD) OF PAYMENT
The City's Finance Director shall pay ELA according to established City pro-
cedures for agreements of this nature.

V, TIME OF _PERFORMANCE
The Symposium is to be held on Aug. 23-26, 1978, Ih the
eVent that the Symposium is cancelled by ELA, or, in fact,
postponed to a date on which the City may not desire to
participate, the City has the option to renegotiate or
withdraw from this Agreement.
VI. AMENDMENTS
The City and the OTCD may, at their discretion, amend
this Agreement at any time to conform with any contingencies
which may require such amendment. Amendments, if required,

shall be incorporated in writing to this Agreement upon
review, approval and execution of the parties hereto.

VII. INDEMNIFICATION.
ELA shall indemnify and hold the City harmless from anyFEN
and all claims, liability, losses and causes of action which _-
arise out of this Agreement. ELA directly or through itswow
insurance carrier shall pay all claims and losses of any
nature whatsoever in connection therewith and shall defend

all suits and shall pay all costs and judgments which may EMI

VIII. COMPLIANCE WITH FEDERAL, STATE AND LOCAL LAWS escw
Both parties shall comply with all applicable laws, ordi-
nances, and codes of the Federal, State and local govern-
ments. Specifically, the provider agrees to comply with
the Housing and Community Development Act of 1974, Section
109; with Executive Orders 11246 and 11063; and with
Section 3 of the Housing and Urban Development Act of,1968
(Section 570.303).
IX. EQUAL OPPORTUNITY
ELA agrees that there will be no discrimination against
any employee or person served on account of race, color,
sex, religious creed, ancestry, or national origin in
its performance of this Agreement; and it is expressly

understood that upon the receipt of evidence of such
discrimination) the City shall have the right to term
hate this Agreement.
CONFLICT OF INTERESTS
No official or employee of the City may be admitted
directly or indirectly to any share or part of this
Agreement or to any benefit to arise from the same nor
own or acquire any personal interest in any property,
contract or proposed contract which would conflict with
or relate to the performance, their duties or responsi-
bilities under this Agreement. If any such person pre-
sently or in the future acquires, owns or controls any
such share, benefit, or personal interest, he shall
immediately disclose such share, benefit, or personal
interest to the City. Upon such disclosure such person
shall not continue his participation unless it is deter-
mined by the City that his participation is not contrary
to public interest. ELA will comply with all Federal,
State, and local conflict of interest laws and require-
ments.
OPPORTUNITIES FOR SMALL AND MINORITY BUSINESSES
The ELA in the procurement of supplies, equipment, construc-
tion, or services to implement this project shall make
a positive effort to utilize small business and minority
owned business sources of supplies and services, and pro-
vide these sources the maximum feasible opportunity to
compete for contracts to be performed pursuant to this
Memorandum of Agreement. To the maximum extent feasible
these small business and minority owned business sources
shall be located in or owned by residents of the Community
Development Target areas(s) designated by the City of
Miami in the Community Development Grant.Application

The City by giving reasonable written notice spec.:,
fying the effective date► may terminate this Agreement
in whole or in part for cause Which shall include:
(1) Failure, for any reason, of ELA to fulfill ih a timely
and proper manner its obligations under this Agreement
including compliance with the approved work program and
attached conditions and such directives as may become
generally applicable at any time; (2) Submission by
ELA to the City of reports that are incorrect or incom-
plete in any material respect; and (3) Ineffective or
improper use of funds provided under this Agreement.
XIII. SIGNATORIES
IN WITNESS WHEREOF, the City of Miami and Evelio Ley &
Associates, Inc., have entered into this Agreement as of
the date first above written.
